THIRD AMENDMENT TO THE AGREEMENT FOR PROJECT SERVICES
BETWEEN THE CITY OF REDONDO BEACH
AND SYNCROMATICS CORP.
THIS THIRD AMENDMENT TO THE AGREEMENT FOR PROJECT SERVICES ("Third Amendment") is made between the City of Redondo Beach, a chartered municipal corporation ("City") and Syncromatics Corp., a California corporation (“Contractor" or “Consultant”).
WHEREAS, on December 17, 2019, the parties entered into the Agreement for Project Services between the City and Contractor (the "Agreement"); and WHEREAS, on December 20, 2022, the parties entered into the First Amendment to the Agreement for Project Services (the "First Amendment") to add a bus annunciator system, perform related software setup, and raise the Contractor’s compensation limit to $187,092; and
WHEREAS, on April 18, 2023, the parties entered into the Second Amendment to the Agreement for Project Services (the "Second Amendment") to add a bus annunciator system, provide installation and hardware transfer, and project management for five City buses, raising the Contractor’s compensation limit to $201,102; and WHEREAS, the parties desire to amend the Agreement.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendments to the Agreement:
1. Scope of Services. Exhibits "A” to “A-2” of the Agreement are hereby amended to add Exhibit "A-3", which provides that Contractor shall provide hardware transfer and project management for four City buses. Under Exhibit "A-3", the Contractor shall provide automated voice bus annunciator systems and perform related software setup, including hardware transfer, labor installation, annual service fees, and project management for four City buses. Exhibit "A-3" is attached hereto and incorporated by reference.
2. Term and Time of Completion. Exhibits "B" to “B-2” of the Agreement are hereby amended to add Exhibit "B-3", which extends the Agreement term to June 30, 2027.
Exhibit “B-3” is attached hereto and incorporated by reference. Consultant shall commence and complete all services described in Exhibits “A” to "A-3" in accordance with the schedule set forth in Exhibit "B-3".
3. Compensation. Compensation. Exhibits "C" to "C-2" of the Agreement are hereby amended to add Exhibit "C-3", increasing the Contractor’s compensation limit by $22,610, setting a new limit of $223,712. Exhibit "C-3" is attached hereto and incorporated by reference. Contractor shall be compensated for the services described in Exhibits "A" to "A-3".
4. No Other Amendments. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement, First Amendment, Second Amendment, and this Third Amendment constitute the entire agreement - 2 -
between the parties and supersede any previous oral or written agreements with respect to the subject matter hereof. In the event of any inconsistency between the terms of the Agreement, First Amendment, Second Amendment, and this Third Amendment, the terms of this Third Amendment shall govern. CONTRACTOR’S DUTIES
Task 13: Contractor shall provide automated voice bus annunciator systems, perform related software setup, including hardware transfer, labor installation, annual service fees, and project management as described in Exhibit "C-3".

TERM AND TIME OF COMPLETION
TERM. The term of this Agreement shall be extended to June 30, 2027 (“Term”), unless otherwise terminated as herein provided.

COMPENSATION
Provided Contractor is not in default under this Agreement, Contractor shall be compensated as provided below.
A. AMOUNT. Contractor shall be paid the additional amount of $22,610 as set forth below.
B. METHOD OF PAYMENT. Contractor shall submit invoices to the City for approval and payment. All other tasks and/or services described in Exhibits "A" to "A-2", but not described in the Agreement Project Milestone Schedule, shall be performed for no fee.
Invoices must be itemized, adequately detailed, provide the dates of service, quantity, unit cost, subtotal fee, services and tasks performed, total amount, and be based on accurate records, in a form reasonably satisfactory to City. Contractor may be required to provide backup material upon request.
C. SCHEDULE FOR PAYMENT. City agrees to pay Contractor within sixty (60) days of receipt of the Contractor’s invoice; provided, however, that services are completed to the City’s reasonable satisfaction.
D. NOTICE. Written notices to City and Contractor shall be given by email, registered or certified mail, postage prepaid and addressed to or personally served on the following parties.
