FIRST AMENDMENT TO THE MASTER SAAS AND SERVICES AGREEMENT
BETWEEN THE CITY OF REDONDO BEACH
AND SHARP PERFORMANCE INC.
THIS FIRST AMENDMENT TO THE MASTER SAAS AND SERVICES AGREEMENT ("First Amendment") is made and entered into on August 19, 2025, by and between the City of Redondo Beach, a chartered municipal corporation ("City"), and Sharp Performance Inc., a Delaware corporation (Contractor").
WHEREAS, on December 1, 2024, the parties hereto entered into a Master SaaS and Services Agreement (the "Agreement") in which the term of the Agreement expires on November 30, 2025 and 216 users were authorized for services and compensation for services provided was a not-to-exceed amount of $75,600; and WHEREAS, during the FY 2025/2026 budget cycle, additional funding was approved and appropriated for the provision of additional services under the Agreement; and WHEREAS, the parties hereto now desire to amend the Agreement to extend the term to November 30, 2026 and to increase the compensation to a not-to-exceed amount of $151,200.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendments to the Agreement:
1. TERM AND TERMINATION. The term of the Agreement is hereby extended to November 4, 2026. Any further extensions shall be agreed to by the parties and shall be approved by the City Council through a written amendment.
2. FEES & PAYMENT. The compensation is hereby amended and increased to a total not-to-exceed amount of $151,200.
3. NO OTHER AMENDMENTS. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement and this First Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreements with respect to the subject matter hereof. In the event of any inconsistency between the terms of the Agreement and this First Amendment the terms of this First Amendment shall govern. [SIGNATURES ON NEXT PAGE]
