AMENDMENT No. 3 TO MEASURE M FUNDING AGREEMENT
BETWEEN CITY OF REDONDO BEACH AND THE LOS ANGELES COUNTY
METROPOLITAN TRANSPORTATION AUTHORITY
This Amendment No. 3 to the Funding Agreement (this “Amendment”), is dated as of December 30, 2025, by and between the City of Redondo Beach ("GRANTEE") and the Los Angeles County Metropolitan Transportation Authority ("LACMTA").
RECITALS:
A. GRANTEE and LACMTA entered into that certain Funding Agreement No. 9200000000M550813, dated September 1, 2021, which was amended on September 30, 2023 and October 1, 2024 (as amended, the "Existing FA"), which Existing FA provides for the Traffic Signal Communications and Network System, (“the Project”); and B. WHEREAS, the LACMTA Board on September 25, 2025 approved the increase to the Measure M Funds by $300,000, from $5,000,000 to $5,300,000 for Project Approval/Environmental Document (PAED), Plans Specifications, and Estimates (PS&E), and Construction. This amount is within the Board authorized budget increase for the Project; and
C. WHEREAS, the Funds are currently programmed as follows: $200,000 in Measure M Funds in Fiscal Years (FY) 2020-21, $1,800,000 in FY 2021-22 and $246,672 in FY 2023-24, $654,703 in FY 2024-25, and $2,398,625 in FY 2025-26. The total designated for PAED, PS&E and Construction of the Traffic Signal Communications and Network Systems is $5,300,000; and
D. GRANTEE and LACMTA desire to amend the Existing FA as provided herein.

AGREEMENT:
NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties hereby agree as follows:
1. Part I, Paragraph 2.2 of the Existing FA is hereby amended by deleting it in its entirety and replacing it with the following: “To the extent the Measure M funds are available, LACMTA shall make to GRANTEE a grant of the Measure M funds in the amount of $5,300,000 (the “Funds”) for the Project. LACMTA Board of Directors’ actions on August 27, 2020, September 28, 2023, and September 25, 2025 granted the Measure M Funds for the Project. The Funds are currently programmed over five (5) Fiscal Years: $200,000 in FY 2020-21; $1,800,000 in FY 2021-22; $246,672 in 2023-24; $654,703 in FY 2024-25; and $2,398,625 in FY 2025-26.
2. Part II, Section 9.1 (vii) of the Existing FA is hereby amended by deleting it in its entirety and replacing it with the following: “(vi) Expending the Funds granted under this FA for allowable costs by the lapsing date. All Funds programmed for FY 2020-21, FY 2021-22, FY 2023-24, and FY 2024-25 have been expended and are no longer available. All Funds programmed for FY 2025-26 are subject to lapse by June 30, 2028.”
3. Attachment A-1 of the Existing FA is hereby replaced by Attachment A2, attached.
4. Attachment B-1 of the Existing FA is hereby replaced by Attachment B2, attached.
5. Attachment C-1 of the Existing FA is hereby replaced by Attachment C2, attached.
6. Except as expressly amended hereby, the Existing FA remains in full force and effect as originally executed. All rights and obligations of the parties under the Existing FA that are not expressly amended by this Amendment shall remain unchanged.

CAPITAL PROJECT
PROJECT NAME: Traffic Signal Communications and Network System PROJECT LOCATION/LIMITS/AREA:
This project limits are within City boundaries and at the following arterial roadway corridors:
Manhattan Beach Boulevard between Aviation Boulevard and Inglewood Avenue Inglewood Avenue between Ralston Lane and 182nd Street. Grant Avenue between Aviation Boulevard and Inglewood Avenue
PROJECT DESCRIPTION INCLUDING MULTI-YEAR SUBREGIONAL PROGRAM AND PROJECT NEXUS:
The purpose of this project is to upgrade the City’s traffic signal system technology and use Intelligent Transportation Systems (ITS) to enhance traffic signal infrastructure citywide for integration into an advanced traffic signal network/communications system. The project will construct the advanced traffic signal network/communications system at the first three roadway segments of Manhattan Beach Boulevard, Inglewood Avenue, and Grant Avenue within the City. The project intent is to upgrade in-field traffic signal equipment to help monitor and modify traffic signal operations to streamline mobility and ultimately, enhance traffic safety throughout the City. The project would also include advanced communications in preparation for connected/automated vehicles. The request for additional funding as part of Amendment #2 is to account for the increased construction costs that were originally underestimated when this project was approved.
City will integrate its system with Regional Integration of Intelligent Transportation Systems (RIITS) servers to provide data sharing between adjacent cities, the County, Caltrans, and other participating agencies. City will also coordinate with LA County Department of Public Works regarding adjacent or overlapping projects, traffic signal control and communications cooperative agreements, and signal coordination timing.
The project elements/field equipment may include but is not limited to the following:

Traffic signal interconnections and new communication - wireless modem, switches, router, server, appurtenances etc.
Conflict monitors;
Traffic monitoring video camera;
Traffic signal controllers;
Database server software;
Windows server software;
Data conversion and migration;
Battery backup systems;
