If CITY requests that CONTRACTOR utilize specific supplies in connection with the performance of the Services, such as, for example, forms, brochures, or rabies books, CITY will provide those supplies to CONTRACTOR without charge.
24 2 -

5. BANK ACCOUNTS
Licensing fees and any other amounts that are collected by CONTRACTOR for the benefit of CITY under this Agreement will be deposited into an account of one of the following types that is from time to time designated by CITY (a “ Bank Account”):

A. An account established and maintained by CITY in its name at a bank or other financial institution (a CITY Account”); or
B. A separate account established and maintained by CONTRACTOR at a bank or other financial institution selected by CONTRACTOR in which will be deposited funds that relate solely to this Agreement (a Maintained Account”).

CITY will initially designate the type of Bank Account to be utilized hereunder in a notice that CITY will deliver to CONTRACTOR during the Transition Phase in accordance with Section 11. CITY may thereafter change the designation of the type of Bank Account to be utilized hereunder from time to time upon notice to CONTRACTOR, and CONTRACTOR will have a reasonable time in order to effect any such requested change.

CITY will reimburse CONTRACTOR for all out-of-pocket expenses incurred by CONTRACTOR in connection with any change in the type of Bank Account utilized hereunder. CITY acknowledges and consents that CONTRACTOR may make an initial deposit into a Maintained Account from CONTRACTOR’s funds in order to establish the account, which initial deposit will be refunded or otherwise reimbursed to CONTRACTOR.

When a Maintained Account is closed, any funds remaining in the account after the payment of all amounts due CITY hereunder will belong to and be disbursed to CONTRACTOR.

6. COMPENSATION TO CONTRACTOR
In consideration of the Services, CONTRACTOR shall be entitled to the following compensation:

A. Basic Fees.

CITY shall pay to CONTRACTOR the following fees for all animal licenses issued during the term of this Agreement, regardless of whether they are issued by CITY, CONTRACTOR, veterinarians, or any other persons:
1) For Months 1-36 of Agreement:

4.20 for each one-year license or replacement tag.

6.20 for each two-year license or replacement tag.

8.20 for each three-year license or replacement tag.
2) For Months 37-60 of Agreement:

4.30 for each one-year license or replacement tag.

6.30 for each two-year license or replacement tag.

8.30 for each three-year license or replacement tag.
3) $ 2.50 collection service fee for each late fee, if any, paid by a Licensee during the term of this Agreement.

An animal license will be considered “ issued” for purposes of this Agreement regardless of the means, method, program, process, or agency used for the issuance or registration of the license, and whether or not a fee or other consideration is charged or received by the CITY forthe license. Without limiting the generality of the foregoing, an animal license that is donated or issued free of charge by the CITY or that is issued as part of a bundling of CITY services or programs will be considered “ issued” for purposes of this Agreement. Further, any animal license that is processed by CONTRACTOR for CITY during the term of this Agreement will be considered 25 3 -
issued” for purposes of this Agreement, whether or not the license was or is actually issued or delivered before, during, or after the term of this Agreement.

Notwithstanding the preceding provisions of this Section 6A, the parties agree that CONTRACTOR’ s minimum aggregate fees under this Section 6A are $6,000.00 per calendar year. In order to assure the payment of such minimum aggregate annual fees to CONTRACTOR, the parties agree that if the aggregate fees payable to CONTRACTOR under this Section 6A for a calendar month would, but for the application of this sentence, be less than $500.00, then the aggregate fees payable to CONTRACTOR under this Section 6A for that calendar month will be $500.00. However, the foregoing minimum monthly amount will not be applicable if the aggregate fees paid to CONTRACTOR under this Section 6A have already equaled or exceeded, or in the opinion of CONTRACTOR are reasonably expected to otherwise equal or exceed, $6,000.00 for that calendar year. If the aggregate annual fees paid to CONTRACTOR under this Section 6A during any calendar year do not equal or exceed $ 6,000.00, then CITY shall pay an amount equal to the positive difference between ( i) the amount previously paid to CONTRACTOR for that calendar year and (ii) $6,000.00, upon demand by CONTRACTOR.

The $6,000.00 minimum annual amount shall be prorated for any partial calendar year during the term of this Agreement. No delay or failure on the part of CONTRACTOR in imposing or collecting the aforesaid monthly minimum amount shall affect CONTRACTOR’ s right to receive the aforesaid minimum aggregate annual fees or to collect the aforesaid minimum aggregate monthly amount either then or in the future. CITY acknowledges that the aforesaid minimum fee amounts apply only to the fees payable to CONTRACTOR under this Section 6A, and do not include, by way of example and not by way of limitation, any Start-Up Fee payable to CONTRACTOR under Section 6B.

The fees paid to CONTRACTOR under this Section 6A are further subject to reasonable adjustment in the event that CITY adds, modifies, or eliminates any fees that are charged to Licensees during the term of this Agreement.

CITY and CONTRACTOR agree to negotiate any such reasonable adjustments in good faith.

As used in this Agreement, the term “ Licensee” refers to any person who applies for an animal license to be issued by or on behalf of CITY.

B. Start-Up Fee.

CITY shall pay to CONTRACTOR, a $ 1,000, one-time only, “ Start-Up Fee”. The Start-Up Fee is due and payable within fifteen business days after the Execution Date. There are no Start-Up Fees for term extensions or any renewals of this Agreement that may hereafter be entered into by the parties.

C. Additional Service Fees or Costs.

The following fees or cost reimbursements will apply to the extent that the corresponding services described below are requested by CITY:
1) Cost of Bank Account. CITY will be responsible for all out-of-pocket costs related to any Bank Account. CITY will reimburse CONTRACTOR on a monthly basis for any out-of-pocket costs for a Bank Account that are paid by CONTRACTOR. CITY may request copies of the bank statements for a Maintained Account at any time and CONTRACTOR will provide available bank statements for that Maintained Account within five business days after a request is received by CONTRACTOR.
2) Postal Box/Mail Forwarding Fee. If CITY requests CONTRACTOR to establish a local post office box for mail collection and forwarding, CITY will pay or reimburse CONTRACTOR for the actual costs of mail box rental, mail forwarding and postage fees. 26 4 -
3) Supply Fee. If CITY requests changes to supplies or notices that it has previously approved, including but not limited to fee or program changes, CITY will be responsible for the actual costs associated with changing, replacing or discontinuing the use of the previously approved supplies. 4) Lock Box Fees. If CITY utilizes a lockbox, the actual fees and costs associated with the lockbox, including the cost to forward mail to CONTRACTOR from a lockbox, shall be borne solely by CITY.

D. Charges to Licensees.

CITY agrees that CONTRACTOR may charge and collect the following fees directly from Licensees, and CONTRACTOR shall be entitled to retain any such fees so collected as part of CONTRACTOR’s compensation under this Agreement, except as otherwise provided below:
1) $ 2.00 for each on-line transaction engaged in by a Licensee. 2) CONTRACTOR may charge a fee to a Licensee of no more than $ 35.00 ( or, if lower, the maximum amount permitted by applicable law from time to time in effect) for each check or other payment from that Licensee that is returned uncollected for any reason. Any such returned item fee related to a Maintained Account that is actually collected shall be deposited into the Maintained Account and shall be for the benefit of CITY so long as bank fees remain responsibility of CITY; otherwise the fee shall be retained by CONTRACTOR.

7. MODIFICATIONS OF SERVICES
If CITY requests Services in addition to those described in this Agreement, and CONTRACTOR agrees to provide those additional Services, then CONTRACTOR shall be entitled to additional compensation for those additional Services as shall be agreed upon by CONTRACTOR and CITY in a written modification to this Agreement that is signed by authorized parties of the CITY and CONTRACTOR. CONTRACTOR shall not be required to perform any such additional Services unless and until the parties have entered into a written amendment to this Agreement. Without limiting the other types of services that may be considered to be outside of the scope of the Services described in this Agreement, the following types of Services would be considered to be outside of the scope of the Services described in this Agreement and, therefore, the subject of additional compensation to CONTRACTOR: customized software projects; requests for new features in CONTRACTOR’s software; or requests for CONTRACTOR to implement new procedures or operations. CITY may determine after the Execution Date that certain portions of the Services are no longer necessary, in which event CITY shall notify CONTRACTOR of the portions of the Services that are no longer required, and CONTRACTOR shall be relieved of the responsibility for performing those portions of the Services. However, there shall be no adjustment in CONTRACTOR’ s compensation hereunder for any portions of the Services that CONTRACTOR is not required to perform.

8. REPORTS
A. Reports from CONTRACTOR. Within 15 business days after the end of each calendar month during the term hereof, CONTRACTOR will submit an animal licensing summary report for the preceding calendar month to CITY in a format that is mutually agreed upon by CITY and CONTRACTOR. Any such report may be transmitted electronically or by any other means.

B. Reports from CITY. Within 10 calendar days after the end of each calendar month during the term hereof, CITY will submit a report to CONTRACTOR of all license fees that CITY has received during the preceding calendar month from Licensees, veterinarians or any other source other than CONTRACTOR. Any such report may be transmitted electronically or by any other means. 27 5 -

9. PAYMENTS
A. CITY Account Used. If and for so long as a CITY Account is utilized hereunder, the following provisions shall apply (and the provisions of Section 9B shall be inapplicable):

CITY will pay CONTRACTOR the invoiced amount by means of check, ACH payment or other form of payment acceptable to CONTRACTOR within 30 days after the date CONTRACTOR submits the invoice to CITY. Invoices will be submitted electronically to the e-mail address that CITY shall from time to time provide CONTRACTOR for the submission of invoices or in such other manner as CITY may from time to time request in writing to CONTRACTOR and that is acceptable to CONTRACTOR.

B. Maintained Account Used. If and for so long as a Maintained Account is utilized hereunder, the following provisions shall apply (and the provisions of Section 9A shall be inapplicable):

Upon opening a Maintained Account, CONTRACTOR shall deposit no more than $100 to fund account. Within 15 business days after the end of each calendar month, CONTRACTOR shall remit to CITY the residual amount, if any, of all license fees collected by CONTRACTOR hereunder during the preceding calendar month after deducting therefrom all fees, costs, expenses, and reimbursements due CONTRACTOR hereunder. If at any time the funds in the Maintained Account are not sufficient to fully pay amounts due to CONTRACTOR hereunder, then CONTRACTOR may recoup any shortfall from any subsequent payments due to CITY under this paragraph until all sums due CONTRACTOR, including initial $100 deposit, have been fully paid.

C. Direct Collections by CITY. If CITY collects any animal license fee or any other amount that is subject to this Agreement directly from a Licensee, veterinarian or other source, other than CONTRACTOR, CITY may either forward the amount collected to CONTRACTOR within fifteen business days for deposit into a Maintained Account, if a Maintained Account is in effect, or retain the amount. In either event, CITY shall report the amount so collected to CONTRACTOR in accordance with Section 8B so that the fee(s) due CONTRACTOR hereunder with respect to the amount collected by CITY may be determined and paid in accordance with this Agreement.

10. TERM
The initial term of this Agreement will commence on the Execution Date and will expire at the close of business on January 18, 2026, unless this Agreement is sooner terminated in accordance with other provisions of this Agreement.

11. TRANSITION PHASE

CONTRACTOR, in its discretion, may begin processing licenses prior to the expiration of the Transition Phase.

CITY acknowledges that any delay in the performance of its obligations under this Section 11 may result in a delay in the commencement of the Services. The date on which CONTRACTOR commences the processing of licenses hereunder is referred to in this Agreement as the “ Commencement Date.” CONTRACTOR shall notify CITY of the Commencement Date within a reasonable period before or after the Commencement Date. 28 6 -
During the Transition Phase:

A. License Data.

CITY shall provide historical license data files consisting of licenses older than 90 days within fifteen days after the Execution Date. The said historical data shall be made available to CONTRACTOR in an electronic format that is readily importable by CONTRACTOR.

B. Legal Requirements.

CONTRACTOR shall, in performing the Services under this Agreement, comply with all federal, state, county, or CITY statutes, laws, codes and ordinances, as amended, that are directly applicable to CONTRACTOR’s performance of the Services. CITY should notify CONTRACTOR of changes to laws, codes or ordinances affecting CONTRACTOR’ s performance of Services under this Agreement of which CITY obtains actual knowledge during the term of this Agreement. In no event shall the CITY be liable in the event the changes are not communicated to the CONTRACTOR and any lack of communication shall not be deemed cause to terminate this Agreement.

13. COVENANTS REGARDING DATA
CONTRACTOR agrees that it will not, without CITY’s consent, use personal data collected on behalf of CITY other than for the performance of the Services or other uses permitted by this Agreement or under applicable law. Further, CONTRACTOR agrees that it will not sell, or intentionally transfer or release, to any third party personal data that CONTRACTOR has collected in performing the Services, except as may otherwise be required by this Agreement or applicable law including without limitation the State Public Records Act, and that it will take commercially reasonable measures to prevent the unauthorized release of any such third party personal data.

Upon the termination of this Agreement, CONTRACTOR agrees to return or transfer to CITY, in a mutually acceptable format, all animal licensing data maintained by CONTRACTOR under this Agreement within 15 business days after CONTRACTOR has received all sums due CONTRACTOR under this Agreement. 29 7 -

14. INDEMNITY
Subject to the limitations on CONTRACTOR’ s liability set forth elsewhere in this Agreement, CONTRACTOR agrees to indemnify and hold harmless CITY and its officers and employees from and against any and all claims, lawsuits, judgments, costs and expenses for personal injury (including death), property damage or other harm for which recovery of damages is sought, suffered by any person or persons, arising out of CONTRACTOR’ s negligence, gross negligence or willful misconduct in the performance of the Services under this Agreement. In the event of joint and concurring responsibility of CONTRACTOR and CITY, responsibility and indemnity, if any, shall be apportioned comparatively. The provisions of this paragraph are solely for the benefit of the parties hereto and are not intended to create or grant any rights, contractual or otherwise, in or to any other person or entity.

15. INSURANCE REQUIREMENTS
CONTRACTOR shall procure, pay for, and maintain during the term of this Agreement:

A. Commercial Liability Insurance with a minimum combined single limit coverage of $1,000,000 per occurrence, and a $2,000,000 General Aggregate Limit for all damages due to bodily injury, sickness or disease, or death to any person, and damage to property, including the loss of use thereof.

CONTRACTOR shall furnish evidence of such coverage to CITY and will provide 30 days’ written notice of policy lapse or cancellation, or of a material change in policy terms.

CONTRACTOR does not own any vehicles. However, CONTRACTOR does have coverage for non-owned vehicles under its commercial liability policy. Therefore, CONTRACTOR does not carry and shall not be obligated to carry separate automobile liability coverage.

16. TERMINATION

CITY may terminate this Agreement upon not less than 90 days prior notice to CONTRACTOR if CITY determines to terminate its animal licensing program. Upon such termination, CONTRACTOR shall be entitled to payment for all amounts due CONTRACTOR hereunder with respect to all periods through the date of termination.

18. RECORDS/AUDIT
CONTRACTOR shall maintain in electronic form or on a database material books, records, and documents directly related to the performance of the Services ( collectively, “ Records”) during the term of this Agreement and for a period of five years thereafter. CONTRACTOR shall further maintain any Records that were either received or originally generated by CONTRACTOR in paper or electronic form for a period of five years after the date(s) that the respective Records were originally received or generated or until the termination, by expiration or otherwise, of this Agreement, whichever occurs first. Any paper Records in existence at the expiration of any such five-year period or at the termination of this Agreement shall either be shipped to CITY or destroyed, at CITY’ s option and at CITY’ s expense in either case. During the term of this Agreement and for a period of five years thereafter, CITY shall have the right to inspect and audit, at CITY’s expense, and upon reasonable advance notice to CONTRACTOR, the Records that CONTRACTOR is obligated to maintain hereunder as of the time of any such inspection or audit. Notwithstanding the foregoing, any Records maintained by CONTRACTOR during the term of this Agreement that relate to any litigation, appeal, or related settlement arising under or in relation to this Agreement shall be preserved until a final disposition has been made of such litigation. However, CONTRACTOR shall not have any liability for disposing of paper Records in accordance with this Agreement prior to the time that CONTRACTOR obtained actual knowledge of the existence of the litigation.

Forvis Mazars, LLP Terms and Conditions Addendum

GENERAL

1. Overview. This addendum describes Forvis Mazars, LLP’s standard terms and conditions (“Terms and Conditions”)
applicable to Our provision of services to the Client (“You”). The Terms and Conditions are a part of the contract between You and Forvis Mazars, LLP. For the purposes of the Terms and Conditions, any reference to “Firm,” “We,” “Us,” or “Our” is a reference to Forvis Mazars, LLP (“Forvis Mazars”), and any reference to “You” or “Your” is a reference to the party or parties that have engaged Us to provide services and the party or parties ultimately responsible for payment of Our fees and costs.

BILLING, PAYMENT, & TERMINATION

2. Billing and Payment Terms. We will bill You for Our
professional fees and costs as outlined in Our contract. Unless otherwise provided in Our contract, payment is due upon receipt of Our billing statement. Interest will be charged on any unpaid balance after 30 days at the rate of 10 percent per annum, or as allowed by law at the earliest date thereafter, and highest applicable rate if less than 10 percent. All fees, charges, and other amounts payable to Forvis Mazars hereunder do not include any sales, use, excise, value-added, or other applicable taxes, tariffs, or duties, payment of which shall be Your sole responsibility, and do not include any applicable taxes based on Forvis Mazars’ net income or taxes arising from the
employment or independent contractor relationship between Forvis Mazars and Forvis Mazars’ personnel.

We reserve the right to suspend or terminate Our work for this engagement or any other engagement for nonpayment of fees.

If Our work is suspended or terminated, You agree that We will not be responsible for Your failure to meet governmental and other deadlines, for any penalties or interest that may be assessed against You resulting from Your failure to meet such deadlines, and for any other damages (including but not limited to consequential, indirect, lost profits, or punitive damages) incurred as a result of the suspension or termination of Our services.

Our fees may increase if Our duties or responsibilities are increased by rulemaking of any regulatory body or any
additional new accounting or auditing standards. Our
engagement fees do not include any time for post-engagement consultation with Your personnel or third parties, consent letters and related procedures for the use of Our reports in offering documents, inquiries from regulators, or testimony or deposition regarding any subpoena. Charges for such services will be billed separately.

3. Billing Records. If these services are determined to be within the scope and authority of Section 1861(v)(1)(I) of the Social Security Act, We agree to make available to the Secretary of Health and Human Services, or to the U.S. Comptroller
General, or any of their duly authorized representatives, such of Our books, documents, and records that are necessary to certify the nature and extent of Our services, until the expiration of four (4) years after the furnishing of these services. This contract allows access to contracts of a similar nature between subcontractors and related organizations of the subcontractor, and to their books, documents, and records.

4. Termination. Either party may terminate these services in good faith at any time for any reason, including Your failure to comply with the terms of Our contract or as We determine professional standards require. Both parties must agree, in writing, to any future modifications or extensions. If services are terminated, You agree to pay Forvis Mazars for time expended to date. In addition, You will be billed costs and fees for services from other professionals, if any, as well as an administrative fee of five (5) percent to cover certain technology and
administrative costs associated with Our services. Unless terminated sooner in accordance with its terms, this
engagement shall terminate upon the completion of Forvis Mazars’ services hereunder.

DISPUTES & DISCLAIMERS

5. Mediation. Any dispute arising out of or related to this engagement will, prior to resorting to litigation, be submitted for nonbinding mediation upon written request by either party. Both parties agree to try in good faith to settle the dispute in mediation. The mediator will be selected by agreement of the parties. The mediation proceeding shall be confidential. Each party will bear its own costs in the mediation, but the fees and expenses of the mediator will be shared equally.

6. Indemnification. You agree to indemnify, defend, and hold harmless Forvis Mazars and any of its partners, principals, shareholders, officers, directors, members, employees, agents, or assigns with respect to any and all claims arising from this engagement, regardless of the nature of the claim, and
including the negligence of any party, except to the extent caused by the intentional or willful misconduct of Forvis Mazars. This provision shall not apply if enforcement is disallowed by applicable law or professional standards.

In addition, You acknowledge and agree that any advice, recommendations, information, or work product provided to You in connection with this engagement is based in part upon the accuracy of Your factual representations to Forvis Mazars and is not intended to be relied upon by any other parties. You agree to indemnify, defend, and hold Forvis Mazars harmless from and against any and all liability for loss and damage including, direct, indirect, consequential, incidental, and special damages such as loss of revenue and anticipated profits (“Damages”) arising under or by virtue of (i) material factual misrepresentations or omissions to Forvis Mazars by You or Your agents, and (ii) claim or demand of any third party to the extent resulting from that party’s use or possession of or reliance upon Forvis Mazars’ advice, recommendations,
information, or work product (collectively “Work Product”) as a direct or indirect result of Your use or disclosure of such Work Product, except as such use, possession, or reliance is specifically authorized by Forvis Mazars in writing or otherwise authorized by applicable law.

Unless specifically authorized by Forvis Mazars in writing or as authorized by applicable law, You agree that You will not provide any third party with Our Work Product for their use or reliance.

7. Statute of Limitations. You agree that any claim or legal action arising out of or related to this contract and the services provided hereunder shall be commenced no more than one (1) year from the date of delivery of the work product to You or the termination of the services described herein (whichever is earlier), regardless of any statute of limitations prescribing a longer period of time for commencing such a claim under law.

This time limitation shall apply regardless of whether Forvis Mazars performs other or subsequent services for You. A claim is understood to be a demand for money or services, demand for mediation, or the service of suit based on a breach of this contract or the acts or omissions of Forvis Mazars in performing the services provided herein. This provision shall not apply if enforcement is disallowed by applicable law or professional standards.

8. Limitation of Liability. You agree that Forvis Mazars’ liability, if any, arising out of or related to this contract and the services provided hereunder, shall be limited to the amount of the fees paid by You for services rendered under this contract. This limitation shall not apply to the extent it is finally, judicially determined that the liability resulted from the intentional or willful misconduct of Forvis Mazars or if enforcement of this provision is disallowed by applicable law or professional standards.

9. Waiver of Certain Damages. In no event shall Forvis Mazars be liable to You or a third party for any indirect, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, loss of revenue, interruption, loss of use, damage to goodwill or reputation, regardless of whether You were advised of the possibility of such damages,
regardless of whether such damages were reasonably
foreseeable, and regardless of whether such damages arise under a theory of contract, tort, strict liability, or otherwise.

10. Choice of Law. You acknowledge and agree that any dispute arising out of or related to this contract shall be governed by the laws of the State of California, without regard to its conflict of laws principles.

11. WAIVER OF JURY TRIAL. THE PARTIES HEREBY AGREE

NOT TO ELECT A TRIAL BY JURY OF ANY ISSUE TRIABLE

OF RIGHT BY JURY, AND WAIVE ANY RIGHT TO TRIAL BY

JURY FULLY TO THE EXTENT THAT ANY SUCH RIGHT

SHALL NOW OR HEREAFTER EXIST WITH REGARD TO

THIS AGREEMENT, OR ANY CLAIM, COUNTERCLAIM, OR
OTHER ACTION ARISING IN CONNECTION THEREWITH.

THIS WAIVER OF RIGHT TO TRIAL BY JURY IS GIVEN

KNOWINGLY AND VOLUNTARILY BY THE PARTIES, AND

IS INTENDED TO ENCOMPASS INDIVIDUALLY EACH

INSTANCE AND EACH ISSUE AS TO WHICH THE RIGHT
TO A TRIAL BY JURY WOULD OTHERWISE ACCRUE.

12. Severability. In the event that any term or provision of this agreement shall be held to be invalid, void, or unenforceable, then the remainder of this agreement shall not be affected, and each such term and provision of this agreement shall be valid and enforceable to the fullest extent permitted by law.

13. Assignment. You acknowledge and agree that the terms and conditions of this contract shall be binding upon and inure to the parties’ successors and assigns, subject to applicable laws and regulations.

14. Disclaimer of Legal or Investment Advice. Our services do not constitute legal or investment advice. You should seek the advice of legal counsel in such matters. Regulatory authorities may interpret circumstances differently than We do. In addition, the applicable laws, regulations, and regulators’ enforcement activities may change over time.

RECORDS, WORKPAPERS, DELIVERABLES, &

PROPRIETARY INFORMATION

15. Maintenance of Records. You agree to assume full
responsibility for maintaining Your original data and records and that Forvis Mazars has no responsibility to maintain this information. You agree You will not rely on Forvis Mazars to provide hosting, electronic security, or backup services, e.g., business continuity or disaster recovery services, to You unless separately engaged to do so. You understand that Your access to data, records, and information from Forvis Mazars’ servers, i.e., Forvis Mazars portals used to exchange information, can be terminated at any time and You will not rely on using this to host Your data and records.

16. Forvis Mazars Workpapers. Our workpapers and
documentation retained in any form of media for this
engagement are the property of Forvis Mazars. We can be compelled to provide information under legal process. In addition, We may be requested by regulatory or enforcement bodies (including any State Board) to make certain workpapers available to them pursuant to authority granted by law or regulation. Unless We are prohibited from doing so by law or regulation, Forvis Mazars will inform You of any such legal process or request. You agree We have no legal responsibility to You in the event We determine We are obligated to provide such documents or information.

17. Subpoenas or Other Legal Process. In the event Forvis Mazars is required to respond to any such subpoena, court order, or any government regulatory inquiry or other legal process relating to You or Your management for the production of documents and/or testimony relative to information We obtained or prepared incident to this or any other engagement in a matter in which Forvis Mazars is not a party, You shall compensate Forvis Mazars for all time We expend in
connection with such response at normal and customary hourly rates and to reimburse Us for all out-of-pocket expenses incurred in regard to such response.

18. Use of Deliverables and Drafts. You agree You will not modify any deliverables or drafts prepared by Us for internal use or for distribution to third parties. You also understand that We may on occasion send You documents marked as draft and
understand that those are for Your review purpose only, should not be distributed in any way, and should be destroyed as soon as possible.

19. Proprietary Information. You acknowledge that proprietary information, documents, materials, management techniques, and other intellectual property are a material source of the services We perform and were developed prior to Our
association with You. Any new forms, software, documents, or intellectual property We develop during this engagement for Your use shall belong to Us, and You shall have the limited right to use them solely within Your business. This provision will apply to all materials whether in digital, “hard copy” format, or other medium. Notwithstanding any provision to the contrary, Forvis Mazars understands and acknowledges that the Engagement Letter, Scope of Services, and Terms and Conditions Addendum are not confidential and proprietary information.

REGULATORY

20. U.S. Securities and Exchange Commission (“SEC”) and other Regulatory Bodies. Where We are providing services either for (a) an entity that is registered with the SEC, (b) an affiliate of such registrant, or (c) an entity or affiliate that is subject to rules, regulations, or standards beyond those of the American Institute of Certified Public Accountants (“AICPA”), any term of this contract that would be prohibited by or impair Our independence under applicable law or regulation shall not apply to the extent necessary only to avoid such prohibition or impairment.

counterparts have been signed by each of the parties and delivered to the other parties. Each party agrees that the electronic signatures, whether digital or encrypted, of the parties included in this contract are intended to authenticate this writing and to have the same force and effect as manual signatures. APPROVE A MEMORANDUM OF AGREEMENT WITH THE COUNTY OF LOS ANGELES FOR BASIC ACADEMY PEACE OFFICER RECRUIT TRAINING, EFFECTIVE JULY 1, 2025 UNTIL

TERMINATED BY EITHER PARTY

EXECUTIVE SUMMARY
The Police Department utilizes several allied law enforcement agencies to train entry-level police recruits at 26-week basic academies that meet the requirements of the California Commission on Peace Officer Standards and Training (POST). One of these agencies is the Los Angeles County Sheriff’s Department (LASD), under a previously executed Supplemental Law Enforcement Services Agreement (SLESA).

In December 2025, the Los Angeles County Board of Supervisors approved an updated Memorandum of Agreement (MOA) to replace the prior SLESA, retroactive to July 1, 2025. The proposed MOA with LASD for its basic academy provides an additional option to the Police Department when enrolling recruits into a POST basic academy, but does not obligate the Police Department to solely utilize LASD. The cost of LASD’s 26-week basic academy is $7,832 per recruit.

BACKGROUND
The Police Department utilizes different POST-compliant regional basic training academies operated by allied law enforcement partners. These training partnerships include the Orange County Sheriff's Regional Training Academy, the City of Long Beach Police Academy, Golden West College Criminal Justice Training Center Regular Basic Course, and the Los Angeles County Sheriff’s Department (LASD). In addition to meeting the basic POST requirements, each of these organizations have dedicated training staff that exceed the minimum requirements and frequently graduate recruits well prepared for the challenge of the Department’s field training program.

On December 8, 2025, the Los Angeles County Board of Supervisors approved the proposed MOA to replace a previously executed Supplemental Law Enforcement Services Agreement (SLESA) for basic recruit training with LASD. This change requires approval of the presented MOA to utilize the LASD basic academy. The County Board action included the adoption of the retroactive July 1, 2025 effective date. While the County of Los Angeles is a critical regional partner, it is not practicable for them to negotiate terms and adjust effective dates in consideration of a single municipal partner. For this reason, we are requesting approval based on this retroactive effective date. Requests for updated pricing reflected in Exhibit A are pending. However, because the Police Department is not obligated to utilize the LASD academy, staff recommends approval of the MOA to preserve the option

48 H.5., File # 26-0819 Meeting Date: 7/14/2026
obligated to utilize the LASD academy, staff recommends approval of the MOA to preserve the option of using LASD for basic academy training if future pricing remains competitive with other available options.

The high volume of new officer hiring throughout the region has impacted access to the various POST basic training academies, making it important that the Police Department maintain the MOA with LASD. This allows for the flexibility to meet our community’s public safety needs in consideration of the considerable minimum lead time (26 weeks of basic academy, plus an additional six months of field training) required to train entry level police officers. The Police Department last sent a recruit to LASD’s 26-week basic academy in 2023.

COORDINATION
The MOA was approved as to form, but not content, by the City Attorney’s Office, as it was derived from the LASD required template.

FISCAL IMPACT
Funding for POST basic academy training for police recruits is incorporated in the annual operating budget for the Police Department. Under the MOA, the cost would be $7,832 per recruit for LASD’s 26-week basic academy. The City is not obligated to send any recruits to LASD for the basic academy.

RECITALS
(a) Whereas, the Public Entity is desirous of contracting with the County for the training of its peace officer recruits ("recruits") by the Los Angeles County Sheriff’s Department (“Sheriff’s Department”); and
(b) Whereas, the Sheriff’s Department operates a California Peace Officer Standards and Training ("POST") certified law enforcement training academy and provides law enforcement training for new recruits in accordance with POST standards; and (c) Whereas, the County is agreeable to rendering such recruit training services to the Public Entity under the terms and conditions set forth in this Agreement; and (d) Whereas, this Agreement is authorized pursuant to Section 56 ½ or 56 ¾ of the Charter of the County of Los Angeles and/or Section 51301 of the California Government Code.

NOW THEREFORE, in consideration of the mutual covenants contained herein, and for good and valuable consideration, the parties mutually agree as follows:

1.0 SCOPE OF SERVICES

1.1 The County agrees, as available, through the Sheriff's Department, to provide POST-certified training for Public Entity recruits. The classification, number of recruits, and training duration shall be mutually agreed upon by both parties and shall include all required POST mandates.

1.2. Requests for training shall be made in writing by the Public Entity and shall include the number of recruits and requested training dates in a Public Entity letterhead. 51 3
Requests shall be submitted to the Los Angeles County Sheriff’s Department Training Bureau Recruit Training Unit 11515 S. Colima Road, Building K Whittier, CA 90604 562-906-5468.

1.3 The Sheriff’s Department shall provide all instruction, supervision, materials, facilities and equipment necessary for the academy training, as available.

Notwithstanding the foregoing, the Public Entity shall provide all standard gear and tools required by the respective Public Entity.

1.4 Public Entity recruits shall remain employees of the Public Entity throughout the training period. They shall not be considered employees or agents of the County for any purpose.

1.5 Public Entity employees can take no action to bind the County. Public Entity employees are solely to be trained by County employees, their agents, or contractors.

1.6 Public Entity employees who train with the Sheriff’s Department pursuant to this Agreement shall remain employees of the Public Entity and shall not have any claim or right to employment, civil service protection, salary, benefits, or claims of any kind from the County based on this Agreement.

2.0 ADMINISTRATION OF PERSONNEL

2.1 The training services provided by the Sheriff’s Department will be supervised and administered solely by the County.

2.2 All Public Entity recruits shall remain subject to the control, discipline, and personnel policies of the Public Entity.

2.3 With regard to Paragraphs 2.1 and 2.2 above, in the event of an unresolved dispute over the minimum level of performance of services, the County shall have final and conclusive determination as between the parties hereto.

2.4 The Public Entity agrees to bear all costs associated with the training of its recruits.

In instances where the recruit is separated prior to the completion of the Sheriff’s Department training academy due to any injury, physical incapacity preventing the recruit from passing any assessments or written testing, or where the recruit either 52 4
elects or is unable to return to the training academy, or the Public Entity elects to withdraw the recruit from academy training, the County will prorate the fee for service.

2.5 The Public Entity shall not be called upon to assume any liability for the direct payment of any Sheriff's Department salaries, wages, or other compensation to any County personnel performing services hereunder for said Public Entity. Except as herein otherwise specified, the Public Entity shall not be liable for compensation or indemnity to any County employee or agent of the County for injury or sickness arising out of his/her employment as a contract employee of the Public Entity.

2.6 The County shall not be responsible for any employment-related liabilities pertaining to the Public Entity’s recruit.

2.7 As part of its compliance with all applicable laws and regulations relating to employee hiring, the County agrees that the County Civil Service Rules to which it is subject and which prohibit discrimination on the basis of non-merit factors, shall for purposes of this Agreement be read and understood to prohibit discrimination on the basis of sexual orientation.

3.0 INDEMNIFICATION

3.1 The County shall not be considered the employer of any Public Entity recruit receiving training services under this Agreement, and as such, shall not be responsible for any liabilities arising from acts or omissions of the Public Entity, their employees, agents, or subcontractors. The Public Entity agrees to indemnify, defend, and hold harmless the County, its officers, drill instructors, employees, agents, and County representatives from any and all claims, demands, actions, causes of action, liabilities, damages, or expenses (including, but not limited to, attorney’s fees and costs) arising out of or related to any allegations or claims, including but not limited to, sexual harassment, discrimination, or any other unlawful conduct, occurring during or related to the performance of this Agreement, provided that such claims arise from the actions of the Public Entity, their employees, agents, or subcontractors.
53 5

3.2 The Public Entity further acknowledges and agrees that the County is not responsible for any employer-related obligations, including but not limited to those related to workers' compensation, employment taxes, or benefits for the Public Entity’s personnel.

3.3 This indemnification emphasizes that the County is not acting as an employer and clarifies that the Public Entity is responsible for indemnifying the County against any claims or liabilities arising from their employees or subcontractors' actions, particularly in sensitive areas like sexual harassment or discrimination. The provision also makes clear that the indemnification obligation excludes the County’s own negligence.

4.0 TERM OF AGREEMENT
This Agreement shall commence July 1, 2025, or upon execution by the Sheriff, whichever is later, and shall remain indefinite, unless sooner terminated in whole or in part as provided for herein.

5.0 RIGHT OF TERMINATION

5.1 Either party may terminate this Agreement with or without cause by giving not less than sixty days (60) calendar days advance written notice to the other party.

5.2 Notwithstanding the foregoing, the Sheriff may cancel the provision of services with thirty (30) calendar days advance notice, or less in the event of exigent circumstances, if the Sheriff concludes that there are insufficient personnel to provide the agreed upon services and still perform other Sheriff’s duties as required by law.

5.3 In the event of a termination, all outstanding financial obligations incurred by the Public Entity prior to the termination shall remain due and payable. 54 6

6.0 BILLING RATES

6.1 For and in consideration of the rendition of the services outlined in this Agreement to be performed by the County for the Public Entity under this Agreement, the Public Entity shall pay the County for said services provided by the County under the terms of this Agreement at the prevailing billing rates set forth on Exhibit A, Academy Recruit Training Rate, as established by the County Auditor-Controller.

The prevailing rate used shall be the rate in place at the onset of the academy class and shall prevail in instances where the academy class end date is within a new fiscal year.

6.2 The billing rates set forth on Exhibit A, Academy Recruit Training Rate, of this Agreement shall be readjusted by the County Auditor-Controller annually effective July 1 of each year, published by the County, and attached hereto this Agreement without requiring formal amendment and notice. The rate reflects the cost of such service in accordance with the policies and procedures for the determination of such rates as adopted by the County Board of Supervisors.

6.3 The billing rates published, Academy Recruit Training Rate, is developed and deemed appropriate by the County Auditor-Controller to reflect the County’s actual costs in the compensation of employees’ (except Deputy Sheriff - Reserves) salaries and benefits, the administration of workers’ compensation benefits, and the overhead of the County and any other attributable costs to the provision of services pursuant to this Agreement. The foregoing rates are adjusted annually pursuant to the policies and practices adopted by the Los Angeles County Board of Supervisors governing the determination of such actual costs.

6.4 The Sheriff’s Department reserves the right to waive the Academy Recruit Training Rate to Public Entities that agree to provide a drill instructor for a period of no less than 12 months. The extent of the annual waiver to Public Entities may not be applied to all of Public Entities’ recruits in the 12-month period and will be determined prior to the effective date of each 12-month period. It shall be understood by all parties that the cumulative annual sum of the waiver of the Academy Recruit Training Rate to Public Entities is intended to represent the 55 7
estimated annual cost of a drill instructor.

7.0 PAYMENT PROCEDURES

7.1 The County, through the Sheriff's Department, shall render to the Public Entity a one-time invoice for the full cost of training services associated with the academy class. This invoice shall be issued upon the commencement of the academy class or as otherwise agreed upon in writing by both parties. Proration of training costs in the event of early separation of a recruit shall be handled in accordance with Section 2.4 of this Agreement.

7.2 If such payment is not delivered to the County office, which is described on said invoice, within sixty (60) calendar days after the date of the invoice, the County is entitled to recover interest thereon. For all disputed amounts, the Public Entity shall provide the County with written notice of the dispute including the invoice date, amount, and reasons for dispute within ten (10) calendar days after receipt of the invoice. The parties shall memorialize the resolution of the dispute in writing. For any disputed amounts, interest shall accrue if payment is not received within sixty (60) calendar days after the dispute resolution is memorialized.

OF CLASS SPECIFICATIONS TO UPDATE THE POSITION OF FIRE CHIEF

EXECUTIVE SUMMARY
The City maintains an official book of class specifications for positions in the service of Redondo Beach. Pursuant to Article 6, Chapter 3 of the Redondo Beach Municipal Code, as recruitments for open positions are initiated, class specifications may be created, reviewed, updated, and modified to validate current job duties, responsibilities, and qualifications. The Fire Department will soon have a vacancy due to the upcoming retirement of the Fire Chief.

BACKGROUND
The City is preparing to fill the position of Fire Chief for the first time in several years. The existing job specification for the Fire Chief was last reviewed in 2012, and the attached, revised job specification would update the requirements of the position to allow each of the Department’s four Division Chiefs an opportunity to apply for the position. The revised specification includes overall updates to the position’s job duties and new language that adjusts the requisite experience as a Division Chief to three years and clarifies the timing of the position’s Bachelor’s Degree requirement.

Attached is a redlined and final version for Council review.

Staff recommends approval of the Resolution and updated job specification. The Fire Chief is an unclassified, at-will position assigned to the Management and Confidential employee group.

COORDINATION
The Human Resources Department coordinated the revised class specification with the City Manager’s Office. The City Attorney’s Office approved the Resolution as to form.

FISCAL IMPACT
Funding for the position is available in the Fire Department’s annual budget.

EXECUTIVE SUMMARY
Based on recommendations from the Public Works, Safety, and Sustainability Commission (PWSSC) at their January 2025 and June 2026 meetings, staff is bringing forward the final plans and specifications for the Palos Verdes Boulevard (PVB) Protected Bike Lane Project. The project will remove underutilized street parking on both sides of PVB between Pacific Coast Highway (PCH) and S Irena Avenue to install protected bicycle lanes and close a gap in the City’s micromobility network.

The Citywide Slurry Seal Project, Phases 5-7, Job No. 41140 (Slurry Project) construction contract was awarded to American Asphalt South, Inc. (American Asphalt South) on January 13, 2026. The Notice to Proceed for construction was issued effective June 2, 2026 with physical work beginning on June 16, 2026. Staff is recommending a change order to the construction contract with American Asphalt South to perform similar slurry scope to Palos Verdes Blvd and accelerate the delivery of the Protected Bike Lane Project. Additionally, staff identified streets near the North Redondo Beach Bikeway (NRBB) to implement traffic safety improvements and the addition of edge line striping on Flagler Lane that could be completed concurrently with the Slurry Seal project in a way that expedites delivery and saves cost. American Asphalt South provided a quote of $577,449.49 for the aforementioned additional work based on the existing unit pricing in their competitively bid contract.

Construction of the Slurry Project is ongoing and will include the recommended change order if approved by City Council. The anticipated completion of all planned projects is expected by, or before, October 2026.

The project was initiated as a referral from the former District 1 Councilmember in late 2024 in order to close a gap in bicycle lanes along PVB. Class II striped bicycle lanes were installed on PVB between S Irena Avenue and the eastern City border with Torrance. Class II striped bicycle lanes exist on PVB in Torrance west of PCH, but not east of Redondo’s eastern border with Torrance.

Therefore, the proposed project would provide continuous bicycle lanes between the eastern City border, Riviera Village, and Palos Verdes Estates.

The January 2025 PWSSC Administrative Report documents the background, analyses, and parking study to determine the feasibility of installing protected bicycle lanes on PVB between PCH and S Irena Avenue. Public comment was unanimously in favor of protected bicycle lanes on PVB. The PWSSC voted unanimously in favor of design and construction. Noticing of that meeting was provided to all residents within 250 feet of this segment of PVB. After the meeting, staff secured funding and completed design of the project. After design was completed in May 2026, staff noticed the same residents and agendized the final plans for input from the public and PWSSC at the June 2026 meeting. In addition, noticing was provided to the Eddy Redondo property manager, who posted notice of the meeting in common areas. Public comment at the June 2026 PWSSC was again in favor of the project and the PWSSC voted unanimously to recommend construction of the bicycle lanes.

The design of the entire project is now complete as the plans and specifications have been finalized and are ready for approval by the City Council. The plans and specifications are available for review at the plans and specifications review area located behind the Engineering Permit Counter in Redondo Beach City Hall.

Palos Verdes Blvd Signing and Striping Plan
Staff reviewed current City projects to determine if there were any similarly scoped projects that could be leveraged to expedite construction. The ongoing Slurry Project is an ideal candidate because it is largely comprised of pavement and striping work. Staff reached out to the contractor and American Asphalt South provided a quote of $372,812.25 to incorporate the signing and striping for the PVB Bike Lane Project. Staff recommends adding the PVB Protected Bike Lane Project to the current Slurry Project as a construction change order using contractual unit pricing. Utilizing the City’s current slurry seal project contractor will allow for accelerated project construction.

Slurry Seal of Palos Verdes Blvd
On a per square foot basis, application of slurry application is about 10% of the cost to grind and overlay asphalt pavement. Slurry seal provides a new wear surface to structurally sound asphalt and extends the lifespan of existing street pavement by reducing water incursion into the roadway section. Slurry is applied to asphalt pavement with a higher pavement condition index (PCI) in an attempt to “keep good streets in good condition.” This strategy increases the life of higher quality pavement and allows limited transportation restricted funds to go further in maintaining the City’s overall PCI for its streets.

As part of the 2023 Pavement Management Program Implementation Report (PMR), the City Council approved street segments for Phases 5 to 7 of the Citywide Slurry Program. Phases 5 to 7 include the work for all three years of the three-year workplan proposed in the 2023 PMR for map of the approved streets.

On October 7, 2025, the City Council approved the project plans and specifications and authorized

On October 7, 2025, the City Council approved the project plans and specifications and authorized the City Clerk to advertise the Slurry Project for competitive bids. The project was advertised on October 23, 2025, and 5 bids were received and publicly opened on December 4, 2025. After reviewing the bids, American Asphalt South was found to be the lowest responsible bidder and City Council awarded a public works contract to American Asphalt South in the amount of $597,931.97 in January 2026 to complete the project.

It is recommended that City Council approve the Change Order to add the PVB Protected Bike Lane Project as part the Slurry Project in an effort to accelerate street improvement delivery, using available funds to capitalize on favorable market pricing, and prepare the street for the PVB Protected Bike Lane Project. American Asphalt South provided a quote of $104,047.24 to slurry Palos Verdes Blvd from Pacific Coast Highway to Irena Ave.

The street will be slurry sealed, which will be followed by striping, sign installation, and deployment of bike buffer curbs. Completion of all work is anticipated by, or before, October 2026.

Traffic Calming and Safety Improvements
Staff reviewed the 2023 Pavement Management Program Implementation (PMP) to determine which streets adjacent to the NRBB would be good candidates for traffic calming and safety improvements.

Staff determined that asphalt speed humps and enhanced striping would improve safety at these crossings in a cost effective manner. Based on the pavement condition index (PCI) determined by the 2023 PMP, the following streets were selected:
1) Gates Ave
2) Curtis Ave
3) Ruhland Ave
4) Nelson Ave
5) Vanderbilt Ln
6) Carnegie Ln
7) Rockefeller Ln
8) Felton Ln
An exhibit showing the approved street segments for Phases 5 to 7 of the Citywide Slurry Program and proposed Asphalt speed hump locations for the selected streets is attached. The Asphalt speed humps will follow a modification of the City of Los Angeles standard plan S-483.0 with advance pavement markings for speed humps per California Manual on Uniform Control Devices (CA MUTCD) Figure 3B-29, Option A.

In addition, based on resident requests and positive feedback, the City will be installing edge line striping along Flagler Lane to calm traffic. This has already been approved as a policy concept at the City Council level, and a new installation along Rindge Lane has proven to be popular and effective.

The edge line striping will provide 10-foot travel lanes and a 4-foot shoulder.

Staff elected to join this additional pavement work and striping with the Citywide Slurry Seal Project to reduce overall mobilization costs and expedite construction. American Asphalt South provided a quote of $100,590 to construct the Asphalt speed humps and striping installations.

Subject: DISCUSSION OF BICYCLE LANE FEASIBILITY ON PALOS VERDES

BOULEVARD
SUMMARY:

Per City Council direction at the December 3, 2024 City Council meeting, staff is bringing forward a parking utilization and feasibility analysis to convert the on-street parking lanes on Palos Verdes Boulevard (PVB) to be protected bike lanes (Class IV). This analysis only applies to the segment of PVB between Pacific Coast Highway (PCH) and S Irena Avenue.

At this time, the City has approved and will install striped bike lanes (Class II) between Irena and the eastern City boundary with City of Torrance, east of Prospect. Parking data and staff’s feasibility analysis indicate that the space currently used as street parking could be utilized as protected bicycle lanes with relatively low impact to parking demand. Notice of this meeting was provided to addresses within 200 feet of the PVB corridor between PCH and Prospect. Noticing was also sent to the District 1 Councilmember. Staff is seeking input on this matter from the public and a recommendation from the PWSC on the feasibility of installing the Class IV bike lanes on PVB to provide to City Council.

ANALYSIS:

Over the past several years, the City has been working to implement its portion of the adopted South Bay Bicycle Master Plan (SBBMP), a regional plan to improve traffic safety, reduce vehicle use/traffic, and improve mobility for all ages and abilities. The City Council previously approved limited bicycle facilities on PVB, which includes Class II bicycle lanes (striping only) between S Irena Avenue and the City border with Torrance, and Class III bicycle route markings (sharrows) between Irena and PCH. PVB narrows west of Irena, so any dedicated bicycle lanes would require a reduction in either vehicle or parking lanes. For this reason, staff recommended only sharrows for this stretch in the SBBMP implementation project, which was approved by the City Council in 2024. Recent state law and contemporary research has suggested that sharrows on higher speed/volume streets to be ineffective in providing additional protection for cyclists. In response to this, the Council directed staff to bring the matter to the PWSC to provide a recommendation for the most suitable bicycle facilities on this portion of Palos Verdes Blvd. Staff was also directed to determine the feasibility to install dedicated bicycle lanes on PVB with respect to the impacts to traffic and parking demands.

Administrative Report
92 2
Staff determined that the most feasible option would be to convert underutilized on-street parking to be protected bicycle lanes. Staff does not recommend reducing travel lanes on PVB from two in each direction to one in each direction at this time. Attachment 1 shows recently collected traffic data and speeds near Avenue E. At this location, PVB carries a bidirectional average daily traffic (ADT) count of 16,147 vehicles per day, and the 85th percentile speed is 35 mph. This level of traffic could potentially be accommodated with one lane in each direction, which would open up other opportunities to calm traffic, improve safety, improve all-way stop/crosswalk compliance, and allow for additional crosswalks along the corridor. However, PVB contains one or two lanes in each direction in the City of Torrance, which borders both ends of Redondo’s PVB segment. In order to prevent the addition of merges to facilitate lane reductions along the corridor, any effort to reduce travel lanes would be best studied at a regional level in cooperation with Torrance and possibly cities on the PV Peninsula. Therefore, potentially removing street parking was determined to be the easiest and most expedient way forward to provide bicycle lanes on PVB in Redondo.

The City’s traffic data vendor collected hourly parking utilization data from 7 AM to 7 PM on both sides of PVB. Data was collected on one weekday (Tuesday, 12/17/2024) and one weekend day (Saturday, 12/20/2024). Additionally, City staff counted the number of parked cars in both directions on different days around 9:45 PM to reflect overnight conditions.

Attachment 2 shows the parking utilization of the 116 total spaces along PVB from PCH to Prospect, between 7 AM and 7 PM, broken down by each side and each block. No single block face along PVB where parking is allowed showed more than 50% occupancy. At any given time between 7 AM and 7 PM on a weekday, no more than seven (7) vehicles were parked on either side of PVB between PCH and Irena, less on the weekend. Separately, Public Works night staff performed parking utilization sweeps at 9:45 PM on eight (8) different nights in December 2024. No more than five (5) vehicles were parked along PVB between PCH and Prospect during that hour. Therefore, it can be concluded that parking utilization is very low along the corridor west of Irena, since all homes along PVB primarily face intersecting streets with ample on-street parking. Only residences along PVB east of Irena have primary frontage along PVB, which already will have Class II bicycle lanes with on-street parking.

Therefore, staff has concluded that converting underutilized on-street parking lanes on PVB between PCH and Irena to be protected Class IV bicycle lanes would not cause substantial parking effects on the neighborhood. From a public perspective, bicycle lanes are considered a more efficient use of public space along a street, as opposed to providing free on-street storage of private property (personal vehicles). Street parking is plentiful on intersecting side streets along PVB, since all residences west of Irena have their front doors facing the side streets. Other benefits of providing bicycle lanes along this corridor include:
 Safer conditions for bicycles and other mobility devices  Reduced bicycle riding in vehicular lanes and on sidewalks  Narrower travel lanes that reduce speeding and crashes  Reduced turning speeds onto slower side streets (traffic calming)  Improved bicycle access to Riviera Village (reduced traffic and parking)  Connects to Class II bicycle lanes along PVB in Torrance (West of PCH) 93 3
Attachment 3 shows existing and proposed cross sections of PVB. In order to reduce vehicular intrusion into bicycle lanes and provide the most effective traffic calming and bicycle safety benefits, staff recommends reducing travel lanes to 10’ widths, which are standard for urban areas. Ten-foot lanes are recommended in urban areas, while 11-foot lanes can be used along bus and truck corridors, which PVB is not. Staff also recommends 6’ wide bicycle lanes and 4’ wide buffers, which will allow for two-abreast cycling. The inclusion of vertical barriers for increased safety would require coordination with Athens Services to deploy smaller street sweepers. A 4’ wide buffer without vertical barriers would be considered a buffered Class II bicycle lane, while the inclusion of vertical barriers would classify the bicycle lanes as Class IV. If vertical barriers are used, staff recommends utilizing rigid barrier materials rather than flexible posts, which degrade quickly, do not truly protect vulnerable roadway users from vehicular impacts, and may not be considered aesthetically pleasing. Rigid barrier materials include prefabricated curb sections, rubber parking stops, and jersey barrier-like materials. Rigid barrier materials can be spaced to allow for continued drainage flows but do have impacts to street sweeping activities. Barriers are otherwise feasible along this corridor since driveways are fairly limited along PVB west of Irena.

Openings and painted conflict zones would be provided at driveways. These openings would also provide opportunities for cyclists to exit the bikeway and perform left-turns from PVB onto streets like Avenue E and Helberta.

If approved by the City Council, staff would need to engage a design consultant to prepare plans, specifications, and estimates for restriping PVB. Staff expects the design and restriping of PVB to cost approximately $200,000, which assumes the purchase of highquality rigid barrier materials, if included in the design, and for the bicycle lane road markings. Design and construction are not funded at this time. A protected bicycle lane could be tested with a temporary parking restriction and cones, but staff would need to procure additional temporary traffic control devices.

In the future, if funds and engineering analyses allow, the City could also choose to install a raised bicycle lane or protected bicycle lane with permanent curb and gutter protection.

City proposes to remove very low utilization street parking along Palos Verdes Boulevard (only PCH to Irena) toinstall protected bike lanes (Class IV). Barrier type can be a variety of materials, but staff prefers somethingrigid and not flexible such as concrete barriers, rubber parking stops, or planter boxes (subject tomaintenance). Vertical barriers are critical to prevent drivers from illegally driving in bicycle lanes.Narrower through lanes decreases speed and provides traffic calmingEast of Irena to Torrance border, PVB is wider and transitions to Class II striped bike lanes with street parking. 99 1

Subject: UPDATE AND FINAL DESIGN FOR PALOS VERDES BOULEVARD

PROTECTED BIKE LANES
SUMMARY:

Staff has been working on designing and funding the proposed protected (Class IV) bicycle lanes on Palos Verdes Boulevard (PVB) between Pacific Coast Highway (PCH) and S Irena Avenue. City Council directed staff to study its feasibility at the December 3, 2024 meeting.

Staff analyzed the feasibility and the proposed design to remove street parking on PVB between PCH and S Irena allowing for the installation of protected bicycle lanes and presented findings at the January 27, 2025 Public Works Safety and Sustainability Commission (PWSSC) meeting. Noticing of that meeting was provided to the District 1 Councilmember and all addresses within 200 feet of the PVB corridor between PCH and Prospect. Because parking utilization is very low along PVB, the PWSSC recommended the City Council approve design and construction of protected bicycle lanes. This work was authorized in the FY 25-26 budget. After funding became available in the City’s Bicycle Transportation Plan CIP project, the City’s consultant prepared design plans. At this time, final design has been completed, and the City is seeking input from the public and the PWSSC before bringing the design plans to City Council for final approval as part of a slurry seal of PVB.

BACKGROUND:

The January 2025 PWSSC administrative report documents the background, analyses, and parking study to determine the feasibility of installing protected bicycle lanes on PVB between PCH and S Irena Avenue (Attachment 1). Public comment was unanimously in favor of these bicycle facilities on PVB. The PWSSC voted unanimously in favor of designing and constructing Class IV protected bicycle lanes. Existing Class II striped bicycle lanes are provided on PVB between S Irena and the eastern City border with Torrance.

Since then, as funding became available, the City’s on-call traffic engineering consultant proceeded with preparing a signing & striping plan to construct Class IV bicycle lanes by removing existing street parking on PVB between PCH and S Irena Avenue. The final design plans to be constructed are subject to City Council approval (Attachment 2). Staff proposes to install these bicycle lanes as part of a slurry seal for PVB. This would create a fresh and clean roadway surface for the new roadway striping and protected bicycle lanes materials. At this time, the City is proposing using pre-fabricated concrete curb dividers Administrative Report
100
2 placed intermittently as the primary vertical delineation for the protected bicycle lane. A limited number of plastic flexible posts will be used for visibility purposes. This material choice will be lower maintenance, offers a higher degree of cyclist protection, and is considered more aesthetically pleasing. Attachment 3 provides existing and proposed cross sections of PVB.

Providing a protected bicycle lane on PVB would close a crucial gap in dedicated bicycle facilities along PVB, improving safety for all roadway users and connecting more residential areas to the Riviera Village. If constructed, continuous bicycle lanes would be provided on PVB between Palos Verdes Estates, Riviera Village, and the City’s eastern border with Torrance. This will further encourage cycling and reduce vehicular parking pressures in the Riviera Village. Traffic counts were taken in March 2026 at the PCH/PVB intersection, when the development at 1700 S PCH was 61% residential leased and 25% commercial leased.

Compared to traffic counts taken in 2023 before the development was constructed, vehicular traffic has been relatively flat while walking and biking activity has grown substantially, demonstrating a need for improved infrastructure to meet public demand.

COORDINATION:

Coordination of this report took place within the Public Works Department. Noticing for this agenda item was provided again to the same residents as the previous Commission discussion in January 2025.

ADOPT BY TITLE ONLY RESOLUTION NO. CC-2607-053, A RESOLUTION OF THE CITY

COUNCIL OF THE CITY OF REDONDO BEACH, NAMING THE HERONDO OPEN SPACE PARK

AREA, LOCATED AT HERONDO STREET AND CATALINA AVE, AS BILL BRAND GATEWAY PARK

EXECUTIVE SUMMARY
The City has worked with Southern California Edison to transform an underutilized right-of-way along Herondo Street and Catalina Avenue into a passive open space park. On July 7, 2026, the City Council discussed names for the new open space area and directed staff to prepare a resolution naming it “Bill Brand Gateway Park” in recognition of former Mayor Bill Brand’s decades of community involvement and City leadership.

BACKGROUND
In 2019, Southern California Edison (SCE) completed a Method of Service study confirming that power lines within the 190th Street right of way could be removed or relocated following the retirement of the AES power plant. This determination created an opportunity for the City to evaluate the corridor for potential passive open space development. In 2021, the City began working with SCE to license approximately 5.1 acres of underused right of way along Herondo Street and Catalina Avenue for development as passive open space.

A License Agreement with SCE was negotiated to allow the City to develop two parcels along Herondo Street and Catalina Avenue into a passive park space. The Agreement commenced on June 1, 2022, with a five-year term. The project was designed to create a traversable public area featuring decomposed granite pathways and native landscaping. Full development of the site is expected to occur in two phases, with Phase 1 addressing improvements on the upper/eastern portion of the site and Phase 2 addressing the western portion of the property to North Francisca Avenue.

In anticipation of Phase 1 completion in July 2026, the City Council directed staff on June 16, 2026, to return with a discussion item regarding the naming of the Herondo open-space park. Naming or renaming passive open-space areas has traditionally been completed through City Council resolution, as seen with Gateway Parkette in 2016 and the Ito Family Open Space in 2021. On July 7, 2026, the City Council gave direction to prepare a Resolution naming the site “Bill Brand Gateway Park” in recognition of former Mayor Bill Brand.

Bill Brand served as the 30th Mayor of Redondo Beach and previously represented District 2 for two Council terms. He became active in local land-use issues in 2001 and went on to lead or co-author several significant community initiatives, including Measure DD and Measure C, and played a central role in efforts to prevent the re-powering of the AES power plant. He co-founded the South Bay Parkland Conservancy in 2004 and continued his public service after being elected Mayor in 2017 and reelected in 2021. Bill Brand passed away from lung cancer on February 9, 2024. A ribboncutting ceremony will be scheduled in the next few weeks to formally open the site and commemorate the naming of the park in his honor.

COORDINATION
The City Manager’s Office prepared this report and the City Attorney’s Office approved the Resolution as to form.

FISCAL IMPACT
The estimated costs for signage vary depending on the material type. A typical sign is estimated to cost approximately $1,000, including manufacturing and installation by in-house staff. Funding is available in the FY 2026-27 Public Works Department Operating Budget for a basic sign. Other materials, such as concrete, would result in higher costs and may require additional feasibility review and coordination with SCE.
