1 FIRST AMENDMENT TO THE AGREEMENT
FOR PROJECT SERVICES
BETWEEN THE CITY OF REDONDO BEACH
AND TURBO DATA SYSTEMS INC.
This First Amendment to the Agreement for Project Services (“First Amendment”) is made between the City of Redondo Beach, a chartered municipal corporation (“City”), and Turbo Data Systems Inc., a California corporation (“Contractor”).
WHEREAS, on August 5, 2025, the parties entered into the Agreement for Project Services (the “Agreement”);
WHEREAS, the parties desire to amend the Agreement to add annual integration services for the Peregrine Records Management System and the related compensation.
NOW, THEREFORE, in consideration of the promises and mutual covenants contained herein, the parties agree to amend the Agreement as follows:
1. SCOPE OF SERVICES. Exhibit “A” of the Agreement is hereby amended to add Exhibit “A-1,” which sets forth the additional integration services to be provided by Contractor for the Peregrine Records Management System. Exhibit “A-1” is attached hereto and incorporated herein by reference. Contractor shall perform all services described in Exhibit “A,” as amended by Exhibit “A-1.”
2. TERM AND TIME OF COMPLETION. Exhibit “B” of the Agreement is hereby amended to add Exhibit “B-1”, which sets forth the term for the services described in Exhibit “A-1.” Exhibit “B-1” is attached hereto and incorporated herein by reference.
Contractor shall commence and complete all services described in Exhibit “A-1” in accordance with the schedule set forth in Exhibit “B-1”. All other terms relating to the duration of the Agreement remain unchanged.
3. COMPENSATION. Exhibit “C” of the Agreement is hereby amended to add Exhibit “C-1,” which provides additional compensation of $1,250.00 for the services described in Exhibit “A-1.” Exhibit “C-1” is attached hereto and incorporated herein by reference. Contractor shall be compensated for the services described in Exhibit “A-1”.
4. NO OTHER AMENDMENTS. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement and this First Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreements with respect to the subject matter hereof. In the event of any inconsistency between the terms of the Agreement and this First Amendment, the terms of this First Amendment shall govern.

3 EXHIBIT "A-1"
PROJECT DESCRIPTION AND/OR SCOPE OF SERVICES
CONTRACTOR’S DUTIES
Contractor shall provide annual integration services between Contractor’s parking citation management system and the City’s Peregrine Records Management System, as set forth in Turbo Data Systems Inc. Quote no. 3505, dated August 7, 2026, attached as Attachment “C-1” to Exhibit “C-1.”
Contractor shall provide all labor, technical support, and other services necessary to perform the integration services.
4 EXHIBIT “B-1”
TERM AND TIME OF COMPLETION
TERM. The services described in Exhibit “A-1” shall begin on August 18, 2026 and continue through August 17, 2027.
5 EXHIBIT “C-1”
COMPENSATION
Provided Contractor is not in default under this Agreement, Contractor shall be compensated as provided below.
1. AMOUNT. Annual Integration Service Fee. City shall pay Contractor a fixed fee of $1,250 for the annual integration services described in Exhibit “A-1”. The fee includes all labor, technical support, overhead, administrative costs, and other expenses to perform the services.
2. METHOD OF PAYMENT. Contractor shall submit one invoice to City for approval and payment after the commencement of the term set forth in Exhibit “B-1.” The invoice shall indicate this First Amendment, the applicable service period, the annual integration services provided, any applicable taxes, corresponding amount, and the total fee. Invoices must be itemized, adequately detailed, based on accurate records, and in a form reasonably satisfactory to the City. Contractor may be required to provide backup material upon request.
3. SCHEDULE FOR PAYMENT. The City will make full payment within forty-five (45) days of its receipt of the invoice; provided, however, that the invoice is accurate.
Notwithstanding the foregoing, the City may withhold amounts in good-faith dispute, to the maximum extent permitted by law.
4. CONTRACTOR’S QUOTE. Turbo Data Systems Inc., Quote No. 3505, dated August 7, 2026 is attached to this Exhibit “C-1” as Attachment “C-1” and incorporated into the Agreement solely with respect to the description and price of the services. Any other terms, conditions, disclaimers, or limitations contained in Attachment “C-1” are not incorporated into the Agreement.
