1 FIRST AMENDMENT TO THE AGREEMENT
FOR PROJECT SERVICES BETWEEN THE CITY OF REDONDO BEACH AND
EMPIRE PIPE CLEANING AND EQUIPMENT, INC
THIS FIRST AMENDMENT TO THE AGREEMENT FOR PROJECT SERVICES (“First Amendment”) is made between the City of Redondo Beach, a chartered municipal corporation (“City”) and Empire Pipe Cleaning and Equipment, Inc, a California Corporation, ("Contractor").
WHEREAS, on September 20, 2023, the parties hereto entered into the Agreement for Project Services between the City and Contractor (the “Agreement”); and WHEREAS, the Agreement is set to expire on September 19, 2026; and WHEREAS, the parties hereto desire to extend the Agreement and increase the Contractor’s compensation.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendment(s) to the Agreement:
1. TERM AND TIME OF COMPLETION. Exhibit “B” of the Agreement is hereby amended to add Exhibit “B-1”, which is attached hereto and incorporated herein by reference. Exhibit “B-1” extends the Agreement term to September 14, 2029.
Contractor shall commence and complete all services described in Exhibit “A”, in accordance with the schedule set forth in Exhibit “B-1”.
2. COMPENSATION. Exhibit "C" of the Agreement is hereby amended to add Exhibit “C-1”, which amends the fees and increases Contractor’s limit on total compensation to the amount of $2,162,608,. Exhibit “C-1” is attached hereto and incorporated by reference. Consultant shall be compensated for the services described in Exhibit “A”.
3. NO OTHER AMENDMENTS. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement and this First Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreements with respect to the subject matter hereof. In the event of any inconsistency between the terms of the Agreement and this First Amendment, the terms of this First Amendment shall govern.

In no event shall the total amount paid to the Contractor, including reimbursable expenses, exceed $2,162,608 during the term of the Agreement and any amendments hereto.

5 C. METHOD OF PAYMENT
Contractor shall submit two hard copies of the invoice monthly for services performed in prior month. Each invoice shall indicate the dates of service, location of service, fee per lineal foot, description of tasks performed, staff title, hourly rate, number of hours worked, task number, description of parts or hardware, quantity, unit cost, corresponding amount and the total amount and submitted to the City for approval and payment.
Invoices must be itemized, adequately detailed, based on accurate records, and, if applicable, attach subcontractor invoices, reimbursable expense approvals, and expense receipts. Invoices must be in a form reasonably satisfactory to the City.
Contractor may be required to provide backup material upon request.
D. SCHEDULE FOR PAYMENT
☒ The City will make full payment within 45 days after the services are completed to the City's reasonable satisfaction.
E. NOTICE
Written notices to City and Contractor shall be given by registered or certified mail, postage prepaid, email, or personally served, and addressed to the following parties.

All notices, including notices of address changes, provided under the Agreement, as amended are deemed received as follows: (1) on the second business day after emailing, provided that no “bounce-back” or similar message indicating non-delivery is received; (2) on the third day after mailing if sent by registered or certified mail; or (3) upon personal delivery. Changes in the respective address set forth above may be made from time to time by any party upon written notice to the other party in accordance with this section.
