FIRST AMENDMENT TO AGREEMENT FOR LEGAL SERVICES
WITH BEST BEST & KRIEGER LLP
THIS FIRST AMENDMENT to the Agreement for Legal Services (“First Amendment”) is made this 6th day of October, 2026, by the CITY OF REDONDO BEACH, a chartered municipal corporation, ("City"), and BEST BEST & KRIEGER LLP, a Limited Liability Partnership ("Attorney”).
RECITALS
The following recitals are a substantive part of this First Amendment:
WHEREAS, on April 15, 2025 the parties entered into an Agreement for Legal Services to provide specific legal services as disclosure counsel in relation to Measure FP (“Agreement”); and
WHEREAS, the parties desire to amend the Agreement to include bond counsel services and modify the compensation.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendments to the Agreement:
1. SERVICES TO BE PROVIDED. The Agreement is hereby amended to expand the scope of legal services to include bond counsel services as specified below:
Attorney shall confer and consult with the City staff on all matters relating to financing including participation in the review and selection of appropriate financing methods. Attorney shall assist the City in determining the most appropriate method based upon Attorney’s experience and shall attend all meetings of the City staff, consultants and underwriter at which financing methods are to be discussed and analyzed for successful completion of the financing. Attorney is available to engage in these services according to the City’s time schedule.
Attorney services shall include the preparation of all materials necessary for the proper legislative approval of the financing. Attorney shall prepare all agreements, resolutions, notices, forms of the security and all other legal documents required by California law for the execution, sale and delivery of the relevant security, as the City chooses.
Subject to completion of the financing to our satisfaction, Attorney shall issue approving legal opinion to the purchasers of the obligations, to the effect that all proceedings have been legally undertaken for the authorization, execution, sale and delivery of the obligations or other transactions relating to the financing and that interest paid with respect to the obligations is excluded from gross income for 2 federal income tax purposes and is exempt from State of California personal income tax. Attorney shall also issue appropriate supplemental opinions and certificates as may be necessary or appropriate.
As a necessary part of bond counsel services, Attorney shall assist with the delivery of the obligations and conduct a preclosing meeting to assure delivery of all necessary documents. After the preclosing meeting and the successful delivery of the bonds, Attorney shall prepare and distribute transcripts to all of the participants.
2. COMPENSATION. The Agreement is further amended to compensate for bond counsel services by Attorney (Mrunal Shah) at a flat rate of $35,000 rendered on the closing date of the bond from bond proceeds. The compensation is contingent on the closing of the bonds and applies to all time spent on matters related to the representation described in Section 1 above, including but not limited to, the ordinary and customary services rendered as bond counsel in connection with transactions of the type described herein.
3. NO OTHER AMENDMENTS. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement and this First Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreement with respect to the subject matter hereof.
In the event of any inconsistency between the terms of the Agreement and this First Amendment, the terms of this First Amendment shall govern. [SIGNATURES FOLLOW ON NEXT PAGE]
