FIRST AMENDMENT TO ENGAGEMENT LETTER AGREEMENT
FOR LEGAL SERVICES
WITH NOSSAMAN LLP
THIS FIRST AMENDMENT to the Engagement Letter agreement for legal services (“First Amendment”) is made this 6th day of October, 2026, by the CITY OF REDONDO BEACH, a chartered municipal corporation, ("City"), and NOSSAMAN LLP, a Limited Liability Partnership ("Attorney”).
RECITALS
The following recitals are a substantive part of this Agreement:
WHEREAS, on March 18, 2025, the parties entered into an Engagement Letter agreement for legal services for the provision of bond counsel services related to Measure FP (the “Agreement”) which was approved by the City Council at its March 18, 2025 meeting; and
WHEREAS, the parties desire to amend the Agreement to reduce the compensation amount and to reflect that there will be a cessation of bond counsel services due to the departure of Lolly Enriquez from the firm.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendments to the Agreement:
1. COMPENSATION. The Agreement is hereby amended to decrease the flat rate from $65,000 to $45,000, rendered on the closing date of the bond and payable from bond proceeds due to the departure of Lolly Enriquez from Nossaman LLP.
The compensation is contingent on the closing of the bonds and applies to all time spent on matters related to the representation described in the Agreement, including but not limited to, the ordinary and customary services rendered as bond counsel in connection with transactions of the type described in the Agreement which were incurred prior to Lolly Enriquez’s departure from Nossaman LLP.
2. NO OTHER AMENDMENTS. Except as expressly stated herein, the Agreement shall remain unchanged and in full force and effect. The Agreement and this First Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreement with respect to the subject matter hereof.
In the event of any inconsistency between the terms of the Agreement and this First Amendment, the terms of this First Amendment shall govern. [SIGNATURES FOLLOW ON NEXT PAGE]
