SECOND AMENDMENT TO THE MASTER SAAS AND SERVICES AGREEMENT
BETWEEN THE CITY OF REDONDO BEACH
AND SHARP PERFORMANCE INC.
THIS SECOND AMENDMENT TO THE MASTER SAAS AND SERVICES AGREEMENT (“Second Amendment”) is made and entered into on October 6, 2026, by and between the City of Redondo Beach, a chartered municipal corporation (“Customer” or “City”), and Sharp Performance Inc., a Delaware corporation (“Contractor”).
WHEREAS, on December 1, 2024, the parties entered into a Master SaaS and Services Agreement (the “Agreement”), with a term through November 30, 2025, authorizing 216 users and providing for total compensation in a not-to-exceed amount of $75,600; WHEREAS, on August 19, 2025, the parties entered into the First Amendment to the Master SaaS and Services Agreement (the “First Amendment”), extending the term through November 4, 2026, and increasing compensation to a not-to-exceed amount of $151,200; and WHEREAS, the parties now desire to further amend the Agreement to extend the term through November 30, 2027, incorporate the additional Order Forms attached hereto as Schedule A-2, and increase the compensation to a not-to-exceed amount of $226,800.
NOW THEREFORE, in consideration of the promises and mutual covenants contained herein, and intending to be legally bound, the parties hereby agree to make the following amendments to the Agreement:
1. TERM. The term of the Agreement, as amended by the First Amendment, is hereby extended through November 30, 2027. The Order Forms attached hereto as Schedule A-2 are hereby incorporated into and made a part of the Agreement and shall govern the services provided during the extended term.
2. COMPENSATION. The compensation under the Agreement, as amended by the First Amendment, is hereby increased by $75,600, for a total not-to-exceed amount of $226,800.
The fees for services provided during the extended term shall be set forth in Schedule A-2.
3. NO OTHER AMENDMENTS. Except as expressly provided herein, the Agreement, as amended by the First Amendment, shall remain unchanged and in full force and effect. The Agreement, First Amendment, and this Second Amendment constitute the entire agreement between the parties and supersede any previous oral or written agreements with respect to the subject matter hereof. In the event of any inconsistency between the terms of the Agreement, First Amendment, and this Second Amendment, the terms of this Second Amendment shall govern.
