CONSENT TO ASSIGNMENT AND ASSUMPTION OF SITE LICENSE AGREEMENT

BETWEEN THE CITY OF REDONDO BEACH AND ARIUM NETWORKS LLC This CONSENT TO ASSIGNMENT AND ASSUMPTION OF SITE LICENSE AGREEMENT (“Consent”) is made and entered into as of October 20, 2026, by and between the CITY OF REDONDO BEACH, a chartered municipal corporation (“City”), and ARIUM NETWORKS LLC, a New York limited liability company, formerly known as Crown Castle Fiber LLC (“Arium”). City and Arium are sometimes referred to individually as a “Party” and collectively as the “Parties.”

RECITALS
A. WHEREAS, on November 18, 2008, City and NextG Networks of California, Inc., a Delaware corporation (“NextG”), entered into a Site License Agreement (the “Agreement”) for the non-exclusive use of the City owned streetlight pole located at 209½ N. Harbor Drive, Redondo Beach, California, for the installation and operation of radio and antenna equipment;
B. WHEREAS, NextG Networks of California, Inc. was subsequently known as Crown Castle NG West Inc., which converted to Crown Castle NG West LLC effective December 31, 2013;
C. WHEREAS, Arium represents and warrants that, effective January 1, 2019, as a result of an internal consolidation through merger of a number of affiliated Crown Castle entities, Crown Castle Fiber LLC succeeded to and became responsible for the rights, duties, obligations, and liabilities of Crown Castle NG West LLC under the Agreement (“2019 Consolidation”);
D. WHEREAS, Arium represents and warrants that, following the May 1, 2026 transfer of control of Crown Castle Fiber LLC to Small Cells HoldCo Inc., Crown Castle Fiber LLC changed its legal name to Arium Networks LLC, with no change in the legal identity of the entity;
E. WHEREAS, Section 18 of the Agreement requires the City’s consent to an assignment or sublicense of the Agreement, and Section 19 provides that the Agreement is binding upon and inures to the benefit of the parties and their respective successors and assigns; and
F. WHEREAS, Arium has requested that City recognize Arium as the current Licensee under the Agreement and, to the extent City’s consent was or is required under Section 18 of the Agreement in connection with the 2019 Consolidation, consent to Arium’s continuation as the Licensee subject to the terms of this Consent and without waiving any rights arising from the 2019 Consolidation or any other prior act, omission, transfer, assignment, breach, or failure to obtain required consent.

NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants contained herein, the Parties agree as follows:

1. Incorporation. The foregoing recitals are incorporated into this Consent by this reference.

2. Recognition of Current Licensee; Limited Consent. Based upon Arium’s representations and warranties set forth in the recitals, City recognizes Arium, formerly known as Crown Castle Fiber LLC, as the current “Licensee” under the Agreement. To the extent City’s consent was or is required under Section 18 of the Agreement in connection with the 2019 Consolidation, City consents to Arium’s continuation as the Licensee under the Agreement.

Nothing in this Consent affects the validity or enforceability of the Agreement or any obligations arising thereunder before the effective date of this Consent. Nothing in this Consent waives, releases, or otherwise affects any right, claim, remedy, or defense arising from the 2019 Consolidation, including any failure to obtain City’s consent at the time the 2019 Consolidation, nor shall this Consent constitute a retroactive release of any breach or other liability arising before the effective date of this Consent.

3. Arium’s Representations Regarding Succession. Arium represents and warrants to City that:
a. effective January 1, 2019, as a result of the 2019 Consolidation, Crown Castle Fiber LLC succeeded to and became responsible for the rights, duties, obligations, and liabilities of Crown Castle NG West LLC under the Agreement; b. following the 2019 Consolidation, Crown Castle Fiber LLC held the rights and obligations of the Licensee under the Agreement;
c. Arium is the same legal entity formerly known as Crown Castle Fiber LLC and is not a separate assignee or successor entity of Crown Castle Fiber LLC; and d. Arium has full authority to enter into this Consent and to perform all duties and obligations of the Licensee under the Agreement.

4. Assumption of Obligations. Arium hereby assumes and agrees to fully perform and discharge all duties, obligations, and liabilities of the Licensee under the Agreement, including those arising or accruing before, on, or after the 2019 Consolidation, whether or not such duties, obligations, or liabilities were known or asserted as of the effective date of this Consent. Arium shall be bound by all terms, conditions, covenants, requirements, and restrictions of the Agreement to the same extent as the Licensee named in the Agreement.

5. No Additional City Obligations; Reservation of Rights. Nothing in this Consent shall:
a. impose any additional duty or obligation upon City;
b. waive, release, impair, or otherwise affect any right, remedy, defense, claim, or cause of action that City has or may have under the Agreement, this Consent, or applicable law;
c. waive any default, breach, liability, or obligation arising under the Agreement before the effective date of this Consent;
d. constitute City’s approval or acceptance of any act or omission occurring before the effective date of this Consent; or
e. amend or modify the Agreement except as expressly provided in this Consent.

6. No Novation or Release of Obligations. This Consent shall not constitute a novation of the Agreement or extinguish, release, or otherwise affect any duty, obligation, liability, claim, or cause of action arising under the Agreement.

Arium, as successor Licensee, shall remain responsible for all duties, obligations, and liabilities of the Licensee under the Agreement, including those arising before execution of this Consent.

7. No Consent to Further Assignment or Sublicensing. Except for the succession expressly addressed in this Consent, nothing herein shall constitute City’s consent to any subsequent assignment, transfer, delegation, or sublicensing of the Agreement or any rights or obligations thereunder. Any future assignment or sublicense shall remain subject to Section 18 of the Agreement and any other applicable provisions of the Agreement.

8. Notices. From and after the effective date of this Consent, notices required to be provided to the Licensee under the Agreement shall be directed to:

Arium Networks LLC
Attn: Legal
1500 Corporate Drive
Canonsburg, PA 15317
Notices to City shall continue to be provided in accordance with the Agreement. Either Party may change its notice address in accordance with the notice provisions of the Agreement.

9. Continuing Effect of Agreement. Except as expressly provided in this Consent, all terms and conditions of the Agreement shall remain unchanged and in full force and effect. From and after the effective date of this Consent, each reference in the Agreement to the “Licensee” shall mean Arium Networks LLC, formerly known as Crown Castle Fiber LLC, and Arium shall have all rights and be subject to all duties, obligations, liabilities, conditions, and restrictions applicable to the Licensee under the Agreement. In the event of any conflict between this Consent and the Agreement solely with respect to the succession addressed herein, this Consent shall control. In all other respects, the Agreement shall control.

10. Authority to Execute. Each person executing this Consent represents that such person has full authority to execute this Consent on behalf of the Party for which the person is signing and to bind that Party to its terms. Arium represents and warrants that it has all legal authority necessary to acknowledge and confirm its succession to the Agreement and its assumption and performance of all obligations of the Licensee thereunder. If the person executing this Consent on behalf of Arium is not duly authorized to enter into and execute this Consent, the person shall be personally liable to City.

11. Severability: Should any provision of this Consent be found invalid or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

12. Amendment: This Consent may be modified or amended only by a subsequent writing executed by all of the Parties.

13. Governing Law: This Consent shall be construed in accordance with the laws of the State of California without regard to principles of conflicts of law.

14. Venue: In the event of any dispute arising hereunder, venue for any action shall reside exclusively in the Superior Court of the County of Los Angeles, Southwest Judicial District.

15. Counterparts and Electronic Signatures. This Consent may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic signatures and signatures transmitted electronically shall have the same force and effect as original signatures to the extent permitted by applicable law.
