COMPENSATION
Provided Contractor is not in default under the Agreement, as amended, City will compensate Contractor as provided below.

A. AMOUNT. City will compensate Contractor on a time-and-materials basis for actual, documented work performed pursuant to an approved Task Proposal, using the rates set forth in the rate schedule attached hereto as Attachment “C-1” (the “Rate Schedule”). For emergency work authorized under Exhibit “A-1,” City will pay only for documented work within the scope of the emergency authorization. Approval of a Task Proposal shall not increase any applicable not to exceed amount.

Notwithstanding any expiration date stated in the Rate Schedule, the rates set forth therein shall remain in effect during the term of the Agreement. Any rate increase shall require a written amendment to the Agreement and shall not be more than five percent (5%) in any twelve (12) month period.

B. REIMBURSABLE EXPENSES. In addition to the compensation authorized under Section A, Contractor shall be reimbursed for reasonable and necessary out-of-pocket costs incurred in connection with the performance of services under the Agreement, as amended. Out-of-pocket expenses are subject to the following conditions:

A. Approval for Expenses. Contractor shall obtain prior written approval from the City for any out-of-pocket expense. Approval of a reimbursable expense in the applicable City-approved Task Proposal shall constitute prior written approval for purposes of this Section.

B. Approval for Expense Cap: Reimbursable expenses shall not exceed the amount approved in the applicable City-approved Task Proposal. All reimbursable expenses shall count toward the applicable funding category and the cumulative not to exceed amount under the Agreement, as amended.

C. Documentation: Contractor shall submit receipts, vendor invoices, and other supporting documentation for reimbursable expenses as part of the applicable invoice. City may withhold reimbursement for any expense that is undocumented, unreasonable, unnecessary, or not properly approved.

D. Types of Reimbursable Expenses. Reimbursable expenses may include materials, disposal, permits, subcontracted services, traffic control, bypass pumping, and other items for which no rate is provided in this Exhibit “C-1”. Any other out-ofpocket expense must be expressly identified and approved in the applicable Task Proposal. Reimbursable expenses shall be paid at Contractor’s actual cost, and no markup shall be paid unless expressly approved in the applicable Task Proposal.

Costs included in, or otherwise compensated through, a labor or equipment rate under the Rate Schedule are not separately reimbursable. Notwithstanding anything to the contrary in the Rate Schedule, no separate reimbursement shall be made for fuel or lubricant costs associated with equipment billed under the Rate Schedule, except for the fuel surcharge expressly provided in in the attached Rate Schedule.
9 C. NOT TO EXCEED AMOUNT. In the event that unforeseen conditions or circumstances arise in connection with the services described in Exhibit “A” and Exhibit “A-1”, including but not limited to unknown utility conflicts extending the repair limits, or adding new locations authorized pursuant to Section 1 of this First Amendment, Contractor shall notify the City and submit a written estimate for any proposed additional work. Subject to prior the written approval of the City Engineer or designee, Contractor may use available contingency funds to perform the additional work. Any use of contingency funds shall not increase the total compensation, including reimbursable expenses payable to Contractor beyond $1,978,875.00.

Funding category Additional Not-to-Exceed amount
Storm drain on call repair service $800,000.00

Original Agreement not-to-exceed amount $378,875.00

The not to exceed amounts for storm drain and sanitary sewer services are separate and may not be reallocated between the two categories without a written amendment.

D. METHOD OF PAYMENT. Contractor shall submit a monthly invoice to the City for approval and payment for services performed during the preceding month. For each Task Proposal and corresponding invoice, Contractor shall separately identify charges for storm drain and sanitary sewer services, as applicable. Each invoice shall identify the dates of service, description of services performed, labor classification, hourly rate, number of hours worked, task number, work location, description of equipment and materials provided, quantity, unit cost, corresponding amount, total amount, and, if applicable, the cost of City pre-approved subcontractors plus markup, and any reimbursable expenses.

For any reimbursable expense, Contractor shall submit receipts, vendor invoices, and any required approval with the invoice. Invoices must be in a form reasonably satisfactory to the City. Contractor may be required to provide supporting documentation upon request.
