Dear Mr. Luchetti,
Arup Scope and Fee Proposal for Rialto Triennial Inspection Arup North America Ltd. ("Arup") is pleased to provide you with our proposal related to the full-scale inspection and review of City of Rialto Water Facility for three years ending December 2022.
Arup will perform a full-scale inspection and review of the state of repair, working condition and performance capability of the water and wastewater assets including treatment, storage, and conveyance system.
Arup agrees to produce two (2) Triennial Inspection Reports (for water and wastewater assets respectively) that involve the following services based on the conditions of the Concession Agreement (CA) 11.1(r):
1. Desktop review of data and references provided by the Operator and the City of Rialto and conduct one (1) site visit to assess the following items:
i. Water and wastewater assets operations and maintenance activities ii. Inspections of the facility performance, including:
a. Observation of testing of equipment to determine its physical and operational conditions where needed.
b. Inspection of the general status of repairs of all equipment and structures, ground (site), utility lines, spare parts, inventories, and operation, maintenance, repair and replacement records.
iii. Collection system and lift station operations and maintenance activities iv. Solids handling and disposal
v. Electrical, natural gas, and reclaimed water usage
vi. Regulatory compliance
vii. Billing and customer services
2. Spot check of CMMS system for failure and remediations, Our ref 226148-00

3. Provide a list and description of deficiencies for water and wastewater assets; and
4. Prepare drafts and finals of two (2) Triennial Inspection Reports for water and wastewater assets respectively to cover the abovementioned items.
We anticipate a 14-week full-scale inspection. After two weeks of data transfer/ collection, the assignment will include a 4-week desktop document review, and one (1) site visit to the Project Site (i.e. three (3) working days). We will issue draft reports five (5) weeks after the site visit and upon incorporating the feedback, we will issue Final Triennial Inspection Reports within 2 weeks. A workshop will be scheduled to go over the feedbacks.
Proposed Programme for Triennial Inspection
The scope and fee comprise of the following assumptions:
The documents, reports, verbal communications, and operating records for the three years ending August 2022 provided to us are accurately represented for the performance of the assets. The detailed cost and overall financial performance of the assets will not be reviewed. Arup will only observe the testing of equipment and structure and any associated cost for testing of equipment or structure shall be borne by the Concessionaire. 4 5

Arup will not determine the validity and enforceability of any contract, agreement, rule, or regulation applicable to the assets and their operation. It is assumed the Operator fulfils with the terms specified in the contracts, agreements, rules, and regulations. It is assumed the Concessionaire executes all pre-approved capital projects described in Schedule A-10 under Article VI of the CA.
