THIS LANDSCAPE MAINTENANCE AGREEMENT (“Agreement”) is made and entered into this 10th day of January, 2023 (“Effective Date”), by and between SREF 2020, LLC, a California Limited Liability Company (“Developer”), and the CITY OF R IALTO, a California municipal corporation (“City”) with reference to the following facts:

Riverside Ave Self Storage”).

B. In connection with its development of the 309 S Riverside Ave Self Storage Site as a self storage project, the Developer submitted to the City an application for Precise Plan of Design No. 2021- 0001 (“PPD No. 2021 -0001”). The Planning Commission a pproved PPD No. 2021 -0001 on June 30, 2021, subject to certain specified conditions, which include, inter alia, the following:

The applicant shall submit a formal Landscape Plan to the Planning Division prior to the issuance of building permits.

and

At the discretion of the City Engineer, the applicant shall apply for annexation of the underlying property into City of Rialto Landscape and Lighting Maintenance District No. 2 (“LLMD 2”) [this is sometimes referred to as the “Annexation Approach”] or ent er into a landscape maintenance agreement to be recorded on the property [this is sometimes referred to as the “Non -Annexation Approach”].

An application fee of $5,000 shall be paid at the time of application [if the Annexation Approach is utilized]. Annexation into LLMD 2 is a condition of acceptance of any new median, parkway, and/or easement landscaping, or any new public street lighting improvements, to be maintained by the City of Rialto. All final approved plans and documents required for the annex ation shall be submitted by the property owner prior to issuance of a building permit. The annexation process shall be completed prior to recordation of any applicable Final Tract/Parcel Maps. For

developments with no Final Maps or if the Final Map does not create any new parcels, the annexation process shall be completed prior to issuance of any certificate of occupancy. Due to the required City Council Public Hearing action, the annexation process takes months and as such the developer is advised to su bmit all plans and documents required for Special District annexation as early -on in the plan review and permitting process to avoid any delays with issuance of permit(s) and certificate(s) of occupancy or approval of final map(s).

C. Developer did in fac t comply with the first Condition described in Recital “B” above by submitting Landscape Drawings and Plan for the Rialto Self Storage Site to the City’s Planning Division, and the City’s Planning Division did in fact approve such Landscape Drawings and Plan for the Rialto Self Storage Site on November 16, 2021. A copy of the Landscape Drawings and Plan for the Rialto Self Storage Site that was approved by the City’s Planning Commission on November 16, 2021 is attached hereto as Exhibit “C” and by this reference made a part hereof (the “Approved Landscaping Plan”).

D. The area in which the applicable landscaping and irrigation system improvements (“Improvements”) are required to be installed and maintained pursuant to PPD No. 2021 - 0001 (“Maintenance Area”) is depicted by the cross-hatched area on Exhibit “B” attached hereto and by this reference made a part hereof. The Improvements are described in the Approved Landscaping Plan that is attached hereto as Exhibit “C.” E. The City’s Landscaping Engineer ha s decided that at this time there is no need for the Maintenance Area to be annexed into LLMD 2. Rather, the City’s Landscaping Engineer has determined that at this time the Developer’s obligation to provide for the long-term maintenance, repair, care and, if and when necessary, replacement of the Improvements shall be implemented directly by Developer pursuant to the Non-Annexation Approach, in accordance with the terms and conditions of the Approved Landscaping Plan that is attached hereto as Exhibit “C.” F. The Developer has concurrently with PPD No. 2021 -0001, submitted an application for Conditional Development Permit No. 2021 -0032 (“CDP No. 2021 -0001”). The Planning Commission approved CDP No. 2021 -0001 on June 30, 2021, subject to certain specified conditions, which include, inter alia, the following:

If the applicant fails to comply with any of the conditions of approval placed upon CDP No. 2021-0001 or PPD No. 2021-0001, the Planning Commission may initiate proceedings to revoke the conditional development permit in accordance with the provisions of Sections

18.66.070 through 18.66.090, inclusive, of the Rialto Municipal Code.

Conditional Development Permit No. 2021 -0001 may be revoked, suspended or modified in accordance with Section 18.66.070 of t he Zoning Ordinance at the discretion of the Planning Commission if:

G. The Developer recognizes that the City's approval of CDP No. 2021 -0001 and PPD No. 2021 - 0001 is based on the Developer's commitment to the long-term maintenance, repair, care and, if and when necessary, replacement of the Improvements pursuant to the Approved Landscaping Plan that is attached hereto as Exhibit “C,” and in order to memorialize Develop er’s obligation with respect to the long-term maintenance, repair, care and, if and when necessary, replacement of the Improvements pursuant to the Approved Landscaping Plan, Developer has agreed to enter into this Agreement. Furthermore, Developer also recognizes that CDP No. 2021-0001 or PPD No. 2021-0001 would not have been approved without the assurance that this Agreement would be executed by the Developer for recordation prior to the City’s issuance of a certificate of occupancy for the 309 S Riverside Ave Self Storage Site.

H. In order to memorialize Developer’s obligation with respect to the long -term maintenance, repair, care and, if and when necessary, replacement of the Improvements pursuant to the Approved Landscaping Plan, the City and the Deve loper desire to enter into this Agreement pursuant to which the Developer will maintain the Improvements (as described in the Approved Landscape Plan attached hereto as Exhibit “C) within the Maintenance Area that is depicted on Exhibit “B.”
