REPORTS/DISCUSSION ITEMS
EDC-23-780
Discussion regarding Olive Grove Industrial Project proposed by Crow Holdings Industrial, LLC
Presented by Daniel Casey
Committee Comments/Questions/Recommendations:
Colby Cataldi presented the DIF estimates for the project as background information. 4 Mayor Robertson requested from Mr. Cataldi a recap of a letter that arrived from Crow Holdings. Mr. Cataldi stated that he was contacted by Crow on Thursday (8/24/23) in the late afternoon with a revised easement agreement. In their CBA with the City, they will provide an easement from Baseline to the north , within said easement will be a storm drain facility infrastructure, as such, they sent a revised agreement for staff to review.
Development staff and legal staff have reviewed the revised agreement and have some comments back to Crow which will be provided to them by end of business on 8/29/23.
The easement has an approximate valuation between $2M and $3M. Construction of the storm drain facilities also has an approximate valuation of $2M to $3M. The two improvements total the $5M contribution to the community by the developer.
Mayor Robertson clarified she is speaking of the letter that arrived on Tuesday (8/22/23) prior to the City Council meeting where the developer stated that the City had requested a delay.
Mr. Cataldi stated that the project was scheduled to go before Council at the end of August but the week before the meeting the City had not settled on the details of the agreement or conditions of approval with the developer. An agreement could not be reached in the timeframe needed to present the item to Council and the developer requested a 30-day continuance. The project was rescheduled to go before Council the second meeting of September, which is what was outlined in the letter given to Council at the 8/22/2023 meeting.
Mayor Robertson asked the question if the City would be able t o use the proposed easement if we are unable to drain into the Cactus Basin? CM Scott followed with his own question about whether we are able to drain into the Cactus Basin.
Vince Giron provided some explanation as to what is shown on the proposed plans for the easement. The plans are not fully approved as of the day of this meeting (8/29/2023).
Mayor Robertson asked if we had a written agreement for the use of the connection to the storm drain and asked staff to ensure we have a written agreement for u se of the Baseline storm drain to the Cactus Basin.
Mayor Robertson asked about the total dollar amount being paid for the easement.
Mr. Cataldi answered that the current total estimated cost for the easement and infrastructure is $5M. A breakdown of the estimated costs were shown in Exhibit H of this item’s agenda packet documents. The developer has agreed to burden all the costs for this portion of the project as a community benefit. A new item has come up with the developer where they now want to restrict the improvements, they are making to what is within their property boundaries; anything outside the boundaries of their property line 5 would be a cost to the City, which is not what was previously discussed. As this is a voluntary contribution, staff will continue to negotiate with the developer.
Mayor Robertson asked about the traffic in and out of the project site and traffic lights to be installed. CM Scott asked about the traffic signal being a three-way signal and it lining up with the existing residential streets that exit on Baseline to the south. A concern was raised by the Mayor Robertson about those residents to the South not being able to turn left due to a proposed median along Baseline.
Mr. Cataldi stated that the current project design shows the streets to the south of the project site would be right-in and right-out only due to the median.
CM Scott asked if this design was reviewed by the Transportation Commission.
Daniel Casey responded that he did not believe this project design went before the TC as they have not met for quite some time.
Mayor Robertson asked why they have not met and the response from Mr. Brown is that there has not been a quorum for the last 8 or 9 meetings.
Mayor Robertson and CM Scott if the Planning Commission was aware of the median when they reviewed the project. Mr. Casey said the median was not discussed at Planning Commission; however, the traffic generation and truck trips were discussed.
Mayor Robertson has many concerns over the traffic impact to the existing residential area to the south of the project site.
Mr. Cataldi stated that design for the median and the impact it will have to the residents in the homes to the south could be reviewed further and may warrant additional design modifications to improve functionality. If Council directs staff to defer the median construction so City staff can reevaluate the design and engage the public in the discussion, staff would be happy to do that. Staff will be providing Council with a second option for the project which omits the median which will allow Engineering to consider a redesign of the median for improved functionality.
Mayor Robertson asked if there was anything else for this project.
Mr. Cataldi stated that one change that was made is that public noticing prior to the City Council meeting will be at a 1000-foot radius as opposed to the original noticing radius of 300 feet.
CM Scott expressed concern over commercial vehicle enforcement for industrial/commercial areas within the City.
6 EDC-23-779
Request the Economic Development Committee (EDC) Members Review and Consider the Draft Community Benefit Agreement Ordinance
Presented by
Committee Comments/Questions/Recommendations
Mr. Cataldi explained that most cities use development agreements , which is a different type of community benefit tool. He is not aware of any city that have Community Benefit Agreement’s codified as they more of internal policy and of a voluntary nature.
Mayor Robertson asked then why we would try to codify CBA’s. She is concerned about creating something where the City may potenti ally be held liable if a developer doesn’t deliver on items set forth in a CBA.
Robert Messinger added that the challenge with CB A’s, because they are voluntary, Council relies upon the word of the developers make saying they will provide a benefit without having anything in place to enforce that promise. Once a developer receives approval of a project there is nothing in place legally to keep them from backing out of the CBA. His argument with the Crow attorneys has been when a community benefit is to be performed.
Consensus amongst staff and EDC is leaning in the direction of having development agreements instead of a codified community benefit agreement ordinance which would require developers to perform all community benefit items in the development agreement at project start or at permit issuance.
Mr. Messinger stated that the advantage of a development agreement is that it takes place at the beginning of the process and is a recorded document that encumbers the property so that any future owners bear the responsibility of carrying out the contents of the agreement.
Mr. Brown asked if his understanding was correct – EDC does not want to move forward with a CBA ordinance, but instead ask for development agreements where contributions to the community are voluntary.
Mayor Robertson recommended to follow what Mr. Messinger stated about having development agreements and those agreements being attached to the property so that if ownership changes , the agreement is still enforceable. CM Scott agreed with this recommendation.

Carson Companies - Pepper 210 Commerce Center
DISCUSSION:
Carson Companies proposes to redevelop the Vulcan Materials Company San Bernardino Asphalt Plant site located on the north side of Highland Avenue between River Ranch Parkway and Pepper Avenue with one (1) new industrial warehouse building. The project site is approximately 100.7 acres in size and is within the jurisdiction of the County of San Bernardino.
In the Spring of 2023, staff met with the developer and discussed the potential of entering into a pre- annexation agreement between the City, applicant and County of San Bernardino. The proposed project is located in the City’s Spere of Influence and is physically directly adjacent to Rialto communities between Riverside Ave and Pepper Ave, north of the 210 freeway. The project site is across (westerly) the Cajon Wash and distant from the unincorporated communities of the County and City of San Bernardino.
Features of the proposed development include:
· 1,000,000+ square foot industrial warehouse building
· 275 dock doors
· Landscaping
The applicant circulated a Notice of Preparation for a project Environmental Impact Report (EIR) in January 2023 and held a scoping/presentation meet at the Cinemark theater in the Renaissance Marketplace on January 30, 2023. The EIR and supporting technical studies are currently being prepared.
Carson Companies will conduct a presentation during the meeting, a copy of which is attached as Attachment No. 1.

Carson Companies’ History
2 Carson Companies’ rich history reaches back more
than 230 years to the Rancho San Pedro, the first
land grant given to a private citizen in California.
In 1784, King Carlos III of Spain granted the 75,000
acre Rancho San Pedro tract to Spanish Soldier Juan
Jose Dominguez. Today’s communities of San Pedro,
Harbor City, Wilmington, Carson, Compton,
Dominguez Hills, Lomita, Palos Verdes, Redondo
Beach, Hermosa Beach, Manhattan Beach, Torrance
and the entire Ports of Los Angeles and Long Beach.
1784
Through multiple generations of ownership, part of
the Rancho gets inherited by Maria Victoria
Dominguez who marries George Carson in 1857.
1857
In 1901, George Carson passes away and his eldest
son takes control and manages the family’s estate,
informally establishing the Carson Estate Company,
which was later incorporated in 1914.
1914
In 1916, after over a century of managing the
Rancho for cattle and agriculture, Carson Estate
Company signs its first oil lease.
1916
In 1931, Carson Estate Company began its first
active real estate development with the
construction of a 10-story office building at 5410
Wilshire Blvd. in downtown Los Angeles.
1931
1983
In 1983, Carson Estate Company begins
development of a 438-acre, master planned
industrial business park, Dominguez Technology
Center, a former oil field.
11 Carson Companies’ History
3 The development of Homestead Business Park
commenced with the construction of six industrial
buildings on land where the original Carson Family
home stood until 1969.
1985
Carson Estate Company, with 97 percent of its
assets now in real estate, reorganizes as a Real
Estate Investment Trust, formally changing their
name to Carson Estate Trust. The Company’s
strategy is refined to focus primarily on ownership
of industrial buildings ideally suited for logistics
and manufacturing industries. The Company owns
approximately 2.8 million square feet. They embark
on the final development phase of Dominguez
Technology Center.
1999
Carson Companies begins development of Chino
South Business Park where it builds more than 3.7
million square feet of Class A industrial space with
joint venture partners. The buildings are
architecturally attractive and have state-of-the-art
warehousing, distribution, and light manufacturing
facilities.
2002
Carson Companies expands into Houston, Texas.
Houston appears to be counter cyclical to Southern
California and benefits from the resurgence of the
energy business in the United States. The Company
hires its first employee in Houston and opens an
office. Expanding into Houston allows the company
to diversify its risk of being concentrated in one
market.
2007 2023
Carson Companies owns more than 20
million square feet of industrial real estate
across Southern California, Houston, and
Pennsylvania/New Jersey.
2014
The Carson Companies celebrates its 100th
Anniversary. The vast majority of the Company is
still owned by direct descendants of George and
Victoria Carson who, through the Board of
Trustees-mostly made up of family descendants-
guide the Company into the future. In 2014 the
company owned more than 12 million square feet
with approximately 8 million square feet in
Southern California and 4 million square feet in
Houston, TX.

For the Economic Development Committee [September 27, 2023] TO: Honorable Economic Development Committee Members
APPROVAL: Colby Cataldi, Director of Community Development REVIEWED BY: Paul Gonzales, Community Development Manager FROM: Daniel Rosas, Associate Planner
Update on Proposed Industrial Building at 160 N. Cactus Avenue DISCUSSION:
Lincoln Partner Company, the applicant, filed various applications with the Planning Division in July 2022 proposing to redevelop the former Nelson Adams site located generally at the northwest corner of Cactus Avenue and Rialto Avenue (160 N. Cactus Avenue) with a 159,700 square foot industrial warehouse building.
Features of the proposed development include:
· 159,700 square foot industrial warehouse building
o 152,950 square foot industrial warehouse
o 6,750 square foot office
· 17 dock doors - 2 grade-level doors
· 109 auto parking spaces
· Landscaping
· Concrete tilt-up screen walls
The applicant presented to the Economic Development Committee (EDC) at a special meeting on November 9, 2022. Discussions during the EDC meeting suggested the applicant reach out to the community as they move the proposal forward.
Subsequently, a neighborhood meeting was noticed using a 1,000-foot radius and was held on January 26, 2023 in the Council Chambers.
The Planning Division circulated an Initial Study/Mitigated Negative Declaration prepared for the project for a 30-day public review period. The public review period began on August 7, 2023 and ended on September 5, 2023. Notices were mailed to all property owners within 1,000 feet of the project site and several responsible agencies. One (1) comment letter was received on the last day of the public review period in opposition to the project and was later withdrawn on September 19, 2023.

39 File #: EDC-23-856, Version: 1, Agenda #:
The project will require the approval of a Conditional Development Permit and a Precise Plan of Design by the Planning Commission. The project involves the reconfiguration of a Rialto water facility parcel and phased construction due to flood control improvements by County and will therefore also require Planning Commission approval of a Lot Line Adjust and a Variance request for a temporary Phase 1 parking deficit. Additionally, the applicant submitted the required environmental documentation, in accordance with the California Environmental Quality Act (CEQA).
The applicant provided the attached Community Benefit Summary which generally describes the development process including the proposed Lot Line Adjustment (LLA).
While new develop and redevelopment projects may increase property values, the installation of new improvements such as lighting, landscaping, paving, drainage, etcetera are all standard requirements of the Rialto Municipal Code and prerequisites for all projects. Therefore, said improvements do not provide an additional community benefit above and beyond the standard development requirements, per the Municipal Code.
The City of Rialto owns a water well facility at this location. As such, the applicant approached the City seeking an accommodation to swap land via the LLA process as part of the overall approval of their proposed project. In exchange for granting the applicant’srequest to swap land, which facilitates the applicant’spreferred project layout, the City conditioned the applicant to install a perimeter screen wall and gravel base for the future water well site to mitigate any potential negative impacts to the City. The land swap concept is supported by the City’sUtility department and is reflected in the site design for the project. The arrangement between the applicant and the City accommodates the developer’srequest of an LLA, which allows the applicant to proceed with their optimal site design.
Overall, the arrangement is of mutual benefit to both parties, but is not considered an additional community benefit above and beyond the City’s development requirements.
RECOMMENDATION:
Staff recommends that the EDC review the proposal and provide comments to the applicant and staff.

160 N. Cactus Project
Community Benefits Summary
Planner: Daniel Rosas
Master Case No. 2022‐0059
Lot Line Adjustment No. 2022‐0016
Project Applicant: 160 N Cactus Owner, LLC
Project Community Benefits
1. The existing site consists of dilapidated structures, piles of construction waste, walls with graffiti, and truck trailer storage, which has become an eyesore and safety issue on a main thoroughfare in the City. The Project will demolish the existing structures and remove the storage containers, construction equipment, and miscellaneous materials from the Site and construct a brand new Class A industrial building utilizing contemporary materials and architectural design features.
2. The Project improvements will include, among other things, the paving over of the existing large drainage culvert along Cactus Avenue that will enhance the pedestrian experience along Cactus Avenue and make the entry and transition into the Pacific Electric Trail safer and more beautiful.
3. The Project will install new security lighting and other improvements that will make the site and immediately adjacent right of way areas brighter and safer for members of the community.
4. The Project will employ local union labor, generate revenue for the City, and create opportunities for high‐paying logistics industry jobs.
5. The Project will include a Lot Line Adjustment that will facilitate improved access for the City to an existing water quality monitoring well and provide various other benefits for the City and neighboring parcels, specifics of which are outlined below.
Lot Line Adjustment DescripƟon
As a community benefit, the Project proposes a lot line adjustment (Lot Line Adjustment No. 2022‐0016) between APN 0128‐141‐72‐0‐000 and adjacent APNs 0128‐141‐49‐0‐000 and 0128‐141‐63‐0‐000 (a City‐ owned parcel). The City‐owned parcel will be relocated to be immediately adjacent to Rialto Avenue for beƩer access to the exisƟng water facility. The City‐owned porƟon of the site is currently 0.33‐acre, but will increase to 0.34‐acre as a part of the lot line adjustment for the Project.
48 2
Lot Line Adjustment Detailed Benefits
1. Lot Line Adjustment Community Benefits
a. A relocated parcel that is more accessible, valuable, and has clear frontage on Rialto Avenue.
b. 247 square feet of more accessible land fronting Rialto Avenue area given to the City. c. Upgrades to within the parcel such as
i. 8’ tall CMU perimeter walls with gravel base (+/‐ 430 linear feet) ii. Roughly 870 square feet of new drought tolerate landscaping iii. New irrigation system for the added landscape.
iv. Reconstructed and/or repaired driveway apron entering the parcel d. The additional landscape and right of way improvements will create an enhanced streetscape on Rialto Avenue
e. A drainage design that captures half of the sheet flow into the Project Applicant’s on‐ site underground infiltration system. The current City parcel directs some of the sheet flow towards the street, and the remaining sheet flow collects on‐site without a storm water infiltration system in place.
f. The adult school to the West gets better view towards the East. The school currently looks through chain link fence into a poorly maintained yard that stores construction machinery and equipment. The new parcel will be cleared out and the Project Applicant will install a solid 8’ wall so that the school no longer looks directly into the property.
2. Lot Line Adjustment and Related Costs to the Applicant a. The total cost to the Applicant is $643,912. This amount includes Hard Costs (the cost to construct improvements), Soft Costs (consultant and City fees), Land Costs, and Estimated Lost Annual Revenue/Value. See Exhibit A for the breakdown in costs.
3. Project Design Concessions by the Applicant
a. A site plan configuration that kept the City parcel in place would have yielded a more visible Office Entry/Project Frontage from Rialto Avenue that would be more ideal for tenant identity and access. Maintaining the existing City parcel in place would have also yielded about ten (10) additional loading docks and three (3) additional standard vehicular parking stalls. All of these features would have been able to result in a minor rent premium for a future tenant, and therefore a loss of annual revenue is estimated in Exhibit A under “Lost Potential Revenue”.

Property Disposition of citywide Successor Agency, Housing Authority and City-owned property, including Miro Way and downtown infill properties.
BACKGROUND
Southside Miro Way Properties
The City of Rialto and Lewis-Hillwood Rialto (LHR) is currently underway with the rezoning and disposition of three development sites along the southside of Miro Way. This project is being pursued under a “Collective Disposition Agreement” that binds the City and LHR parties to dispose and develop the site together via a competitive RFP process. Currently, the City and LHR have entered into a purchase and sale agreement with the awarded bidder is pursuing their own due diligence of the site.
Northside Miro Way Properties
Separately, LHR owns 10.48 acres on the north side of Miro Way, which includes 6.48 acres zoned medium density residential and 4 acres zoned as a school site. The City of Rialto Successor Agency owns 6.2 acres on the north side of Miro Way, which is zoned for a school site. The entire acreage is located on the northside of Miro Way, just west of Ayala Drive in the Renaissance Specific Plan.
Downtown Properties
There are currently over 20 properties located in and around the downtown area that are owned by the City, Successor Agency and Housing Authority. These properties are ripe for infill mixed-income or market rate housing, transit-oriented development and/or mixed-use development.
ANALYSIS/DISCUSSION
In 2022, City Council approved an agreement between the City of Rialto and Lewis-Hillwood Rialto Company, LLC (LHR) to work together to dispose of the southerly Miro Way properties in the Renaissance Specific Plan and revise the permitted land uses from park and school site designations to business center land uses. During the summer of 2023, the due diligence period expired and discussions ended. An interest in the project remains high and staff is seeking feedback on next steps to proceed.
Housing remains in high demand and staff is in process of preparing a Request for Proposals (RFP) for the disposition of various downtown area Successor Agency, Housing Authority and City-owned properties. It is intended to draft an RFP that has the flexibility to award to one or more bidders so the City of Rialto Printed on 9/22/2023Page 1 of 2
