INSURANCE.

I. General
Prior to performing the services under this Agreement, Developer agrees to purchase all required insurance and to deposit with City Certificates of Insurance, including all endorsements required herein, necessary to satisfy City that the insurance provisions of this Agreement have been complied with and to keep such insurance coverage and the certificates therefor on deposit with City during the entire term of this Agreement. City reserves the right to request that Developer provide City with copies of the declarations page showing all endorsements and a copy of the insurance policies.

II. Deductibles and SIRs
All self-insured retentions (SIRs) or deductibles shall be clearly stated on the Certificate of Insurance. If no deductibles or SIRs apply, indicate this on the Certificate of Insurance with a zero (0) by the appropriate line of coverage. Any deductible or self -insured retention (SIR) in an amount in excess of $100,000 ($25,000 for automobile liability), shall specifically be approved by City’s Director of Finance (“Director Of Finance”) upon review of Developer’s latest financial reports. The named insu red shall be responsible for reimbursement of any deductible to the insurer. Upon notice of any actual or alleged claim or loss arising out of the Project, the responsible party for any actual or alleged claim shall immediately ensure a defense is mounted in favor of Developer and any Additional Insured prior to the satisfaction of the full the SIR.

III. Failure to Maintain Insurance
If Developer fails to maintain the required insurance for the full term of this Agreement, then after notice and an opportunity to cure as provided in Section 23, City may terminate this Agreement for cause.

IV. Qualified Insurer
The policy or policies of insurance must be issued by an insurer with a minimum rating of A- (Secure A.M. Best's Rating) and VII (Financial Size Category as determined by the most current edition of the Best's Key Rating Guide/Property -Casualty/United Stat es or ambest.com). The insurer shall be licensed to do business in the state of California (California Admitted Carrier) or be a surplus line carrier that is eligible to issue insurance policies pursuant to California Insurance Code Sections 1765.1 and 176 5.2 (i.e., listed on the California Department of Insurance List of Approved Surplus Line Insurers [http://www.insurance.ca.gov/01-consumers/120-company/07- lasli/lasli.cfm], is an “eligible carrier” [carriers who have met the standards set forth in California Insurance Code Section 1765.1 and the NRRA], or surplus line carriers that are non-U.S. domiciled (“alien”) non-admitted insurers and are listed on the Quarterly Listing of Alien Insurers issued by the NAIC's International Insurers Department ]). If the insurance carrier does not have an A.M.

Best Rating of at least A-/VII, the Director of Finance retains the right to approve or reject a carrier after a review of the company's performance and financial ratings.

(b) Increased limits of insurance may be met with umbrella/excess coverage provided the policy is written on a Follow Form basis.

VI. Required Coverage Forms
(a) The Commercial General Liability coverage shall be written on Insurance Service Office (ISO) form CG 00 01, or substitute form providing liability coverage as broad.
(b) The Business Auto Liability coverage shall be written on ISO form CA 00 01, CA 00 05, CA 00 12, CA 00 20, or a substitute form providing liability coverage as broad.

VII. Required Endorsements
(a) The Commercial General Liability policy shall contain the following endorsements, which shall accompany the Certification of Insurance:
(1) An Additional Insured endorsement using ISO form CG 20 10 or CG 20 33 or a form at least broad, naming the City of Rialto, their elected and appointed officials, and employees as Additional Insured. (2) A primary non -contributing endorsement evidencing that DEVELOPER’s insurance is primary and any insurance or self -insurance maintained by City shall be excess and non-contributing. (b) The Worker’s Compensation policy shall contain a waiver of subrogation endorsement waiving all rights of subrogation against City and members of the City Council, its elected and appointed officials, officers, and employees. (c) All insurance policies required by this Agreement shall waive all rights of subrogation against City, and members of the City Council, its elected and appointed officials, officers, and employees when acting within the scope of their appointment or employment.
(d) Developer shall notify City in writing within thirty (30) days of any policy cancellation and ten (10) days for non-payment of premium and provide a copy of the cancellation notice to City. Failure to provide written notice of cancellation may constitute a material breach of the contract, upon which City may suspend or terminate this Agreement.
(e) If Developer’s Professional Liability policy is a “claims made” policy, DEVELOPER shall agree to maintain professional liability coverage for two years following completion of this Agreement.

(f) The Commercial General Liability policy shall contain a severability of interests’ clause, a "separation of insureds" or "severability" clause which treats each insured separately (standard in the ISO CG 001 policy). (g) Insurance certificates and endorsements shall be forwarded to City at the address listed in Section 25.7.
(h) The procuring of such required policy or policies of insurance shall not be construed to limit Developer’s liability hereunder nor to fulfill the indemnification provisions and requirements of this Agreement, nor act in any way to reduce the policy coverage and limits available from the insurer.

VIII. Property Insurance/Builder’s Risk Insurance . Developer shall procure and maintain, or will direct its General Contractor to procure and maintain, for the duration of this Agreement , property insurance in the amount of one hundred percent (100%) of the value of the replacement cost of the Building on the property where the Project is to be constructed on a replacement cost basis. The property insurance shall insure against the perils of fire (with extended coverage), theft, vandalism, malicious mischie f, collapse, flood, water damage, mechanical and electrical breakdown, earthquake, windstorm, and physical loss or damage including, without duplication of coverage, payments for falsework, testing and startup, temporary buildings and debris removal, and shall cover reasonable compensation for Developer’s services and expenses required as a result of such covered reasonable insured loss. The insurance shall include the interest of Authority, City, Developer and its agents (including its consultants and contractors). Such insurance shall be on an all-risk policy form reasonably acceptable to Developer and City. If City directs Developer not to include builder’s risk insurance coverage for the perils of earthquake and/or flood, then City will be deemed to self -insure against such perils and is solely responsible for and will pay (via a Change Order that increases the Project GMP and extends the Developer Obligation Date) Developer for all costs, expenses, and damages arising out of or relating to those perils that City directed Developer not to include in the builder’s risk insurance. The builder’s risk insurance will not cover City’s personal property. City will be responsible for paying the deductibles or self - insured retentions for the builder’s risk insurance.

IX. General Contractor and Subcontractor Insurance . The types and amounts of all policy or policies of liability insurance to be provided by the General Contractor and the subcontractors, and requirements related thereto shall be set forth in the Bid Documents (which are subject to City’s approval) and in the Construction Contracts, and shall be paid by the General Contractor and the subcontractors (but the cost of the insurance will be included in the GMP).

X. City, Developer, and General Contractor waive all rights against each other and all subcontractors or every tier, their agents and employees; separate contractors, if any, and any of their subcontractors; agents and employees of the City; and the Architect and its employees, each of the other, for loss or damage to the extent covered by property insurance applicable to the Project, except such rights as they may have to proceeds of such insurance. City and Developer, as appropriate, shall require of the Architect, General Contractor, all Subcontractors of every tier, separate contractors, if any, and agents and employees of any of them, by appropriate agreements, written where legally required for validity, similar waivers each in favor of the other parties

enumerated herein. The insurance policies of each person or entity shall provide such waivers of subrogation by endorsement or otherwise. A waiver of subrogation shall be effective as to a person or entity even though that person or entity would otherwis e have a duty of indemnification, contractual or otherwise, did not pay the insurance premium directly or indirectly, and whether or not the person or entity had an insurable interest in the property damaged. Notwithstanding the above, the waiver of subrogation in favor of the Architect, its agents and employees shall not apply to any losses as a result of Architect's, its agents or its employees’ professional negligence.

MEDIATION
Within 10 business days following the delivery of a written notice demanding non -binding mediation pursuant to Section 24, Developer and City shall mutually agree to a mediator, the costs of which shall be shared equally by the parties. If the parties cannot agree upon a mediator, each party shall select a mediator and those mediators shall select a qualified neutral third party to mediate with regard to the dispute, with each party bearing the fees and costs of its respective mediator. Mediation shall include, but not be limited to, neutral evaluation, a dispute review board, or other negotiation or evaluation through an independent third party or board. The Developer and the City may mutually agree to waive any individual mediation in writing and proceed to litigation pursuant to this Agreement.

Developer’s GMP Qualifications, Exclusions, and Allowances

The Developer’s GMP is based on the following assum ptions:

1. This overall Project GMP remains valid until Januar y 13, 2024 after which time it will be automaticall y deemed rescinded, null and void unless and only if Developer has been issued the duly executed Development Agreement by City and also that a corre sponding Notice to Proceed has been issued by City to Developer on or before January 13, 2024.

2. Existing office furnishings will be removed and dis carded unless removed by Owner prior to start of demolition.

3. The existing modular office buildings will be relocat ed and reset as-is. We assume the modular buildings are structurally sound enough to be moved by profes sionals without damage. The relocated modular office buildings will be treated as a temporary workspace and will be permanently demolished upon completion of the new Police HQ building and support building.

4. Pre-Action fire sprinkler system will be provided a t the Server/Radio room only.

5. Builder’s Risk insurance coverage will be provided per the terms of the Development Agreement.

6. Existing photovoltaic panels and all associated equ ipment will be removed and stored during constructi on.

They will be reinstalled and reconnected into the n ew project. No additional panels or equipment will be provided.

7. Developer will trace down and map all existing copp er fiberoptic network cables and identify a locatio n outside the construction area but near the building s to serve as a main point of connection for the ne w buildings. If there isn’t an existing location near the new buildings that can serve as a main point o f connection this will be identified in the mapping a nd may result in unforeseen costs.

The Developer’s GMP has been adjusted to reflect th e following variances from the approved Plans, made for the purpose of reducing Project cost:

1. In lieu of the Audio/Visual (A/V) systems shown in the approved plans and described in the approved specifications, set up an Allowance of $2,500,000 f or all project A/V. The Project team will work wit h City staff to design and specify the most effective syst em that can be provided within the cost of said Allowance.

2. Where ballistic wall board is specified, the height will be limited to 6” above the ceiling.

3. Telescoping gates will be substituted for bi-foldin g gates.

4. Standard density fireproofing at structural steel w ill be substituted for medium density.

5. Two glass and aluminum 6 ft wide double doors will be substituted for wider bi- parting doors at the Community Room porch.

6. Structural and utility provisions for a possible fu ture 2nd level office expansion are deleted.

7. Decorative mullion extensions at exterior window fr ames are deleted.

8. The canopy at the southeast corner of the main buil ding will be reduced in size by approximately 200 sf.

9. At all interior partitions that are not sound rated , drywall height will be limited to 6” above the ce iling.

10. The Police Memorial water feature and associated in frastructure are deleted.

11. Blast Resistant Window Film installation will be li mited to the locations specifically called out on t he exterior elevations on the approved plans.

12. Anti-graffiti window film is deleted at second floor exterior windows.

13. Tempered Glass heat soaking requirement is deleted from Specifications Section 08800.

14. The existing basement structure will be left in pla ce below the elevation required to allow clearance for construction of new building foundations and underg round utilities. Existing basement slab will be perforated to allow for full drainage.
