Software Support Renewal Agreement
This letter is an important notice to renew your Software Support Agreement for your TriTech System pursuant to Section 2.1 of the Agreement (the “Software Support Agreement”).
WHEREAS, the Parties entered into the Software Support Agreement, dated December 2, 2014 for software maintenance and support for the VisiCAD Computer Aided Dispatch System, as amended (the “Agreement”); and
WHEREAS, the City of Rialto, CA and TriTech Software Systems (the “Parties”) acknowledge and agree the software support and maintenance is slated to expire June 30, 2024 and the Parties mutually desire to renew such support and maintenance as set forth herein; and WHEREAS, the Parties hereby acknowledge and agree this document constitutes a renewal of software support and maintenance as set forth herein.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereby agree as follows:
1. The Agreement is hereby extended in accordance with the Section 2 of the Agreement entitled “Term” for the renewal periods described below, (each a “Renewal Period”):
a. July 1, 2024 through June 30, 2025
2. The rate of compensation for each Renewal Period pursuant to this Software Support Renewal Agreement is $208,509.56, per Renewal Order No. Q-167633 attached here to as Exhibit A and incorporated into the Agreement by reference.
3. The Parties agree and affirm that all terms of the Agreement not in conflict with this Software Support Renewal Agreement remain in full force and effect, and that nothing in this Software Support Renewal Agreement relieves either party of their respective obligations under the Agreement.

4. This Software Support Renewal Agreement, together with the Agreement, constitutes the entire agreement between the Parties, and supersedes all other prior or contemporaneous communication between the Parties (whether written or oral) relating to the subject matter of this Software Support Renewal Agreement. Each Party to this Software Support Renewal Agreement hereby agrees to execute any documents or instruments reasonably required by the other party to evidence the foregoing.
IN WITNESS WHEREOF, the Parties, by and through their duly authorized representatives, have executed this Software Support Renewal Agreement as of the Effective Date of this Extension.
