Warranty Statement:
A one (1) year warranty is included in the quoted price of the product unless otherwise specified above.Warranty information is detailed in Jacobs Technology Inc., Rapid Solutions Performance Unit Terms & Conditions for Products Sales.
Delivery Schedule:
Items in-stock will be shipped within 15 business days ARO. Out-of-stock items are generally shipped within 60-90 days ARO. Buyer should use 90 days for normal planning purposes. Actual delivery expectation will be confirmed at time of order placement.
All products ship on a first come first serve basis from the time they are available in-stock. Jacobs will not hold orders for future delivery dates. All standard products are delivered with user manuals, with the exception of accessories.
If item(s) are delayed in delivery due to lags incurred by the receipt of a valid export license or receipt of any necessary certifications or approvals, Jacobs shall not be responsible for any damages resulting therefrom. If an unfavorable export license, certification, or approval is received, Buyer’s sole remedy and Jacobs' sole responsibility shall be a refund of any monies paid by Buyer for the affected products.
Intellectual Property (IP) - Jacobs:
Notwithstanding anything to the contrary contained herein (except for the limited license rights expressly provided Jacobs Technology Inc., Rapid Solutions Performance Unit Terms & Conditions for Products Sales), Jacobs and/or its suppliers will retain all rights, title and interest in and to the Jacobs software products and the intellectual property rights associated with Jacobs hardware products, including, without limitation, all patent rights, copyrights, trademarks, service marks, related goodwill, designs and confidential and proprietary information; and all modifications to, and derivative works based upon, the products and the documentation, whether registered in any part of the Buyer’s country or province or not. Buyer (or Customer) shall not claim any right or property therein or register or cause to be registered in any part of the world, any patent, trademark, trade name, copyright or design which is the property of Jacobs or its third party suppliers.
Jacobs retains for itself all intellectual property and production rights in and to all designs, engineering details, and other data pertaining to the Jacobs hardware and Jacobs software products and to all discoveries, inventions, patent rights, and developments arising out of work done in connection with this order and to any and all products resulting therefrom, including the sole right to manufacture any and all such products. To the extent Buyer (or Customer) has or obtains any right, title, or interest in any of the foregoing, Buyer (or Customer) hereby irrevocably assigns to Jacobs any and all such right, title, and interest. Buyer shall not transfer, or permit any third party to transfer, any such rights in and to the Jacobs products to the government, unless otherwise expressly authorized by Jacobs in writing. Intellectual property includes, without limitation, patents, copyrights, trade and service marks, trade names, trade secrets, and semiconductor designs.

Why is your CSS product the only one that can meet all the necessary requirements for Rialto Police Department? Jacobs Technology Inc. is the only company that can provide the Rialto Police Department a nine (9) channel base transceiver, software defined radio platform in one chassis, coupled with a seven (7) band CONUS amplifier for seamless transmit and receive on all U.S. cellular networks in 2G, 3G, 4G, and 5GNR [5G new radio specification transmit capable] as well as passive Wi-Fi collection for mission critical intelligence type investigations.
Jacobs is the only vendor in the U.S. that supplies this system with these requirements and the base radio intellectual property is proprietary and only available to U.S. Law Enforcement or Military via Jacobs Technology Inc. exclusively. More specifically, Jacobs is the only company that offers the system as a turnkey solution with this base radio solution (nine base transceivers with used for 5G new radio transmit).
Jacobs Technology Inc. is the only company known to the Rialto Police Department that can procure, outfit, integrate, deliver, train, and support on this system. The system is delivered with a three-year all-inclusive warranty and no cost for any firmware or software for the life of the system to our users. Furthermore, our handheld RF tools listed in the quote are designed to work in close (seamless) integration with our base radio where no other vendors solutions can achieve this ease of operation for the inexperienced user or in an emergency when time is of the essence.
Is there anything propriety about your product?
Proprietary Statement: The Jacobs Technology Inc. Base Station Next Generation mobile/transportable base station radio kit is entirely proprietary in that all the hardware and software can only be modified by Jacobs, and no other company is authorized to service or support this equipment. All the software is licensed to the end user/customer specifically. While Jacobs uses some commercially available materials in the integration, we also use custom fabricated materials such as metal, aluminum, and wood materials for mountings, pass throughs, and cable channels as well as antenna fabrications, and those plans, techniques, manufacturing styles, as well as diagrams & drawings would be considered proprietary to our Jacobs engineering team.
Why is your company the only practicable source available from which Rialto Police Department can obtain this type of product?
Jacobs Technology Inc. is the only supplier of the Base Station NG base radio kit with these requirements in the U.S.

Our products are only sold to government entities, and subcontractors on their behalf, the government is always given the most favorable pricing. All units are sold at the standard price. We do not provide discounts outside of those documented on our Standard Price List, available to all customers.

The following Terms for Products Sales (“Terms”) constitute JTI’s (defined below) terms to be attached to JTI’s Quotes and/or the BUYERS Purchase Orders or any Terms and Conditions (“Contracual Terms”) . In the event of any conflict or inconsistency between these Terms and the BUYER’sTerms and Conditions, these Terms will control.
1. DEFINITIONS. As used herein, the following terms have the meaning set forth below.
(a) “BUYER” means the entity identified in the Quote, in an agreement or any ordering documents
(c) “ Documentation” means user’s manuals, technical specifications, training manuals, operating instructions, help guides, and other product documentation, including third-party hardware, software, and related documentation, provided by JTI.
(d) “JTI” means Jacobs Technology Inc., the party selling the Products. The term “JTI” includes any direct or indirect parent corporations or subsidiaries. (e) “JTI Hardware Products” means those products manufactured and assembled by JTI, ordered by BUYER hereunder, including any and all hardware products produced by a third- party that are incorporated into a JTI Hardware Product. The parties agree that terms and conditions from third- party hardware products may flow down to the BUYER.
(f) "JTI Software Products" means the software developed by JTI in whatever form provided or however d esignated ( whether as firmware, microcode, or o therwise) and includes all changes, additions, revisions, updates, replacements, manuals, and documentation which may be provided.
The parties agree that terms and conditions from such third-party software products may flow down to the BUYER.
(g) “Product” or “Prod ucts” means JTI S oftware Products and JTI Hardware Products (collectively, “Products”) and products of third-party manufacturers that are sold or otherwise distributed by JTI, including re lated software and hardware Documentation. Software includes software in object code integrated into and/or provided as part of hardware products. Products include training courses and related training materials and aides associated with the use of the Products. Products are listed in an order or other ordering document accepted by the BUYER.
2. ACCEPTANCE OF PRODUCT BY BUYER; TITLE. All Products shall be deemed accepted by BUYER u pon delivery; pr otection to BUYER for any nonconforming Product is provided exclusively under JTI’s warranty. Title shall pass to BUYER once the Products are delivered to the carrier. For Products that are hand-delivered to the BUYER, then title shall pass to BUYER when the Products are given to the BUYER.
3. LIMITED WARRANTY.
The following Limited Hardware Warranty and Software Warranty shall only apply to the extent the language in Section 3 is not in conflict with any applicable Product-specific warranty as provided in an Addendum to these Terms. In case of any conflict between Section 3 and an Addendum, the Addendum containing the Product-specific warranty shall control. a. JTI Hardware Products. JTI warrants JTI Hardware Products agai nst defects in material and workmanship (the “Hardware Warranty”) for a period of twelve (12) months from the date of delivery to BUYER (the “Hardware Warranty Perio d”). JTI will, at its sole op tion, repair or replace those JTI Hardware Products or components de termined to be defective under this Hardware Warranty which are returned promptly to JTI, but no later than ten (10) days after expiration of the Hardware Warranty Period. BUYER shall provide for any removal of the defective unit or component from any product with which it has been integrated subsequent to leaving JTI's facility.
Replacement parts may be reconditioned and will not extend the Hardware Warranty Period. Warranty service will be performed after the defective unit covered under this warranty is returned to JTI's facility at BUYER’s sole expense. JTI Hardware Products covered by this Hardware Warranty will be returned to BUYER with freight and other charges prepaid by JTI. BUYER is responsible for all risk of loss and for all import/export documents, licenses, customs clearances, and o ther requirements and charges associated with returns to and from the United States; and for installation. If JTI repairs or replaces a defective JTI Hardware Product, the repaired or replaced product will be covered through the end of the Hardware Warranty Period, but no repair or replacement will extend the warranty term past the last day of the Hardware Warranty Period.
Nothing in this Agreement shall obligate JTI to perform or provide on-site diagnostics, repair, installation efforts, or support services with respect to the Products. Any such on-site diagnostics, repair, installation efforts, or support shall be subject to additional fees and a separate agreement, mutually agreeable to the Parties.
This Hardware Warranty shall not apply to any JTI Hardware Product or parts thereof, that (a) has had the Serial Number, Model Number, or other identification markings altered, removed, or rendered illegible, (b) has been damaged by or subject to improper installation or operation, misuse, neglect, use in any way with equipment not previously approved in writing by JTI, or from any cause beyond JTI’s control, (c) has been repaired or altered by other than JTI personnel or authorized representative and/or has been subject to the opening of any seals without JTI’s prior written consent, and/or (d) has been used in any way other than in strict compliance with JTI’s installation and operation instructions provided with the JTI Hardware Product.
All JTI Hardware Products returned under a Hardware Warranty claim must be returned in accordance with JTI's standard Return Material Authorization (RMA) procedures, including a written claim reciting the nature and details of the claim, the date the cause of the claim was first observed, and the unit serial number.
BUYER must report all warranted problems prior to the expiration of the warranty period to be eligible for a remedy. This Hardware Warranty shall not apply to any post-Hardware Warranty JTI repair services. With respect to post-Hardware Warranty repair services, if BUYER notifies JTI within ten (10) business days from the date of delivery of the alleged failed performance of the repair, JTI will, at its sole option, correct any defects and deficiencies in the performance of the repair or render a full or pro-rated credit based on the original charge for the repair service.
Notwithstanding anything to the contrary here in, this Hardware Warranty shall n ot apply to any third-party products or software. JTI will, when permitted, pass through any manufacturer’s warranty on third-party products or software to BUYER.
Before returning a pro duct for service to JTI, BUYER shall back-up any software or data contained in the product. In no event will JTI be liable to BUYER, or any third-party for any damages of any kind whatsoever relating to or arising out of damage to, or loss or corruption of, any records, programs, or other data resulting from JTI’s repair or replacement under this warranty. b. JTI Software Products. JTI warrants that the JTI Software Products will substantially conform to the Documentation (“Software Warranty”) for such JTI Software Products for a period of twelve (12) months from the date of delivery (the “Software Warranty Period”). JTI does not warrant that Buyer’s use of the JTI Software Product will be uninterrupted or error-free. JTI’s sole liability (and BUYER’S exclusive remedy) under this Software Warranty shall be, in JTI’s sole discretion, to use commercially reasonable efforts to correct or pr ovide a workaround for any reproducible errors. BUYER agrees to cooperate with JTI in creating the environment in which the error occurred and shall supply any third-party equipment which may be necessary for duplicating the error.
This Software Warranty does not apply to any JTI Software Product which (1) has been altered or modified, except as may be expressly authorized by JTI, (2) has not been installed, operated, repaired, or maintained in accordance with any i nstallation, handling, maintenance, or operating in structions supplied by JTI, (3) has been used in such a way that JTI cannot reasonably reproduce the JTI Software Product error, or (4) has been combined with other non-JTI or non-JTI-approved products. In no event does JTI warrant that the JTI Software Product is error free.
Notwithstanding anything to the contrary herein, this Software Warranty shall not apply to any third-party products or software. JTI will, when permitted, pass through any manufacturer’s warranty on third-party products or software to BUYER.

OR IMPLIED OR STATUTORY, WITH RESPECT TO THE PRODUCTS OR
OTHERWISE UNDER THESE TERMS, WHETHER WRITTEN OR ORAL,
INCLUDING, WITHOUT LIMITATION, WARRANTIES OF
MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR BASED ON ANY SAMPLE OR MODEL. THE REMEDIES SET FORTH
ABOVE CONSTITUTE THE SOLE REMEDIES OF BUYER AND SOLE
LIABILITY OF JTI REGARDING ANY BREACH O F THE APPLICABLE EXPRESS LIMITED WARRANTY.
4. SOFTWARE PRODUCTS LICENSE.
Subject to all of the Terms and Conditions contained herein, JTI hereby grants BUYER a perpetual, limited, non -exclusive, non-transferable, non- sublicensable (except as otherwise provided) license to JTI Software Products, including JTI Software Products integrated into or delivered on Products, but only in accordance with (a) the Product Documentation provided by JTI, and (b) these Terms for Products Sales. This software license does not allow BUYER to use the licensed application on any hardware that BUYER does Jacobs Technology Inc.

not own or control. BUYER may not distribute or make the JTI Software Products available over a network where it could be used by multiple devices at the same time. BUYER may not rent, lease, lend, sell, transfer, redistribute, or sublicense the JTI Software Products (except as otherwise provided) and, if BUYER discards and/or sells to a third-party any portion of hardware containing the JTI Software Products, BUYER must remove the JTI Software Products from the hardware before doing so. BUYER h as no rights to source or non- executable code. JTI Software Products are the proprietary, trade secret, and copyrighted property of JTI or its licensors and all ownership and title thereto is retained. BUYER agrees that it will use the JT I Software Products only as au thorized herein, that it will not, nor will it permit any third-party to: (a) decompile, disassemble, or otherwise reverse engineer any Product supplied by JTI or attempt to reconstruct or discover any source code, underlying ideas, algorithms, file formats, or programming interfaces of the Product by any means whatsoever (except and only to the extent that applicable law prohibits or restricts reverse engineering restrictions); (b) di stribute, sell, sublicense, rent, lease, or use the Product (or any portion thereof) for service provider or like purposes; (c) remove any Product identification, proprietary, copyright, or other notices contained in the Product; (d) modify any part of the Product, create a derivative work of any part of the Product, or incorporate the Product into or with other products, except to the extent expressly authorized in writing by JTI; (e) publicly disseminate performance information or analysis (including, without limitation, benchmarks) from any source relating to the Product; (f) copy, in whole or in part, the Documentation or Product; or (g) use or permit the Product to be used to perform services for any third parties. BUYER agrees to maintain the JTI S oftware Products in confidence and not disclose the JTI Software Products to third parties except as permitted herein or to employees who have no need to know, and to use the JTI Software Products only as permitted. This license will automatically terminate upon BUYER’s breach of any of the provisions of this license with or without notice from JTI. Upon termination, BUYER must immediately cease all use of the JTI Software Products, and return all JTI Software Products and copies, in whatever form, to JTI. BUYER’s obligations with respect to the software Products will survive any termination or expiration of the Order.
The terms of this license will govern any updates and upgrades that replace and/or supplement the original l icensed application, unless such u pdate or upgrade is accompanied by a separate license in which case the terms of that license will govern. BUYER’S obl igations with re spect to the JTI Software Products shall survive any termination or e xpiration of these Terms and Conditions. JTI may require additional fees for upgrades.
5. THIRD-PARTY MATERIALS.
Certain services included in the software applications may display, include, or make available content, data, information, applications, or materials from third parties ("Third-Party Materials") or supply links to certain third-party websites.
Ownership, use, warranty, and other rights and terms with respect to any such Third-Party Materials shall be as expressly set forth in the Documentation. By using the services, B UYER a cknowledges and agrees that JTI is n ot responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, l egality, d ecency, qual ity, or any other aspect of such Third-Party Materials or websites. JTI, and its officers, affiliates, and subsidiaries do not warrant or endorse and do not assume and will not have any liability or responsibility to BUYER or any other person for any third-party se rvices, Third-Party Materials or websites, or for any other materials, products, or services of third-parties. Third-Party Materials and links to other websites are supplied solely as a convenience to BUYER. To the extent BUYER chooses to use or access such services and materials, BUYER will comply with all applicable laws. JTI reserves the right to change, suspend, remove, or disable access to any services at any time without notice. In no event will JTI be liable for the removal or disabling of access to any such services. JTI may also impose limits on the use of or access to certain services, in any case and without notice or liability.
6. PROPRIETARY RIGHTS
JTI a nd/or its suppliers will retain all rights, title, and interest in and to the Products, including, without limitation, all patent rights, copyrights, trademarks, service marks, related goodwill, designs, and confidential and proprietary information; and all modifications to, and derivative works based upon, the Products and the Documentation, whether or not registered or unregistered.
JTI retains for itself all intellectual property and production rights in and to all designs, engineering details, and other data pertaining to the Products and to all discoveries, inventions, patent rights, and developments arising out of work done in connection with these Terms. To the extent BUYER has or obtains any right, title, or interest in any of the foregoing, BUYER hereby irrevocably assigns to JTI any and all such right, title, and interest. Intellectual property includes, without limitation, patents, copyrights, trade and service marks, trade names, trade secrets, and semiconductor designs.
BUYER shall not remove, destroy, deface, conceal, or al ter any name, markings, copyrights, notices, numbers, or the like on or contained in or attached to the Products or alter or modify the Products.
BUYER acknowledges and agrees that the Products contain valuable trade secrets of JTI and its suppliers. BUYER agrees to hold such trade secrets in confidence and further agrees not to remove any proprietary notices, labels, or marks from the Products. Neither Party shall disclose to other persons any technical, bu siness, production secret, or other confidential or proprietary information of the other Party that has been communicated to the receiving Party or of which re ceiving Party h as otherwise obtained knowledge (including, without limitation, any software code and technical information provided by JTI to BUYER, and the terms, conditions, and pricing), irrespective of whether or not this Order is still in force and shall use such information only for purposes of this Order and shall return such information and all copies upon request.
