PROPOSED SOLUTION: Software-as-a-Service (SaaS) 5 Year Renewal
This SaaS renewal is entered into as of the date indicated by the last signing party below by and between Konica Minolta and City of Rialto. This renewal is an addendum to the parties’ Master Services and Sales Agreement (“MSA”) and is governed by the terms of the MSA.
Term Length
Notwithstanding anything to the contrary, with respect to the products or services being renewed under this Order Form, the term of the Subscription renewal for the products or services on this Order Form shall be the period that begins on the first Start Date and ends on the last End Date reflected in the Payment Summary, notwithstanding the Effective Date of this Order Form. Thereafter, the Subscription shall automatically renew for additional terms of one (1) year each unless either party provides notice to the other of non-renewal at least thirty (30) days prior to the end of the then-current term. The committed length of this Subscription renewal and any subsequent renewal is an essential term of such renewal; accordingly, neither the renewal purchased under this Order Form nor any subsequent renewal period may be terminated for convenience, notwithstanding whether such right may exist in the underlying agreement or otherwise. Notwithstanding anything to the contrary in any agreement, the parties agree that Hyland may increase the fees for the products or services under this Order Form upon any renewal by up to 10 percent (10%) of the fees for such products or services in the immediately preceding annual term. For clarity, this pricing increase limit assumes a full renewal of all products or services at their current quantities and configurations. If Customer reduces, removes, or modifies the quantity or scope of any product or service, the agreed pricing uplift will not apply, and Hyland may reprice any or all products or services at then-current rates in its sole discretion. Hyland will provide either a renewal quote or invoice with the updated fees prior to the end of the then-current term which will be passed onto the City of Rialto.
