ADMINISTRATIVE SERVICES AGREEMENT
THIS ADMINISTRATIVE SERVICES AGREEMENT (the “Agreement”) is dated for reference purposes as of _____________, 2023, and is executed by and between the City of Richmond, a municipal corporation and charter city (the “City”) and the Housing Authority of the City of Richmond, a public body, corporate and politic (the “Authority”). The City and the Authority are referred to herein individually as a “Party” and collectively as the “Parties”.

WHEREAS, the City provides certain administrative, finance, and other services to and for the benefit of the Authority; and
WHEREAS, the Parties desire to formally set forth their agreement regarding the City’s provision of services to the Authority, and the Authority’s obligation to compensate and reimburse the City for such services.

NOW, THEREFORE for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows.

1. Purpose of Agreement; Term; Termination. This Agreement is intended to memorialize the arrangement pursuant to which the City provides certain staff and administrative services to, and for the benefit of, the Authority. This Agreement sets forth the services that the City will provide and make available to the Authority, and the compensation and reimbursements payable by the Authority to the City for such services. The term of this Agreement shall commence on _____________, 2022, and unless a Party delivers written notice of termination to the other Party, the Agreement shall continue in effect for renewable terms of 12 months each. Any such notice of termination shall be delivered not later than 60 days prior to the expiration of the then- current term. The Authority may terminate this Agreement on delivery of 60 days written notice to the City. Either Party may terminate this Agreement if the other Party defaults in its obligations hereunder and fails to cure such default within 30 days following written notice.

2. Scope of Services. The City agrees to cooperate with the Authority in carrying out such obligations and complying with such requirements.

3. Record Keeping and Reports. The City will keep records of the nature and extent of the services provided to the Authority pursuant to this Agreement, the personnel providing such services, the time expended, and the costs incurred in providing such services, so that an accurate determination of the Authority's financial obligation to the City can be made. The City shall submit to the Authority a statement detailing the services provided, the personnel providing such services, and time expended in providing services to the Authority pursuant to this Agreement.

Such statements shall include a summary of services provided during the calendar quarter, categorized in accordance with Exhibit A, the name and title of the City personnel that provided
