Re: Letter of Intent in response to Lease Termination Notice
Dear Mr. Clough:
As you know, in August 2023 t he City received the letter submitted by West County Wastewater on August 28, 2023, stating that the City of Richmond’s (the City’s) lease agreement for the Sludge Pon ds (“Lease Agreement”) would be terminated effective December 31, 2024.
The City has been participating in several meetings with West County Wastewater staff and this matter has been discussed at length. It was noted at one of these meetings that West County Wastewater’s new biosolids treatment facility will have the ability/capacity to treat the City’s biosolids that would have been previously sent to the Sludge Ponds.
City staff and West County Wastewater’s staff continue to discuss the terms that would govern the treatment of the City’s biosolids in the new treatment facility.
As you are aware, the City has partnered with West County Wastewater regarding the cost analysis for some of the agreements that will be negotiated as both Districts continue with the dissolution of the West County Agency.
One of the agreements that would need to be negotiated as part of these agreements is the treatment of the City’s Biosolids. Staff has also been informed at recent West County Agency meetings that the Biosolids Treatment Facility may not be capable of treating the City’s biosolids by December 31, 2024.
Accordingly, the City accepts West County Wastewater offer to extend the term of the Lease Agreement beginning on January 1, 2025 on a month-to-month basis to allow the City to continue us ing the Sludge Ponds in accordance with the terms of the Lease Agreement. It is anticipated that such use shall continue until the West County’s biosolids treatment facility is operational and can adequately treat the City’s sludge. City and West County Wastewater acknowledge and agree that the Lease Agreement may be terminated by either party upon thirty (30) days prior written notice.
If you have any questions regarding this letter, please feel free to contact me directly. I can be reached at (510) 620-6512 or via e-mail at [email protected].
