Sole Source Justification

THIS FORM MUST BE COMPLETED AND APPROVED PRIOR TO ANY PURCHASE Contact the Purchasing Division and discuss your rationale before completing this form. If Purchasing can help you make this a competitive purchase, then this form will not be required.

Attach this completed/approved form to requisitions when competitive quotes/bids/proposals are not solicited. (Required for requisitions> $3,000)
Requested Sole Source Supplier:

Company Name: Mind OC Contact Name: Jack Nickless
Address: 18650 MacArthur Blvd
City: Irvine State: CA Zip Code: 92614
Phone Number (949) 591-2704 E-Mail [email protected] Duration of Contract: June 30,02026
Estimated Cost: $ 125,000 Funding Source (Account String) 401-01401113-400705 Is the product/service IT related? Yes No X - If Yes, please attach the approved IT Authorization Form For Product: Is the recommended company the manufacturer of the product? Yes_ No x For Product: Does the manufacturer sell the items) through distributors? Yes No x Description of Product or Service:

Describe the full scope of work or service contemplated including installation if required; items should include brand, model and part number if applicable; (if additional space is needed, include them in « separate page) The City intends to purchase two (2) fully equipped and operational vans previously utilized for mobile crisis response services. These vehicles are fully customized and outfitted to meet the operational needs of the Community Crisis Response Program (CCRP). These vans will be used by CCRP field responders to conduct site visits, distribute supplies (e.g., water, food, hygiene kits), and provide safe transport to supportive service locations such as detox centers, shelters, and clinics. Installation services are not required as the vehicles are already fully constructed and ready for deployment providing a savings of 40K to 50K. The purchase will be coordinated directly with the current vehicle owner/vendor, who has maintained the units in operational condition.

Sole Source Rationale: PLEASE ANSWER ALL THE FOLLOWING QUESTIONS: Explain why the recommended company is the only company that can meet the requirement. Address the following: Are there any other companies who can do this job? What condition (e.g. technological superiority, or performance risks, etc.) exists so that the recommended company has a significant advantage over any other company who can do this job? It is important to sufficiently address the key reason for awarding an order/contract without soliciting competitive bids. The rational must be clear and convincing, avoiding generalities and unsupported conclusions.

Recently, CCRP staff were presented with the opportunity to purchase two (2) fully built out vehicles formerly used to deliver mobile crisis response services. To ensure the success and eventual expansion of the program, CCRP staff would like to purchase the built-out vans for CCRP field responders to use while we await the internal bulldout of the first two Ford Transit Vans CCRP purchased. The interior of all the vans are built out to ensure comfort and efficiency when delivering services to community members encountered during a crisis call. The vehicles will provide assistance to residents in need (i.e. conduct site visits, bring resources like food or water, and/or escort individuals to other resources such as sobriety centers, a homeless shelter, or other social service programs). The purchase of these vans will ensure that CCRP field responders will have the tools and resources they need to begin delivering mobile crisis response services-aligning with the City's strategic goal of improving public safety. Complete the following checklist
A specific contractor is the only source of the required item because (check all that apply):

The required items are proprietary to the Contractor, and contractor solely transacts (sells) direct to the customer. (There are no dealers or distributors for contractor).

The required items are proprietary to the Contractor, and contractor does not sell direct to the customer: Contractor solely distributes the item or service through only one dealer or distributor in the United States. (There are no dealers or distributors for contractor).

Note: If item or service is available from more than one source, the item or service may be treated as proprietary, but must be competitively solicited from multiple (two or more) sources.

A specific item is needed:

To be compatible or interchangeable with existing hardware As spare or replacement hardware For the repair or modification of existing hardware Federal or state grant names vendor as condition of funding. (Attach copy of grant that names vendor)
There is a substantial risk in contracting with any other contractor, (e.g., only one contractor has been successful to date in implementing a difficult manufacturing process or the services sought). In a brief explanation, provide supporting evidence of why other contractors are considered to be unable to overcome the substantial risk.

The recommended vendor is the only viable source for this procurement due to the unique nature of the offering: two (2) fully built and operational mobile crisis response vans that were previously designed and utilized for a nearly identical purpose. No other vendor currently offers pre-built, ready-to-deploy vehicles that meet CCRP's specific service and interior configuration requirements. The decision to move forward with this vendor is based on program alignment, readiness of the equipment, and the immediate benefit to public safety initiatives. Competitive bidding is not practical or advantageous under these circumstances.

Continuation of prior Work - Additional item, service or work required, but not known to have been needed when the original order was placed with vendor, and it is not feasible or practicable to contract separately for the additional need. Provide brief explanation and supporting evidence. (it additional space is needed, include them in a separate page) 2 | Page
I acknowledge the City's requirements for soliciting competitive quotes/bids for purchases over $3,000.00 and the criteria for justification for Sole Source purchases. I have gathered the required information, have made a concerted effort to review comparable/equal equipment/services (e.g., market research), and further affirm that there is no conflict of interest involved in the selection made.

PROCEDURE
Sole Source purchase/service are exceptions to the normal bidding process and require a detailed justification. In processing Sole Source requests for supplies, services and/or equipment, the Purchasing Division adheres to and is governed by the principles set forth in City of Richmond Municipal Code Section 2.52.326 Sole Source Procurement.

If you are requesting a particular vendor, brand or product, you must make this fact clear on your Sole Source form.

Your request will then be restrictive and non-competitive, and will fall into a sole source category. If the sole source justification is approved, the requisition can be expedited without the normal bidding requirements.

Such a request should not be made unless you are confident that your request is reasonable and appropriately justified to meet the City's requirements and withstand any possible audit. The City's requirements and the format for submitting such requests are contained herein. Sole Source form must be signed by authorized department representative(s). The certification will remain on file for audit purposes.

The following factors DO NOT apply to sole source requests and should not be included in your sole source justification. They will not be considered and only tend to confuse the evaluation process.

1. Personal preference for product or vendor.

2. Cost, vendor performance, and local service (these are generally considered award factors in competitive bidding).

3. Features which exceed the minimum department requirements. 3| Page

DISCUSSION:

Public Works, Equipment Services Division, intends to purchase two (2) fully equipped and operational vans previously utilized for mobile crisis response services. These vehicles are fully customized and outfitted to meet the operational needs of the Community Crisis Response Program (CCRP). Each van includes the following built-in components and features:
- High-roof cargo van platform (equivalent to a Ford Transit or similar) - Insulated interior paneling for temperature control and noise reduction - Custom cabinetry and secure storage compartments for medical and outreach supplies
- Interior seating and workstation configuration to allow staff to complete documentation, consultations, and transport individuals safely
- Built-in power inverters and auxiliary battery systems to support mobile equipment - Interior/exterior lighting suitable for night operations and safety visibility - Climate control systems independent from the vehicle's engine to allow extended on- site use
- Secure partitioning between driver and service compartments for safety and privacy These vans will be used by CCRP field responders to conduct site visits, distribute supplies (e.g., water, food, hygiene kits), and provide safe transport to supportive service locations such as detox centers, shelters, and clinics.

Installation services are not required as the vehicles are already fully constructed and ready for deployment. The purchase will be coordinated directly with the current vehicle owner/vendor, who has maintained the units in operational condition.

SOLE SOURCE JUSTIFICATION:

The recommended vendor is the only viable source for this procurement due to the unique nature of the offering: two (2) fully built and operational mobile crisis response vans that were previously designed and utilized for a nearly identical purpose. No other vendor currently offers pre-built, ready-to-deploy vehicles that meet CCRP's specific service and interior configuration requirements.

Page 2 of 4 ends

June 17, 2025
Several conditions justify the sole source designation:
- Technological Superiority & Fit-for-Purpose Design: The vans have already been professionally upfitted to serve in mobile crisis intervention and social outreach. Their design and features meet both operational and safety needs specific to this use-case.

Procuring similarly equipped new vehicles from an alternative vendor would require extensive lead time, design, and buildout-adding significant delay and additional costs. - Time-Sensitive Program Launch: CCRP is in the initial stages of implementation.

While two internal-use Ford Transit vans have been purchased, they are not yet built out for service. Purchasing these pre-configured vehicles enables CCRP to deploy services immediately while maintaining momentum toward the City's strategic public safety goals.
- Cost Avoidance and Efficiency: The purchase of used, outfitted vehicles provides a cost-effective alternative to new vehicle purchases and custom outfitting, which could take 6-12 months due to current supply chain delays and chassis backlogs industry- wide.
- No Comparable Offering: Market research confirms no other known vendors currently offer used, ready-to-use mobile crisis vans for sale that meet these specifications.

Procuring similar vehicles from scratch would involve significant design coordination, permitting, and fabrication time that would hinder service rollout.

The decision to move forward with this vendor is based on program alignment, readiness of the equipment, and the immediate benefit to public safety initiatives.

Competitive bidding is not practical or advantageous under these circumstances.

FISCAL ANALYSIS:

The total cost for the purchase of two (2) used, fully outfitted mobile crisis response vans is approximately $105,000 ($52,500 per vehicle). These vehicles are already configured and operational, eliminating the need for additional upfitting or extended lead times.

In comparison, the estimated cost to purchase two (2) new high-roof cargo vans (e.g., Ford Transit or equivalent) and perform a complete upfit to meet CCRP's operational needs would be approximately $166,000. This includes:
- $48,000 per new vehicle chassis

Page 3 of 4 ends

June 17, 2025
- $35,000 per vehicle for upfitting costs (cabinets, electrical systems, climate control, lighting, etc.)
Total estimated cost for new and upfitted vehicles: $96,000 (vehicles) + $70,000 (upfitting) = $166,000(estimated).

By purchasing the used, pre-configured vans, the City would realize a cost savings of approximately $61,000, while also expediting program implementation and avoiding significant lead times associated with new vehicle builds. This approach represents a fiscally responsible decision that supports the immediate operational readiness of the CCRP.

The requested contract amount of $125,000 includes contingency funding to account for vehicle purchase prices as well as potential ancillary costs such as taxes, licensing fees, transportation, and other unforeseen expenses associated with the acquisition.

Staff requests City Council approve a contract with Mind OC for the purchase of two (2) Ford Transit Vans, in a not-to-exceed amount of $125,000. Purchasing these vans will enable the immediate deployment of Community Crisis Response Program (CCRP) field operations by providing fully equipped, ready-to-use vehicles designed to support outreach, transport, and crisis intervention services in high-need areas throughout the DOCUMENTS ATTACHED:

CARFAX Well Maintained - Regular Oil Changes
CARFAX identifies a "Well Maintained - Regular Oil Change" vehicle as having a regular oil change history when all its recommended oil changes, based on the vehicle's maintenance schedule, have been reported to CARFAX. CARFAX uses the manufacturer's schedule and assumes normal driving conditions. When an oil change schedule is not available, CARFAX may analyze reported service events to determine what is typical for the same make and model vehicle. Dealers and service shops may publish different recommended service schedules.

Ford or Lincoln Mercury Recall
The Ford Motor Company provides CARFAX with Field Service Action and recall information regarding safety, compliance and emissions programs announced since 2000 for a specific vehicle. For complete information regarding programs or concerns about this vehicle, please contact a local Ford or Lincoln Mercury Dealer.

Ownership History
CARFAX defines an owner as an individual or business that possesses and uses a vehicle. Not all title transactions represent changes in ownership. To provide estimated number of owners, CARFAX proprietary technology analyzes all the events in a vehicle history. Estimated ownership is available for vehicles manufactured after 1991 and titled solely in the US including Puerto Rico. Dealers sometimes opt to take ownership of a vehicle and are required to in the following states: Maine, Massachusetts, New Jersey, Ohio, Oklahoma, Pennsylvania and South Dakota. Please consider this as you review a vehicle's estimated ownership history.

Title Issued
A state issues a title to provide a vehicle owner with proof of ownership. Each title has a unique number. Each title or registration record on a CARFAX report does not necessarily indicate a change in ownership. In Canada, a registration and bill of sale are used as proof of ownership.
