The agreement also outlines the frequency and process for the billing and payment of shared costs; and to confirm the agreement in MOU Phase I, that such a resource sharing agreement does not constitute a binding financial commitment, but rather an intention to commit spec ific resources as the parties' allocations and budgets are known from year to year.

Process – RSA Cost Sharing Consensus For Comprehensive AJCC: The mandated partner agencies met on April 3, 2019, followed by individual meetings with Richmond Workforce Development Board (RWDB) staff, to discuss the requirements for participating in the RichmondWORKS AJCC infrastructure and/or overall

RWDB, MOU / RSA June 22, 2025 Page 29 of 59

system costs. During these meetings, partners that are not co -located agreed to gather the necessary information from their respective organizations to define the system costs required under the MOU.

At that time, due to budget constraints, staffing limitations, and non -co-location of partner agencies, the majority of partner representatives determined that their organizations could only commit to resource sharing on the basis of in-kind contributions. Intermittent staff time and other in-kind services were identified as the primary method for fulfilling cost-sharing obligations.

This approach remains in effect. As of the current program year, the same conditions persist, and partner agencies that are not co-located continue to participate in cost sharing through in-kind services as outlined in the original consensus.

For purposes of calculating infrastructure costs, shared costs of co-located partners will be allocated on the basis of a partner’s number of staff assigned to work in a facility. The Partners informed their organizations of the costs that will be the basis for negotiating resource sharing, as well as the level required from each. This support may be in the form of in-kind service or other means in future years. The co-located partners reviewed the current costs for maintaining the RichmondWORKS AJCC, and discussed potential in-kind services and intermittent staffing for cross-training, referrals and partner services assistance.

In accordance w ith EDD Directive WSD 18-12, all RichmondWORKS AJCC Partners, not co -located within the AJCC agree that when data is available to determine the AJCC benefit to non-co-located partners, the infrastructure cost sharing agreement will be renegotiated to include their proportionate share of contributions.

Commitments:

A. The City of Richmond Employment & Training Department agrees to provide the following AJCC host facility: RichmondWORKS; 330 – 25th Street, Richmond, CA 94804

The RichmondWORKS office will serve as the Comprehensive AJCC for the RWDB local area.

RWDB, MOU / RSA June 22, 2025 Page 30 of 59

Other than the items specified in this MOU/RSA, each partner agency agrees to use their authorized funds to provide the services which are appropriate to this agreement, as specified, and are compatible with their mission and the use and constraints of their funding.

Each co -located partner agency agrees to provide the resources necessary to fund their proportionate share of the costs as contained in the Shared Operating Budget spreadsheet, Attachment B-2 to this RSA.

Identification of Shared Costs for Co-located Partners:

The costs identified as shared costs are reflected in the RSA budget document shown as Attachment B- 2 to the MOU/RSA. The costs are incurred by co -located partners in the provision of customer services through the RichmondWORKS AJCC. Costs will be shared in accordance with this agreement, including the partners identified in the budget. Changes to the list of financially contributing partners included in the budget will result in changes to the allocations for the remaining partners . Therefore, any changes to the list of partners included in the budget must be submitted in a timely manner to all partners of this agreement in the form of a written attachment to ensure fiduciary responsibility and accurate invoicing . Failure to adhere to this standard may result in disputed proportionate share amounts and failure to remit payment.

Additionally, prior to committing to a contractual and/or financial obligation of any kind that would involve payment from other financially contributing partners; the Richmond AJCC Operator staff must consult with and obtain written approval from the contributing partners. Each entity has its own procurement process and is responsible for ensuring that quotes for services are solicited and evaluated according to the appropriate procurement process. Failure by any party (Richmond AJCC Operator or Partners) to adhere to this standard may result in disputed charges and a refusal to remit payment.

Third-party In-Kind Contributions to Support the AJCC: The computer equipment as well as standard office machines such as printers and fax machines are included as third-party in-kind contributions to the infrastructure. This is legacy equipment leased or purchased in past years with non-WIOA funds. Future budgets will include replacement costs when WIOA funding is used.

Facility Costs: Facility costs are defined as those actual costs related to the facility use maintenance and operation of the RichmondWORKS AJCC. These costs include payment of rent/lease, maintenance, and utilities. Facility costs shall be borne by the Employment and Training Dept. and those co-located partners who deliver services through the RichmondWORKS AJCC. Such costs shall be shared in accordance with the proportionate share methodology agreed upon In Section V of this agreement.

Maintenance Costs: Maintenance and Facility Operations costs include the following unless otherwise noted: landscaping, janitorial/cleaning maintenance, routine building maintenance and, repairs, and pest control.

Supplies, Equipment, and Un-related Costs: Supply costs are those related to individual staff in performing their respective job duties and those related to the supply of items needed for public acces s (i.e. resource room) and common/shared spaces (i.e. restrooms) in the Career Center. For Program Year (PY) 2025, RichmondWORKS will purchase all AJCC supplies needed. The only shared supply costs will be those specifically related to public access and common/shared spaces as purchased by the RichmondWORKS AJCC Operator. These costs will be reconciled and invoiced and will be shared proportionately across all AJCC partners co-located in the RichmondWORKS AJCC.

Equipment Costs: Equipment costs are those related to the use of rented/leased equipment, such as copiers, etc. (including maintenance related supplies and toner for the machine) and will be shared proportionately by AJCC co-located Partners with staff using the equipment.

Partner staff shall be granted access to all partner -purchased supplies and equipment , (where applicable). Partners will not remove, tag, store, relocate or otherwise move unowned equipment or

RWDB, MOU / RSA June 22, 2025 Page 31 of 59

supplies without prior written approval of the respective partner and notification to the RichmondWORKS AJCC Operator.

The City of Richmond Information Technology Department will provide technology support for all City of Richmond staff and technology equipment such as computers, phones, printers, and copiers and will remain as the selected provider of IT support for the RichmondWORKS AJCC.

Public Access Computers: RichmondWORKS AJCC partners agree to share in the cost of public access PCs (i.e. necessary and reasonable in-scope costs of resource rooms and shared computer labs) . The public access IT costs will be proportionately according to the co-located partner staffing matrix. Actual costs must be reconciled in accordance with the methodology described in the EDD Directive WSD18-12.

Privacy and Personally Identifiable Information (PII): The protection of private and PII data is of the highest priority. RichmondWORKS staff is committed to complying with all federal and state laws, regulations, and guidance regarding protection of PII. Any suspected breach in data security should be reported to RichmondWORKS, WIOA Program Coordinator immediately. In the event data security is suspected of being comprised, RichmondWORKS staff will take immediate corrective action, including but not limited to suspending access to data and application resources. Partners agree to safeguard and protect confidential and personally identifying information pursuant to Federal and State law. Th is requirement survives the duration of this agreement.

Cost Allocation Methodology:

WIOA and its related regulations and guidance establish, as a starting point, the expectation that required RichmondWORKS co-located partners will share infrastructure and consolidated shared services costs of the AJCC. For non-co-located partners, In-kind contributions will be accepted. Partners’ financial and in-kind contributions will be identified and agreed upon based on the requirements of this MOU/RSA. Therefore, to the extent applicable, shared costs will be allocated using the following agreed upon methodology:

Shared costs of co-located partners will be allocated on the basis of a partner’s number of staff assigned to work in a facility (enjoying the benefits of being in the building) on a weekly basis (37.5 hours per week) .

Partners understand that the proportionate share may be adjusted upon annual review due to current vacancies and/or the hiring of staff.

The percent of the total infrastructure costs assigned to each co -located partner is based on that partner's full-time equivalent workstation. The partner percentage of total workstations is applied to the area that is common to all as well as to operating costs, in order to derive a dollar value for required contributions by each partner. Some space costs are not allocable to all co -located partners, and are therefore assigned proportionately to the partners that use that space. The percentages and usage w ill be reviewed annually and revised as needed.

Each partner will negotiate their proportionate share based on benefit received, and may meet their requirement through non -cash, in-kind, or third-party in-kind contributions.

Facility Hosts and Property Assumptions:

A. City of Richmond owns the building which houses the RichmondWORKS AJCC facility. The costs associated with the usage, operation and maintenance of the RichmondWORKS AJCC shall be included in the resource sharing agreement budget. The annual building depreciation cost will be a third-party in-kind contribution by the City of Richmond. The Employment & Training Department is the facility host for the RichmondWORKS AJCC. The costs associated with the rent, operation, and maintenance of the Employment & Training Dept. named above shall be included in this agreement budget.

RWDB, MOU / RSA June 22, 2025 Page 32 of 59

B. The facility hosts agree that all co-located partner staff will have access to their assigned work areas during standard business hours during the work week. The facility hosts will provide to the partner staff access to the main entrance of the assigned work areas to enable staff to have access as needed. Partners agree the assigned staff will provide advanced notice to the applicable facility hosts when accesses to conference rooms are needed for special presentations.

Reconciliation of Shared Costs by Co-located Partners:

A. Employment & Training Fiscal Manager shall be responsible for reconciling and invoicing co-located partners their proportionate cost share relating to the RichmondWORKS AJCC in accordance with the methodology outlined in Section VI of this agreemen t.

B. Any failure of the parties to submit payments will be subject to the dispute resolution process outlined below. If a partner disputes any costs, the partner has thirty (30) days from receipt of the reconciliation to submit a dispute.

Dispute Resolution Process: The RichmondWORKS AJCC co-located partners agree to communicate openly and directly to resolve any problems or disputes related to negotiating cost allocations and the fair and equitable contribution to the costs of maintaining a Comprehensive AJCC in the Richmond community. The partners agree to work in a cooperative manner and to resolve any disputes at the lowest level of intervention possible. If disputes cannot be resolved at the Comprehensive AJCC level, the issue will be brought to the attention of the Employment & Train ing Director, RWDB AJCC Operator, who will attempt to mediate. Issues will be brought to the appropriate principals of the mandated partners as a last resort.

Property Insurance: The City of Richmond currently holds appropriate and sufficient property insurance as the owner of the Employment & Training Department, RichmondWORKS facilities. It i s agreed that the proportionate share methodology shall be determined by the proportionate share ratio formula. The Parties' proportionate share ratio formula shall be based on the number of employees in the facility and agreed upon by both parties in the form of the attached RichmondWORKS Services Matrix.
