9. TERMINATION:

a. Termination Without Default. Notwithstanding any provision herein to the contrary, the City may, in its sole and absolute discretion and without cause, terminate this Contract at any time prior to completion by Contractor of the project or services hereunder immediately upon transmission of written notice to Contractor as provided in Exhibit C “Authorized Representatives and Notices”.

this Contract shall be forfeited and returned to City forthwith. This provision shall survive the termination of this Contract for one (1) year.

To the fullest extent permitted by law, Contractor shall indemnify, defend (with counsel acceptable to the City) and hold harmless the City, its City Council, boards, commissions, officials, employees, agents and volunteers (“Indemnitees”) from and against any and all loss, damages, liability, obligations, claims, suits, judgments, costs and expenses whatsoever, including attorney’s fees and costs of litigation (“Claims”), arising from or in any manner connected to Contractor’s performance of its obligations under this Contract or failure to comply with any of its obligations under this Contract or out of the operations conducted by Contractor even if the City is found to have been negligent. If the Claims filed against Indemnitees allege negligence, recklessness or willful misconduct on the part of Contractor, Contractor shall have no right of reimbursement against Indemnitees for the costs of defense even if negligence, recklessness or willful misconduct is not found on the part of Contractor. Contractor shall not have any obligations to indemnify Indemnitees if the loss or damage is found to have resulted solely from the negligence or the willful misconduct of the City. The defense and indemnification obligations of this Contract are undertaken in addition to, and shall not in any way be limited by, the insurance obligations contained in this Contract. b. This indemnification obligation shall survive this Contract and shall not be limited by any term of any insurance policy required under this Contract; provided however, that if this Contract is for design professional services, this indemnity provision is limited to claims that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the design professional (as defined in California Civil Code section 2782.8).

12. LIMITATIONS UPON SUBCONTRACTING AND ASSIGNMENT:
a. This Contract binds the heirs, successors, assigns and representatives of Contractor. The City Manager or their designee may consent or reject such request in their sole and absolute discretion. Any attempt to do so without said consent shall be null and void, and any assignee, sublessee, hypothecate or transferee shall acquire no right or interest by reason of such attempted assignment, hypothecation or transfer. However, claims for Contract No: ________ For the Contract between the City of Richmond and
_____________________________
money against the City under this Contract may be assigned by Contractor to a bank, trust company or other financial institution without prior written consent. c. The sale, assignment, transfer or other disposition of any of the issued and outstanding capital stock of Contractor (if applicable), or of the interest of any general partner or joint venturer or syndicate member if Contractor is a partnership or joint- venture or syndicate, which shall result in a change of control of Contractor, shall be deemed an assignment. For this purpose, control shall mean fifty percent or more of the voting power or twenty-five percent or more of the assets of the corporation, partnership or joint-venture.
d. Only those persons and/or businesses whose names and resumés are attached to this Contract shall be used in the performance of this Contract. However, if after the start of this Contract, Contractor wishes to use sub-contractors, at no additional costs to the City, then Contractor shall submit a written request for consent to add sub- contractors including the names of the sub-contractors and the reasons for the request to the City Manager at least five (5) days in advance. The City Manager may consent or reject such requests in their sole and absolute discretion. e. Each sub-contractor shall be required to furnish proof of workers’ compensation insurance and shall also be required to carry general, automobile and professional liability insurance (as applicable) in reasonable conformity to the insurance carried by Contractor.
f. In addition, any tasks or services performed by sub-contractors shall be subject to each provision of this Contract. Contractor shall include the following language in their Contract with any sub-contractor: “Sub-Contractors hired by Contractor agree to be bound to Contractor and the City in the same manner and to the same extent as Contractor is bound to the City.”
g. The requirements in this Section 12 shall not apply to persons who are merely providing materials, supplies, data or information that Contractor then analyzes and incorporates into its work product.

13. SAFETY:
a. Contractor acknowledges that the City is committed to the highest standards of workplace safety. Contractor will be solely and completely responsible for conditions of all vehicles owned or operated by Contractor, including the safety of all persons and property during performance of the services and tasks under this Contract.

Contractor shall assume sole and complete responsibility for the safety of Contractor's employees and any of subcontractor's employees This requirement will apply continuously and not be limited to normal working hours. In addition, Contractor will comply with all safety provisions in conformance with U.S. Department of Labor Occupational Safety and Health Act, any equivalent state law, and all other applicable Contract No: ________ For the Contract between the City of Richmond and
_____________________________
federal, state, county and local laws, ordinances, codes, and any regulations that may be detailed in other parts of the Contract. Where any of these are in conflict, the more stringent requirements will be followed. Contractor’s failure to thoroughly familiarize itself with the aforementioned safety provisions will not relieve it from compliance with the obligations and penalties set forth herein.

Hi Joan! Thank you for this update. Please note as follows... 1) We are researching and will correct the disparity between the ACCORD form and the GL endorsement. We will upload the correction to PINS the moment it is complete and will advise.
2) Our Certificate of Workman's Compensation Coverage already exists in PINS. I just confirmed that it is in PINS, personally. I disclosed previously in this thread that the State of WA's Department of Labor & Industries (L&I) is the Workman's Compensation insurance provider to all businesses in WA, under State law. The additional documents or endorsements from L&I that meet COR's published requirements for Workman's Compensation insurance are not available. L&I will not produce specific Workman's Compensation coverage amounts or an endorsement under their Workman's Compensation policy. State L&I insurance does cover activities outside of WA for WA businesses. This is referenced in State law. I propose this requirement is adapted to accept what a WA vendor to the COR can produce. What I can offer is the contact information of the WA State L&I representative who serves JUMPSTART Mastery, LLC, if this needs to be validated.

Happy to discuss further if needed.

All the best,
Andy

We already know and appreciate that the certificate from WA does not specify the insurance amount listed by COR...please note that WA L&I will not alter the certificate to comport with the standards as articulated by COR...for this kind of service and training event, I hope that what we have provided will suffice. As the certificate makes clear, JUMPSTART maintains Workman's Compensation insurance and is compliant with WA State law regarding the same.

Happy to jump on another call to discuss further if needed.

Sheila and Lisa,

JUMPSTART will NOT be using 1099 contractors for this contract. JUMPSTART will be using formal employees. The only additional insured will be COR. We have updated the PINS with new forms for your review.

Our GL and PL policies cover employees of JUMPSTART.

On the subject of Workman's Compensation, it is State law in WA that Workman's Compensation Insurance must be acquired from the State's Labor and Industries Department. Private workman's compensation insurance is not available to WA businesses.

We are reaching out to our State L&I contact with COR's Workman's Compensation requirements, to see what documents THEY can generate, to satisfy COR's requirement. Current certificates of workman's compensation insurance, which we maintain, do NOT identify a coverage value per episode of bodily injury or disease.

Please feedback any thoughts or observations.

More soon,

Andy

Happy Friday Team,

I had a chance to touch bases with Lisa today on our path forward for Jump Start and we both understood from our meeting that the 1099 subcontractors you use were included as Additional Insureds on your GL policy. You had referenced that you would be able to provide a list of them and identify those that would be on COR sites.

If that is not the case -

You will need to add them as Additional Insured on your GL Policy

OR

Each of the subcontractors would need to provide their own insurance that meets COR requirements (to include WC and Professional Liability). For any subcontractor that has no employees, the COR has a Contractor Release of Liability that states they have no employees.

For the Additional Insured endorsements that COR needs from Jumpstart

Per the City of Richmond’s Insurance requirements, the vendor needs to supply – • A Named Additional Insured endorsement with a corresponding Primary & Non-Contributory endorsement for GL and Umbrella if being used to meet COR coverage requirements • If the vendor can provide an ISO CG 20 10 11 85 – Additional Insured that is the only endorsement needed • If the vendor cannot provide an ISO CG 20 10 11 85, they must provide two endorsements – (1) ISO CG 20 26 – Additional Insured – Designated Person or Organization AND (2) ISO CG 20 37 – Additional Insured – Completed Operations Please note: “blanket” endorsements or policy pages are not accepted in lieu of named endorsements. Please make sure that policy numbers are placed on the endorsements.

Thank you, Sheila.

We will likely be unable to secure additional insurance on our GL or PL policies for any 1099 contractor/instructor for JUMPSTART.

In the service of efficiency however, what we can do to potentially resolve this issue is author a statement which commits to the City of Richmond that any instructor for JUMPSTART would be a formal employee to the Company and therefore, covered by the Company's GL and PL policies. That way, we would not have any additional insured to list. Will this satisfy the requirement? If so, please advise and I can issue the Statement in an e-mail.

Thank you,

Andy

Hi Jess,

I did see the Professional Liability submittal in PINS and have marked it compliant today.

Regarding the instructors, there are multiple reasons why we want to make sure they are covered under insurance. They should be covered on your Professional Liability insurance for the actual training portion as they are licensed professionals and that is their product.

They should also be covered on your GL in the off chance that something could be damaged at the COR facilities by them or their equipment or some kind of bodily injury occurs.

Hello,
Quick update-we purchased a Professional Liability (Errors & Omissions) policy and submitted it in PINS.

Another question-if the City of Richmond is additional insured on our policy why do our instructors need to be listed as well? Thank you for your help!
