STATEMENT OF THE
ISSUE:

Adopting a resolution to establish a Public Lands Policy (PLP), will help to ensure that any city owned land,
developed by a private developer, has a PLA. This will help ensure our public lands create a benefit to all our of
residents by closing loopholes, raising job standards,
ensure enforceability, and provide more opportunities to career pathways.

RECOMMENDED ACTION:

ADOPT a resolution that establishes a Public Lands
Policy and DIRECT City Manager and City Attorney to
deliver and implement the policy -effective immediately. – Councilmember Cesar Zepeda (510-620-6593).

DISCUSSION:

The construction industry provides a path to middle -class careers for individuals without advanced degrees or facing barriers to quality employment. It is a crucial component towards building economic opportunities for local residents, local high school graduates, veterans and re -entry populations. Hiring and training local residents helps to uplift community members and provides support to surrounding economic development.

The Contra Costa Building and Construction Trades aims to work in close collaboration with the City of Richmond so that Richmond residents are trained and hired to build any construction on City-owned land. Adopting a resolution t hat establishes a Public Lands Policy, an agreement between the City of Richmond and the Contra Costa County Building Trades Council it would provide additional workforce/hiring standards for construction on City-owned land and opportunities to increase local hiring, provide family- sustaining wages, and State-approved apprenticeships.

Staff was directed to bring this back within 90-days from October 21, 2025. However, they have continued to work with the Trades Council and the Carpenters Union to create a policy that works the best for Richmond and our residents.

RESOLUTION NO. ______

A RESOLUTION OF THE CITY OF RICHMOND TO ADOPT A LABOR STANDARDS

POLICY FOR CERTAIN CONSTRUCTION PROJECTS

WHEREAS, it furthers the interests of the City of Richmond and the public it serves to ensure that construction projects in the City are built safely, efficiently and timely; and

WHEREAS, the City has a proprietary interest to promote efficient project construction and invest City funds prudently for the construction of local projects, and the timely and successful completion of such projects is of the utmost importance to the City and the general public; and

WHEREAS, the proprietary interests of the City will be advanced by avoiding labor disputes, misunderstandings or grievances on construction projects in the City through access to and use of dispute resolution procedures, thus promoting cost efficient and timely project construction and completion; and

WHEREAS, it is in the interest of the City and the public it serves for proprietary construction projects to proceed without labor disruptions that can cause delay, and to create an effective mechanism to minimize the possibility of any such disruptions, thereby promoting cost containment and timely completion of projects; and

WHEREAS, City objectives on construction projects will be advanced, and the proprietary interests of the City will be protected, by providing a consistent source of skilled construction workers, developing the local pool of available construction workers, requiring contractors to bid on a level playing field, and avoiding labor conflicts; and

WHEREAS, robust labor standards, including those established by project stabilization agreements, advance the aforesaid objectives; and

WHEREAS, the construction industry provides a path to middle-class careers for individuals without advanced degrees or facing barriers to quality employment, and is therefore a crucial component of the effort to build economic opportunities for local residents, local high school graduates, veterans and re-entry populations; and

WHEREAS, establishing a labor standards floor and requiring the use of project stabilization agreements on certain projects will effectuate the City’s objective of completing proprietary construction projects consistent with the goals and purposes set forth above; and WHEREAS, the City seeks to implement labor standards in a manner that both advances high- quality construction jobs and maintains a supportive environment for economic development, housing production, and private investment; and

WHEREAS, it is the intent of the City that the requirements of this Resolution be applied in a manner that is transparent, predictable, and feasible, while continuing to promote equitable access to construction careers for Richmond residents.

NOW THEREFORE BE IT RESOLVED, that the City and all City of Richmond agencies, departments and offices, including the Richmond Housing Authority and the Port of Richmond (“City”) shall require as a term of development agreement, lease or similar agreement governing the following construction projects, whether commercial or residential or otherwise, that the development proponent, together with its contractors, comply with the labor standards set forth in this Resolution (“Affected Projects”):

1. A construction project on public land owned by the City and leased to a tenant where the City’s Valuation of the total project cost exceeds five million dollars ($5,000,000); or

2. A construction project on a parcel sold by the City at below market rate where the City’s Valuation of the total project cost exceeds five million dollars ($5,000,000); or

3. A construction project on a parcel sold by the City where the City and the development proponent is entering into a development agreement or similar agreement and the City’s Valuation of the total project cost exceeds five million dollars ($5,000,000); or 1056

4. A construction project receiving a City Subsidy(ies) that exceeds five million dollars ($5,000,000), whether the subsidy(ies) is in cash or kind; and

“City’s Valuation” means the estimated hard and soft construction costs accepted by the City during entitlement processing, as adjusted before issuance of building permits.

“City Subsidy” means any financial assistance provided directly by the City to a construction project that reduces the development proponent's project costs, including grants, forgivable loans, direct loans made on below-market terms, cash contributions, below-market conveyances of City-owned real property, infrastructure improvements funded by the City that are provided primarily for the benefit of the project, fee waivers or reimbursements, tax increment assistance, reductions or rebates of City-imposed fees, or other financial assistance having a quantifiable monetary value. The value of a City Subsidy shall be the fair market value of the assistance. "City Subsidy" does not include:

1. Routine municipal services provided generally to the public;

2. Granting regulatory approvals or permits;

3. Expedited permit processing;

4. Utility service provided at generally applicable rates;

5. Tax credits, grants, or incentives provided exclusively by another governmental entity where the City acts as a pass-through and does not contribute any City funds; or

6. Public infrastructure improvements (such as utilities and roadways) that primarily serve the general public rather than a specific development project; and

BE IT FURTHER RESOLVED, that the City shall require as a term of development agreement, lease or similar agreement governing the Affected Projects that the development proponent shall negotiate in good faith with the Contra Costa County Building and Construction Trades Council (“BCTC”); its affiliated unions: Asbestos Workers Local 16, Boilermakers Local 549, Bricklayers Local 3, Cement Masons Local 300, District Council 16 of the International Union of Painters and Allied Trades, Elevator Constructors Local 8, International Brotherhood of Electrical Workers Local 302, Iron Workers Local 378, Northern California District Council of Laborers, Operating Engineers Local 3, Plasterers Local 300, Roofers and Waterproofers Local 81, Sheet Metal Workers Local 104, Sprinklerfitters Local 483, Teamsters Local 315, United Association Local 159, United Association Local 342, and United Association Local 355; and the North Coast States Carpenters Union (“Carpenters”), and enter into a Project Stabilization Agreement (“PSA”) that is substantially consistent with PSAs utilized for similar construction projects in the San Francisco Bay Area. Such agreement shall apply to all work covered under the Master Labor Agreements of the craft unions that execute the PSA (collectively, "Unions").

Good faith negotiations include timely meetings, exchange of written proposals, reasonable consideration of counterproposals, and participation by representatives with authority to negotiate.

BE IT FURTHER RESOLVED, that the development proponent shall contact the BCTC and the Carpenters to commence negotiation of the PSA upon submission of a complete application for an Affected Project, or at such later time as mutually agreed by the parties.

BE IT FURTHER RESOLVED, that such PSA shall provide that (a) all contractors shall recognize the Unions as the exclusive bargaining representatives of the craft workers employed on the project; (b) all contractors shall, as a condition of performing work on the project, be or become signatory to the applicable Master Labor Agreement for the duration of their work on the project, and shall use the hiring halls to satisfy all project craft needs; (c) the wages, benefits and working conditions of craft workers shall be governed by the applicable Master Labor Agreement; (d) all contractors shall employ apprentices indentured in a State-approved joint labor-management apprenticeship training program for the applicable craft or trade, in accordance with the ratios contained in California Labor Code Section 1777.5; (e) there shall be no strikes or lockouts on the project and an expedited dispute resolution mechanism shall govern any conflicts; (f) the “Helmets to Hardhats” program shall be used to assist Veterans in obtaining employment and training opportunities; (g) the contractors are bound by terms that enable and facilitate contractor’s compliance with the City’s local hire and workforce development policies; (h) contractors shall coordinate recruitment and hiring efforts with City-recognized workforce development and pre-apprenticeship programs, including but not limited to RichmondBUILD and YouthBUILD; and (i) contractors shall request dispatch of qualified workers from the union 1057

hiring halls with priority given to residents of the City of Richmond, including graduates of City- recognized pre-apprenticeship programs such as RichmondBUILD and YouthBUILD.

BE IT FURTHER RESOLVED, that prior to commencement of construction, the development proponent shall submit to the City a Workforce Outreach Plan describing efforts to recruit Richmond residents, graduates of RichmondBUILD and YouthBUILD, veterans, apprenticeship candidates, and other disadvantaged workers, together with outreach efforts directed toward Richmond-based businesses and certified small businesses.

BE IT FURTHER RESOLVED, that prior to commencement of construction of any Affected Project, the City shall call a meeting of the development proponent, prime contractor (and major subcontractors if necessary), the Council and the Carpenters, to participate in a preconstruction compliance meeting with the City to review the labor standards, reporting requirements, workforce goals, and local contracting objectives applicable to the Affected Project.

BE IT FURTHER RESOLVED, that for Affected Projects that are residential developments having between fifty (50) and sixty-nine (69) residential units, the development proponent will not be required to execute a PSA, but will be required to comply with the following labor standards, proof of which shall be certified to the City pursuant to applicable development agreement, lease or similar agreement governing the Affected Project: (a) all construction workers employed in the execution of the project shall be paid at least the general prevailing rate of per diem wages for the type of work and geographic area, as determined by the Director of Industrial Relations pursuant to Sections 1773 and 1773.9 of the California Labor Code, except that apprentices registered in State-approved apprenticeship programs may be paid at least the applicable apprentice prevailing rate; (b) the prevailing wage rate requirement shall be included in all contracts for the performance of craft work; (c) all contractors shall either participate in a State-approved apprenticeship program or request dispatch of apprentices from a State-approved apprenticeship program under the terms and conditions set forth in Section 1777.5 of the California Labor Code; and (d) all contractors shall make health care expenditures for all craft workers in an amount per hour equivalent to at least the hourly pro rata cost of a Covered California Platinum level plan for two 40-year-old adults and two dependents 0 to 14 years of age for the Covered California rating area in which the project is located. A contractor that does not employ construction craft workers shall show a contractual obligation that its subcontractors comply with the requirements of this paragraph. Qualifying expenditures under this provision shall be credited toward compliance with prevailing wage rate requirement in subsection (a) above. A contractor will be deemed in compliance with subsections (c) and (d) above if it is signatory to a valid collective bargaining agreement that requires utilization of registered apprentices and health care expenditures for craft workers and dependents. This paragraph shall be deemed satisfied if the development proponent executes a PSA that is consistent with PSAs for similar projects in the San Francisco Bay Area and that applies to all work covered under the Master Labor Agreements of the craft unions that execute the PSA.

BE IT FURTHER RESOLVED, that for Affected Projects that are residential developments having between eleven (11) and forty-nine (49) residential units, the development proponent will not be required to execute a PSA, but will be required to comply with the following labor standards, proof of which shall be certified to the City as a condition of final approval: (a) all construction workers employed in the execution of the project shall be paid at least the general prevailing rate of per diem wages for the type of work and geographic area, as determined by the Director of Industrial Relations pursuant to Sections 1773 and 1773.9 of the California Labor Code, except that apprentices registered in State-approved apprenticeship programs may be paid at least the applicable apprentice prevailing rate; (b) the prevailing wage rate requirement shall be included in all contracts for the performance of craft work. This paragraph shall be deemed satisfied if the development proponent executes a PSA that is consistent with PSAs for similar projects in the San Francisco Bay Area and that applies to all work covered under the Master Labor Agreements of the craft unions that execute the PSA.

BE IT FURTHER RESOLVED, that on Affected Projects that are not subject to a PSA, a construction worker employed to perform craft work on an Affected Project (“Covered Construction Worker”), or a joint labor-management committee established pursuant to the federal Labor Management Cooperation Act of 1978 (29 U.S.C. sec. 175a) on a Covered Construction Worker’s behalf, may bring a civil action in a court of competent jurisdiction against the contractor for violating the applicable prevailing wage rate and health care 1058

expenditure requirements above, and shall be entitled to such legal or equitable relief as may be appropriate to remedy the violation. If the Covered Construction Worker or joint labor- management committee prevails, they shall be awarded reasonable attorneys’ fees and costs.

Nothing in this Resolution creates a private right of action or otherwise authorizes legal action against the City or its officers, agents, or employees for failure to enforce these provisions.

BE IT FURTHER RESOLVED, that on Affected Projects that are residential developments having 50 units or greater, liability under provisions of Sections 218.8 and 218.9 of the California Labor Code will be extended to the development proponent for any debt owed to a wage claimant or third party on the wage claimant’s behalf.

BE IT FURTHER RESOLVED, that the term “Affected Projects” shall not include residential developments having ten (10) or fewer residential units.

BE IT FURTHER RESOLVED, that if the development proponent for an Affected Project is required to execute a PSA, and the Affected Project receives financial assistance from the U.S.

Department of Housing and Urban Development (HUD), or is undertaken by or in partnership with the Richmond Housing Authority or any other entity subject to federal housing regulations, in the event the Affected Project is required to comply with Section 3 of the Housing and Urban Development Act of 1968, as amended, and its implementing regulations at 24 CFR Part 75,the parties to the PSA shall facilitate and ensure compliance, including by implementing the City’s local hire and workforce development requirements in a manner that aligns and complies with Section 3 requirements without conflict.

BE IT FURTHER RESOLVED, that in the event an Affected Project is planned to receive substantial funding from a federal, state, or other public agency that potentially prohibits the application of all or portions of this Resolution to the Affected Project, the development proponent must make reasonable efforts to request leave to comply with this Resolution, including by submitting a request in writing to the funding source and by providing a copy of the request to the Council and the Carpenters. If after such reasonable efforts, the funding source prohibits all or portions of the application of this Resolution, the impacted requirements of this Resolution may be waived by the City Council for the Affected Project.

BE IT FURTHER RESOLVED, that nothing in this Resolution shall be interpreted to conflict with applicable federal or state law, and where such laws apply, including 24 CFR Part 75, the Affected Project shall comply with the most restrictive or controlling requirements while advancing the City’s local hire objectives to the greatest extent feasible.

BE IT FURTHER RESOLVED, that any PSA shall state that in circumstances involving a manufacturer’s warranty or guarantee, or requiring specialized knowledge of a particular item, work may be performed by persons not covered by the PSA provided that the contractor responsible for such work demonstrates by an enumeration of specific tasks that the work cannot be performed by craft workers covered by a PSA. Any such work shall be discussed at the preconstruction compliance meeting convened by the City. The contractor shall give notice to City staff and the relevant Union(s) of such work during PSA negotiations.

BE IT FURTHER RESOLVED, that if the development proponent for an Affected Project is required to execute a PSA, and the development proponent and the BCTC fail to come to an agreement on the terms of a PSA by forty-five (45) calendar days from the date of the final entitlement approval from the City date, then the City Council may determine either (i) that the Community Workforce & Project Stabilization Agreement for the City of Richmond, in a form approved by the City, shall apply to the Affected Project; or (ii) the development proponent must continue to engage with the BCTC and finalize an agreement.

BE IT FURTHER RESOLVED, that the City shall monitor the implementation of this Resolution to evaluate its effectiveness in achieving the following outcomes:
(a) Increased employment of City of Richmond residents on construction projects; (b) Expanded utilization of City-recognized workforce development and pre-apprenticeship programs, including RichmondBUILD and YouthBUILD;
(c) Placement of City of Richmond residents into state-certified apprenticeship programs and construction careers; and
(d) Timely and cost-effective completion of Affected Projects. 1059

Reso. No. _____

Page 5 of 6 ends

The City Manager, or designee, shall periodically report to the City Council on these outcomes and may recommend adjustments to this policy to ensure alignment with the City’s economic development and workforce goals.

BE IT FURTHER RESOLVED, that this Resolution shall not apply to any project for which the City has executed an Exclusive Negotiating Agreement, Development Agreement, Disposition and Development Agreement, ground lease, or any other project with vested rights with the approved developer prior to the date of adoption of this Resolution.

BE IT FURTHER RESOLVED, that the City Council must approve by majority vote any modifications regarding the terms or applicability of this Resolution.

BE IT FINALLY RESOLVED, that if any provision of this Resolution, or the application thereof to any person or circumstances, is held invalid, the invalidity would not affect other provisions or applications of this Resolution that can remain effective without the invalid provision or application, and to this end the provisions of this Resolution are severable.

Community Development

DATE: July 21, 2026
TO: Mayor Martinez and Members of the City Council
FROM:

Lina Velasco, Director of Community Development
Jesus Morales, Housing Manager
Subject: Contract Amendment No. 2 with Just Cities, LLC for completion of the Housing Equity Roadmap as specified
in the Housing Element
FINANCIAL IMPACT: The proposed $49,999 contract amendment is included within the proposed Fiscal Year 2026-2027 Housing
Division’s budget (see Account String: 12031063-
400201). No additional General Fund resources are
required.

PREVIOUS COUNCIL
ACTION:

September 12, 2023

STATEMENT OF THE
ISSUE:

The City contracted with Just Cities, LLC to develop the Housing Equity Roadmap (HER). The HER will serve as
an implementation plan for new policies, programs, or
investments that can be realized in the short and long- term to ensure Richmond residents have affordable,
stable, and dignified housing. The contract amendment is needed to allow Just Cities, LLC to complete the HER
and assist the City in the implementation phase of the
HER.

RECOMMENDED ACTION:

APPROVE a second contract amendment with Just Cities,
LLC to support completion and implementation of the
Housing Equity Road Map increasing the payment limit by $49,999, for a total payment limit of $209,994, and extending the term through December 31, 2027– Community
Development Department (Lina Velasco 510-620-
6841/Jesus Morales 510-620-6649). This item was
continued from the June 16, June 23, and July 7,
2026, meetings.

AGENDA
REPORT

Page 2 of 3 ends

July 21, 2026

DISCUSSION:

In 2022, Just Cities, LLC was a subcontractor to Lisa Wise Consulting, lead consultant, for the 6th Cycle Housing Element update. Specifically, Just Cities, LLC (Just Cities) prepared the Affirmatively Furthering Fair Housing (AFFH) appendix, with an accompanied list of specific Meaningful Actions included in the Housing Element. The AFFH analysis was a new State requirement for Housing Element Updates beginning in 2021. Just Cities, LLC supported the City in its first ever State required assessment of fair housing issues, contributing factors, and the development of meaningful actions to affirmatively further fair housing.

Given their role in the development of the 6th Cycle Housing Element update and AFFH appendix, Just Cities was well positioned to continue this previous work with the development of the Housing Equity Roadmap (HER). Just Cities has been working with the City in the development of the HER over these past two years.

The HER continues the AFFH work by examining and proposing concrete implementation and policy assessment plans for key policies that will address housing issues within Richmond. Specifically, their work will support the city in implementing certain programs identified in the Housing Element Goal 6: Promote fair housing access and opportunities for all persons. The HER will serve as the implementation plan for new policies, programs, or investments that can be realized in short, mid- and long-term actions to ensure Richmond residents have affordable, stable, and dignified housing. The HER will address issues of racial segregation, fair housing, land use compatibility, housing production, housing habitability, equitable development, and include community feedback.

The second contract amendment will allow Just Cities, LLC to complete the HER and assist in the implementation of some of the goals and objectives laid out in the HER.

SYNERGISTIC POLICIES:

The proposed contract amendment to complete the HER supports the implementation of programs identified in City’s adopted Housing Element (2023-2031), specifically the Meaningful Actions in Appendix F: Affirmatively Furthering Fair Housing.

ENVIRONMENTAL REVIEW:

The approval of second contract amendment with Just Cities, LLC is not a "project" as defined by the California Environmental Quality Act (CEQA) Guidelines Section 15378 because it involves consulting services to complete and assist in the implementation of the Housing Equity Road Map and does not commit the City to any specific course of action that may result in a direct or reasonably foreseeable indirect physical change in the environment. Any future actions resulting from the Housing Equity Road Map that may constitute a project under CEQA will be evaluated for CEQA compliance at the appropriate time. In the alternative, the action is exempt from CEQA pursuant to CEQA 1063

Page 3 of 3 ends

July 21, 2026

Guidelines Section 15061(b)(3) because it can be seen with certainty that approval of the contract amendment will not have a significant effect on the environment.

CONCLUSION:

Community Development staff recommend that the City Council approve a Contract Amendment No. 2 with Just Cities, LLC to increase the not-to-exceed amount by $49,999 for the completion and implementation assistance for the Housing Equity Roadmap for a term extending through December 31, 2027.

In all instances where CONTRACTOR or its representatives will provide professional services (architects, engineers, construction management, counselors, medical professionals, hospitals, clinics, attorneys, consultants, accountants, etc.) to the City of Richmond (City), the City requires the following MINIMUM insurance requirements and limits.

CONTRACTOR shall procure and maintain for the duration of the contract, agreement, or other order for work, services or supplies, insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder and the results of that work by the CONTRACTOR, its agents, representatives, employees or subcontractors. Maintenance of proper insurance coverage is a material element of the contract. Failure to maintain or renew coverage or to provide evidence of renewal may be treated by the City as a material breach of contract.

CONTRACTOR agrees that in the event of loss due to any of the perils for which it has agreed to provide Commercial General Liability insurance, CONTRACTOR shall look solely to its insurance for recovery.

CONTRACTOR hereby grants to CITY, on behalf of any insurer providing Commercial General Liability insurance to either CONTRACTOR or CITY with respect to the services of CONSULTANT herein, a waiver of any right to subrogation which any such insurer of said CONTRACTOR may acquire against the CITY by virtue of the payment of any loss under such insurance.

Original, signed certificates and original, separate policy endorsements, naming the City as an additional insured for general liability coverage, as well as a waiver of subrogation for Workers’ Compensation insurance, shall be received and approved by the City before any work may begin. In the event that CONTRACTOR fails to comply with the City’s insurance requirements, the City may take such action as it deems necessary to protect the City’s interests. Such action may include but is not limited to termination of the contract, withholding of payments, or other actions as the City deems appropriate.

The examination and audit shall be confined to those matters connected with the performance of this Contract including, but not limited to, the cost of administering this Contract. 8. Changes and Extra Work. All changes and/or extra work under this Contract shall be performed and paid for in accordance with the following: Only the City Council or the City Manager may authorize extra and/or changed work. Contractor expressly recognizes that other City personnel are without authorization to either order extra and/or changed work or waive contract requirements. Failure of Contractor to secure the authorization for such extra and/or changed work shall constitute a waiver of any and all right to adjustment in contract price due to such unauthorized work and Contractor thereafter shall be entitled to no compensation whatsoever for performance of such extra and/or changed work. If Contractor is of the opinion that any work which Contractor has been directed to perform is beyond the scope of this Contract and constitutes extra work, Contractor shall promptly notify City of the fact. The City shall make a determination as to whether or not such work is, in fact, beyond the scope of this Contract and constitutes extra work. In the event that City determines that such work does constitute extra work, City shall provide extra compensation to Contractor on a fair and equitable basis. A change order or Contract Amendment providing for such compensation for extra work shall be negotiated between City and Contractor and executed by Contractor and the appropriate City official. In the event City determines that such work does not constitute extra work, Contractor shall not be paid extra compensation above that provided herein and if such determination is made by City staff, said determination may be appealed to the City Council; provided, however, a written appeal must be submitted to the City Manager within five (5) days after the staff's determination is sent to Contractor. Said written appeal shall include a description of each and every ground upon which Contractor challenges the staff's determination. 9. Additional Assistance. any necessary addenda to the plans and specifications as requested. In the event Contractor is of the opinion that City's requests for addenda and assistance is outside the scope of normal services, the parties shall proceed in accordance with the changes and extra work provisions of Section 8 of these General Conditions. 10. Professional Ability. Contractor acknowledges, represents and warrants that Contractor and its employees are skilled and able to competently provide the services hereunder, and possess all professional licenses, certifications, and approvals necessary to engage in their occupations. City has relied upon the professional ability and training of Contractor as a material inducement to enter into this Contract. Contractor shall perform in accordance with generally accepted professional practices and standards of Contractor's profession. In the event that City, in its sole discretion, desires the removal of any person employed or retained by Contractor to perform services hereunder, such person shall be removed immediately upon receiving notice from City. 11. Business License. Contractor shall obtain a Richmond Business License before performing any services required under this Contract. The failure to so obtain such license shall be a material breach of this Contract and grounds for immediate termination by City; provided, however, that City may waive the business license requirement in writing under unusual or extraordinary circumstances without necessitating any modification of this Contract to reflect such waiver. 12. Termination Without Default. Notwithstanding any provision herein to the contrary, City may, in its sole and absolute discretion and without cause, terminate this Contract at any time prior to completion by Contractor of the project or services hereunder, immediately upon written notice to Contractor. Contractor may terminate this Contract at any time in its sole and absolute discretion and without cause upon 30 days' written notice to City. In the event of termination by either party, Contractor shall be compensated for: (1) all authorized work satisfactorily performed prior to the effective date of termination; (2) necessary materials or services of others ordered by Contractor for this Contract, prior to receipt of notice of termination, irrespective of whether such materials or services of others have actually been delivered, provided that Contractor is not able to cancel such orders. Compensation for Contractor in such event shall be determined by City in accordance with the percentage of the project or services completed by Contractor; and all of Contractor's finished or unfinished work product through the time of the City's last payment shall be transferred and assigned to City. Additionally, in the event of such termination, the City may proceed with the work in any reasonable manner it chooses. 1100

13. Termination in the Event of Default. Should Contractor fail to perform any of its obligations hereunder, within the time and in the manner provided or otherwise violate any of the terms of this Contract, City may immediately terminate this Contract by giving written notice of such termination, stating the reasons for such termination. Contractor shall be compensated as provided in Section 12 of these General Conditions; provided, however, there shall be deducted from such amount the amount of damage, including attorney's fees, expert witness fees and costs, if any, sustained by City by virtue of Contractor's breach of this Contract. Additionally, in the event of such termination, the City may proceed with the work in any reasonable manner it chooses. 14. Conflict of Interest. Contractor acknowledges, represents and warrants that Contractor shall avoid all conflicts of interest (as defined under any federal, state or local statute, rule or regulation, or at common law) with respect to this Contract. Contractor further acknowledges, represents and warrants that no City official or employee has any economic interest, as defined in Title 2, California Code of Regulations §§ 18703.1 through 18703.5, with Contractor that would invalidate this Contract. Contractor acknowledges that in the event that Contractor shall be found by any judicial or administrative body to have any conflict of interest (as defined above) with respect to this Contract, all consideration received under this Contract shall be forfeited and returned to City forthwith. This provision shall survive the termination of this Contract for one (1) year. 15. Indemnification. (a) If this Contract is a contract for design professional services subject to California Civil Code Section 2782.8(a) and Contractor is a design professional, as defined in California Civil Code Section 2782.8(b)(2), Contractor shall hold harmless, defend and indemnify the City, its officers, agents, employees, and volunteers from and against any and all claims, damages, losses, and expenses including attorneys’ fees arising out of, or pertaining to, or relating to the negligence, recklessness, or willful misconduct of the Contractor, except where caused by the active negligence, sole negligence, or willful misconduct of the City. To the fullest extent permitted by law, Contractor shall immediately defend and indemnify the City and its officers, agents, employees, and volunteers from and against any and all liabilities, regardless of nature or type, that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Contractor, or its employees, agents, or subcontractors. Liabilities subject to the duties to defend and indemnify include, without limitation, any and all claims, losses, damages, penalties, fines, and judgments; associated investigation and administrative expenses; defense costs, including but not limited to reasonable attorneys’ fees; court costs; and costs of alternative dispute resolution. Contractor’s obligation to 1101
General Conditions/EJ/TE 01-19-11 7 of 13
indemnify applies unless it is finally adjudicated that the liability was caused by the sole active negligence or sole willful misconduct of an indemnified party. (b) If this Contract is not a contract for design professional services subject to California Civil Code Section 2782.8(a) or Contractor is not a design professional as defined in California Civil Code Section 2782.8(b)(2), Contractor shall indemnify, defend, and hold harmless the City, its officers, agents, employees and volunteers from any and all claims, suits, or actions of every name, kind and description, brought forth on account of injuries to or death of any person or damage to property arising from or connected with the willful misconduct, negligent acts, errors or omissions, ultra-hazardous activities, activities giving rise to strict liability, or defects in design by Contractor or any person directly or indirectly employed by, or acting as, the agent for Contractor in the performance of this Contract, including the concurrent or successive passive negligence of the City, its officers, agents, employees or volunteers. (c) It is understood that the duty of Contractor to indemnify and hold harmless includes the duty to defend as set forth in Section 2778 of the California Civil Code. Contractor shall be obligated to defend, in all legal, equitable, administrative, or special proceedings, with counsel approved by the City, the City and its officers, agents, employees, and volunteers, immediately upon tender to Contractor of the claim in any form or at any stage of an action or proceeding, whether or not liability is established. An allegation or determination that persons other than Contractor are responsible for the claim does not relieve Contractor from its separate and distinct obligation to defend under this Section 15. The obligation to defend extends through final judgment, including exhaustion of any appeals. The defense obligation includes an obligation to provide independent counsel if Contractor asserts that liability is caused in whole, or in part, by the negligence or willful misconduct of an indemnified party. (d) The review, acceptance or approval of the Contractor’s work or work product by any indemnified party shall not affect, relieve or reduce the Contractor’s indemnification or defense obligations. This Section 15 survives completion of the services or the termination of this Contract. The provisions of this Section 15 are not limited by, and do not affect, the provisions of this Contract relating to insurance. (e) Acceptance of insurance certificates and endorsements required under this Contract does not relieve Contractor from liability under this Section 15. This Section 15 shall apply whether or not such insurance policies are determined to be applicable to any such damages or claims for damages. 16. Safety. Contractor acknowledges that the City is committed to the highest standards of workplace safety. Contractor shall perform all work hereunder in full compliance with applicable local, state and federal safety requirements including but not limited to Occupational Safety and Health Administration requirements, and shall assume sole and complete 1102

If a death, serious personal injury or substantial property damage occurs in connection with the performance of this Contract, Contractor shall immediately notify the City by telephone. 17. Insurance. Insurance requirements are set forth in Exhibit F to this Contract. Contractor shall abide by the insurance requirements set forth in said Exhibit F. 18. Non-Liability of Officials and Employees of the City. No official or employee of the City shall be personally liable for any default or liability under this Contract. 19. Compliance with Laws. Contractor shall comply with all federal, state and local laws, statutes, ordinances, rules and regulations, and the orders and decrees of any courts or administrative bodies or tribunals, with respect to this Contract, including without limitation environmental laws, employment discrimination laws and prevailing wage laws. Compliance under this provision includes compliance with all provisions of the Richmond Municipal Code ("Municipal Code"), including Chapters 2.50, 2.52, 2.56, and 2.60, if applicable. Contractor acknowledges that under § 2.60.070 of the Municipal Code ("Living Wage Ordinance"), Contractor shall promptly provide to City documents and information verifying its compliance with the Living Wage Ordinance. Also as prescribed in § 2.60.070, Contractor shall notify each of its affected employees with regards to the wages that are required to be paid pursuant to the Living Wage Ordinance. Contractor shall comply with § 2.28.030 of the Municipal Code, obligating every Contractor or subcontractor under a contract or subcontract with the City for public work or for goods or for services to refrain from discriminatory employment or subcontracting practices on the basis of race, color, sex, sexual orientation, religious creed, national origin or ancestry of any employee, any applicant for employment or any potential subcontractor. Contractor acknowledges that the City’s Drug Free Workplace Policy, Violence in the Workplace Policy and the Policy Against Workplace Harassment, are available on the City’s website at http://www.ci.richmond.ca.us/workplacepolicies . under this Contract and shall not assign this Contract, nor any portion hereof or monies due or to become due, without the prior written consent of the City Council or its designee. Contractor acknowledges that the services which Contractor shall provide under this Contract are unique, personal services which, except as otherwise provided herein, Contractor shall not assign or sublet to any other party without the prior written approval of City, which approval may be withheld in City's sole and absolute discretion. In the event that City, in writing, approves any assignment or subletting of this Contract or the retention of subcontractors by Contractor, Contractor shall provide to City upon request copies of each and every subcontract contract prior to the execution thereof by Contractor and subcontractor. Any assignment by Contractor of any or all of its rights under this Contract without first obtaining City's prior written consent shall be a default under this Contract. The sale, assignment, transfer or other disposition of any of the issued and outstanding capital stock of Contractor (if applicable), or of the interest of any general partner or joint venturer or syndicate member if Contractor is a partnership or joint-venture or syndicate, which shall result in a change of control of Contractor, shall be deemed an assignment. For this purpose, control shall mean fifty percent or more of the voting power or twenty-five percent or more of the assets of the corporation, partnership or joint-venture. 21. Integration. This Contract constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes any previous oral or written agreement; provided, however, that correspondence or documents exchanged between Contractor and City may be used to assist in the interpretation of the Exhibits to this Contract. 22. Modifications and Amendments. This Contract may be modified or amended only by a change order or Contract Amendment executed by both parties and approved as to form by the City Attorney. 23. Conflicting Provisions. In the event of a conflict between these General Conditions and those of any Exhibit or attachment hereto, these General Conditions shall prevail; provided, however, that any Special Conditions as set forth in Exhibit E shall prevail over these General Conditions. In the event of a conflict between the terms and conditions of any two or more Exhibits or attachments hereto, those prepared by City shall prevail over those prepared by the Contractor, and the terms and conditions preferred by the City shall prevail over those preferred by the Contractor. 24. Non-exclusivity. Notwithstanding any provision herein to the contrary, the services provided by Contractor hereunder shall be non-exclusive, and 1104
General Conditions/EJ/TE 01-19-11 10 of 13
City reserves the right to employ other Contractors in connection with the project. 25. Exhibits. All Exhibits hereto are made a part hereof and incorporated herein by reference; provided, however, that any language in Exhibit A which does not pertain to the project description, proposal, scope of services, or method of compensation (as applicable) , or any corresponding responsibilities of City, shall be deemed extraneous to, and not a part of, this Contract. 26. Force Majeure. Neither party hereto shall be considered in default in the performance of its obligations hereunder to the extent that the performance of such an obligation is prevented or delayed by reason of acts of God, strikes, boycotts, lock-outs, inability to procure materials not related to the price thereof, failure of power, restrictive governmental laws and regulations enacted after the date of this Contract, riots, civil unrest, acts of terrorism, insurrection, war, declaration of a state or national emergency or other reasons of a like nature not within the reasonable control of such party. 27. Time of the Essence. Time is of the essence of this Contract. Contractor and City agree that any time period set forth in Exhibit A represents their best estimates with respect to completion dates and both Contractor and City acknowledge that departures from the schedule may occur. Therefore, both Contractor and City will use reasonable efforts to notify one another of changes to the schedule. Contractor shall not be responsible for performance delays caused by others, or delays beyond Contractor's control, and such delays shall extend the times for performance of Contractor's work. 28. Confidentiality. Contractor agrees to comply with, and to require its employees, agents and partners to comply with, all applicable State or Federal statutes or regulations respecting confidentially, including but not limited to, the identity of persons served under this Contract, their records, or services provided them, and assures that: All applications and records concerning any individual made or kept by Contractor or any public officer or agency in connection with the administration of or relating to services provided under this Contract will be confidential, and will not be open to examination for any purposes not directly connected with the administration of such service. No person will publish or disclose or permit or cause to be published or disclosed, any list of persons receiving services, except as may be required in the administration of such service. 1105

29. Third Parties. Nothing herein shall be interpreted as creating any rights or benefits in any third parties. For purposes hereof, transferees or assignees as permitted under this Contract shall not be considered "third parties." 30. Governing Law. This Contract shall be construed in accordance with the law of the State of California without regard to principles of conflicts of law. This Contract is made in Contra Costa County, California, and any action relating to this Contract shall be instituted and prosecuted in the courts of Contra Costa County, California. 31. Nonrenewal. Contractor understands and agrees that there is no representation, implication, or understanding that the services provided by Contractor under this Contract will be purchased or renewed by the City under a new contract following expiration or termination of this Contract, and waives all rights or claims to notice or hearing respecting any failure by City to continue the purchase of all or any failure to continue purchase of all or any such services from Contractor. 32. Claims. Any claim by Contractor against City hereunder shall be subject to Government Code §§ 800 et seq. The claims presentation provisions of said Act are hereby modified such that the presentation of all claims hereunder to the City shall be waived if not made within six months after accrual of the cause of action. 33. Interpretation. This Contract shall be interpreted as if drafted by both parties. 34. Warranty. Notwithstanding the foregoing, consumable and maintenance items (such as light bulbs and batteries) shall be warranted for a period of one hundred and eighty (180) days from the date of delivery. All repairs during the warranty period shall be promptly performed by Contractor, at Contractor's expense, including shipping. 35. Severability. In the event that any of the provisions or portions or applications thereof of this Contract are held to be unenforceable or invalid by any court of competent jurisdiction, City and Contractor shall negotiate an equitable adjustment in the provisions of the Contract with a view 1106
General Conditions/EJ/TE 01-19-11 12 of 13
toward effecting the purpose of this Contract, and the validity and enforceability of the remaining provisions or portions or applications thereof, shall not be affected thereby. 36. Authority. City warrants and represents that the signatory hereto (the Mayor of the City of Richmond or the City Manager) is duly authorized to enter into and execute this Contract on behalf of City. The party signing on behalf of Contractor warrants and represents that he or she is duly authorized to enter into and execute this Contract on behalf of Contractor, and shall be personally liable to City if he or she is not duly authorized to enter into and execute this Contract on behalf of Contractor. 37. Waiver. The waiver by City of any breach of any term or provision of this Contract shall not be construed as a waiver of any subsequent breach. Inspections or approvals, or statements by any officer, agent or employee of the City relating to the Contractor’s performance, or payments therefore, or any combination of these acts, shall not relieve the Contractor’s obligation to fulfill this Contract as prescribed; nor shall the City be thereby stopped from bringing any action for damages or enforcement arising from any failure to comply with any of the terms and conditions of this Contract.38. Possessory Interest. If this Contract results in the Contractor having possession of, claim to or right to the possession of land or improvements, but does not vest ownership of the land or improvements in the same person, or if this Contract results in the placement of taxable improvements on tax exempt land (Revenue and Taxation Code 107), such interest or improvements may represent a possessory interest subject to property tax, and Contractor may be subject to the payment of property taxes levied on such interest. 39. Performance and Final Acceptance. Contractor represents that it is experienced, qualified, registered, licensed, equipped, organized and financed to perform the services under this Contract. Contractor shall perform the services under this Contract with that degree of skill and judgment normally exercised by professional firms performing services of a similar nature in the State of California, and shall be responsible for the professional quality, technical accuracy and coordination of the services it performs under this Contract. In addition to the other rights and remedies which City may have, Contractor shall, at its own expense, correct any services which fail to meet the above standard. 1107
General Conditions/EJ/TE 01-19-11 13 of 13
City shall provide Contractor an opportunity to cure errors and omission which may be disclosed during the review of submittals, with no increase in the authorized Contract Payment Limit. Should Contractor fail to make necessary corrections in a timely manner, such corrections shall be made by the City and the cost thereof shall be charged to Contractor. If warranted, City shall determine, and Contractor may request such determination, that Contractor has satisfactorily completed performance of this Contract. Upon such determination, City shall issue to Contractor a written Notice of Final Acceptance, after which Contractor shall not incur further costs under this Contract. Contractor shall respond to such Notice of Final Acceptance by executing and submitting to City a Release and Certificate of Final Payment. 40. Survival. Public Works

DATE: July 21, 2026
TO: Mayor Martinez and Members of the City Council
FROM:

Daniel Chavarria, PE, Director of Public Works/City
Engineer
Gail Payne, Senior Transportation Planner
Subject: 23rd Street Ciclovía Pilot Project
FINANCIAL IMPACT: The recommended action to receive an update and provide direction does not require an immediate
expenditure of funds. However, if the City Council directs staff to proceed with development and implementation of the 23rd Street Ciclovía Pilot in 2026, the event would require additional funding and staff capacity. Preliminary cost estimates for a pilot event range from approximately $79,000 to $145,000, depending on final program design, operational requirements, and equipment needs. Should
the City Council direct City staff to proceed, a detailed budget, identified funding sources, and any required
appropriations will be brought forward for City Council consideration.

STATEMENT OF THE
ISSUE:

City Council requested analysis of a potential Ciclovía pilot event in Richmond. This report provides an update on the proposed 23rd Street Ciclovía Pilot Project,
including route considerations, preliminary costs,
operational requirements, staffing impacts, and the trade- offs associated with adding this event to the
Transportation and Public Works work plan during the
current calendar year.

RECOMMENDED ACTION:

RECEIVE an update on the proposed 23rd Street
Ciclovía Pilot Project and PROVIDE DIRECTION to staff
regarding whether this effort should be prioritized within the current Transportation and Public Works work plan,
including consideration of staffing capacity, cost, trade- offs with existing Council-directed priorities, and impacts to ongoing traffic safety, traffic calming, grant-funded project delivery, and resident/Council traffic-related
requests - Public Works Department (Gail Payne 510-
620-6716/Daniel Chavarria 510-620-5478). This item
was continued from the June 16, June 23, and July 7,
2026, meetings.

DISCUSSION:

Ciclovías temporarily close streets to vehicle traffic and create car-free spaces for walking, biking, skating, and community gathering. The model began in Bogotá, Colombia, and has since expanded worldwide as a public health, mobility, and community-building strategy. Ciclovía events can offer a wide range of programming beyond street closures, including community bike rides, fitness and yoga classes, food and beverage vendors, arts and crafts activities, bike repair clinics, and bike valet services. Key benefits of Ciclovía events include:

 Encouraging walking, biking, and healthy recreation
 Supporting small businesses and increasing foot traffic  Offering inclusive, family-friendly activities
 Strengthening community pride and neighborhood connectivity  Showcasing and activating key commercial corridors

Richmond has incorporated limited Ciclovía components into past community festivals, but has not hosted a full-scale, standalone Ciclovía. City staff evaluated several routes including Gaynor Avenue, Hilltop Circle, Marina Way, Nevin Avenue, Park Place, Wagon Wheel Lane and Dirt World/Greenway loop. The pilot route builds on the Fiestas Patrias Parade & Festival and leverages City staff already deployed for the event. The ultimate vision for Ciclovías in Richmond is to host multiple Ciclovías throughout the year that piggyback on existing events such as the Cinco de Mayo festival (May), the Juneteenth parade (June) and the Fiestas Patrias Parade & Festival (September). For additional standalone Ciclovía events beyond the above leveraged City events, a community member champion would need to organize the event committee and coordinate neighborhood engagement and City approvals.

23rd Street Ciclovía as part of Fiestas Patrias Parade & Festival Proposed Segment: Between Barrett Avenue and Rheem Avenue (0.8-mile segment) Description: This high-visibility commercial corridor features numerous Latino-owned small businesses, strong transit access and a rich tradition of community events. The 1149

Page 3 of 7 ends

Ciclovía Pilot event could be integrated with the Fiestas Patrias Parade & Festival on Saturday, September 12, 2026, as follows:

1. Before the Parade (8:00 AM to 10:00 AM): Along 23rd Street in both directions (1.6-mile segment), community members would be invited to walk, roll and stroll along the car-free corridor prior to the start of the parade.

2. During the Parade (10:00 AM to 12:00 PM): Along 23rd Street, parade spectators would be encouraged to join the back of the parade as part of a Ciclovía “caboose.”

3. After the Parade (12:00 PM (noon) to 3:00 OM): Along 23rd Street in both directions (1.6-mile segment), the corridor would continue as a car-free space, allowing community members to walk, roll and gather following the parade.

Strengths: The expected strengths of this pilot proposal are as follows:
 Builds on the existing Fiestas Patrias Parade & Festival  Activates 23rd Street during planned street closures
 Leverages City staff already deployed for parade operations  Enhances a vibrant commercial frontage and active mixed-use environment  Aligns with established community cultural events and traditions  Provides access to AC Transit service

Challenges: The expected challenges of this pilot proposal are as follows:
 Extends the duration of street closures associated with the parade  Requires more complex traffic control needs after the parade  Limits business access including loading and deliveries  Requires coordination and buy-in with key stakeholders  Requires AC Transit detours

Work Plan Trade-Offs and Staff Capacity Impacts

The proposed Ciclovía Pilot would require a meaningful commitment of staff time during the same period that the Transportation and Public Works teams are advancing several City Council and community priorities. Since January 2025, Public Works and Transportation have received approximately 34 Council-related requests involving traffic safety, traffic calming, street safety improvements, corridor evaluations, grant implementation, and other transportation-related initiatives.

Adding the Ciclovía Pilot to the 2026 work plan would require staff to redirect time from some of these existing priorities. This includes staff time currently needed for traffic calming evaluations, high-injury corridor safety work, pavement and striping coordination, grant-funded project delivery, traffic control review, resident and Council inquiries, and implementation of previously directed street safety measures.

While the Ciclovía concept has community, mobility, health, and economic development benefits, staff does not currently have unlimited capacity to absorb another event-level project without affecting the timing of other work. Therefore, if City Council directs staff 1150

Page 4 of 7 ends

to proceed with the Ciclovía Pilot this year, that direction should be understood as prioritizing this effort within the existing work plan and accepting potential delays or reduced staff capacity for other Transportation and Public Works priorities.

Estimated Cost (preliminary): $79,000 or $145,000 with street barrier rentals. City staff will return to City Council with a detailed budget and potential partnership opportunities. Preliminary line-item cost estimates are shown in the table below.

Staffing Description Cost Estimate
Security The event would require 29 security guards from a private security company for a 10-hour shift on
Saturday, September 12 (7 am to 5 pm).
$11,500
Police The post-parade Ciclovía pilot would extend
police staffing needs by five hours, which includes
10 officers, 1 sergeant and 1 lieutenant.
$7,825
Fire Two crews of Fire personnel would be on standby
for the 10-hour event. The estimate is based on
the fee schedule of $743 per hour.
$14,860
Ambulance A standby ambulance would be available to
respond to emergencies.
$2,500
Programming It depends on the ultimate pilot event and could include fitness classes, food vendors and
business pop-ups, arts and crafts stations, bike
repair clinics and performances, etc.

Operational Considerations: The expected operational considerations of this pilot proposal are as follows:

 Staff capacity impacts, including the need to redirect Transportation and Public Works staff time from existing Council-directed priorities, including traffic calming evaluations, high-injury corridor safety work, grant-funded transportation projects, traffic control review, pavement/striping coordination, and responses to resident and Council traffic-related inquiries.
 Traffic control planning, including detours and signage  Emergency access coordination and safety staffing
 Public Works and Police staffing requirements
 Provision of restrooms, waste management and water stations  Vendor coordination and special event permitting
 ADA accessibility and mobility accommodations, including transit access 1151

Page 5 of 7 ends

 Multilingual community outreach and marketing
 Partnerships with nonprofits, business associations, and health organizations  Programming such as community bike rides, fitness classes, food vendors and business pop-ups, arts and crafts stations, bike repair clinics and performances

Staff Capacity and Workload Considerations:

Development and implementation of the Ciclovía Pilot will require a meaningful commitment of staff time across multiple departments, including Public Works, Transportation, Police, Fire, and administrative support. Although coordinating the pilot with the existing Fiestas Patrias Parade & Festival helps reduce some operational burden, the additional work associated with community engagement, stakeholder coordination, traffic control planning, permitting, procurement, funding analysis, event logistics, and post-event evaluation will require staff resources that are currently supporting other Council and community priorities.

In particular, Transportation staff assigned to this effort are also responsible for advancing the City’s traffic safety program, traffic calming evaluations, grant-funded transportation projects, and responses to resident and Council traffic-related inquiries.

Therefore, if City Council directs staff to proceed with the Ciclovía Pilot, that direction should be understood as prioritizing this effort within existing staff capacity. Without additional consultant or temporary support, staff time committed to the Ciclovía Pilot may affect the timing of other traffic safety program work.

Staff is not presenting the Ciclovía Pilot as a workload-neutral item. Implementation in 2026 would require Council to recognize that this effort would compete with other active Transportation and Public Works priorities already directed or requested by the City Council.

Public Outreach:

If the City Council directs City staff to proceed, staff will conduct targeted outreach with key stakeholders, including the Fiestas Patrias Parade & Festival organizing committee, the 23rd Street Merchants Association and other local businesses, schools, community-based organizations, neighborhood councils and AC Transit.

To promote the Ciclovía event, City of Richmond staff will develop and distribute multilingual outreach materials, including flyers and digital advertising through social media. City staff also will recruit residents and community leaders as ambassadors to help promote the event and will engage with local media outlets including newspapers, radio and television for broad coverage.

Following the Ciclovía pilot, City staff will conduct a post-event evaluation to capture lessons learned and to inform future events. This evaluation will include input from participants, partners and stakeholders as well as data on attendance, City staff involvement and final budget outcomes. Findings will be compiled into a report and will be presented to the City Council.

1152

Page 6 of 7 ends

Alternative Implementation Option:

Another viable option is for community-based organizations (CBOs) to apply for Richmond Children and Youth Fund / Kids First funds to launch or support a Ciclovía- style project. Under this approach, a CBO or community partner could serve as the lead organizer and pursue available funding, while City staff provides limited technical coordination related to traffic control, permitting, public safety, and event logistics as capacity allows.

This model may reduce the immediate financial and staffing burden on the City while still advancing the community, health, youth engagement, mobility, and neighborhood activation goals associated with Ciclovía events. If Council is interested in this approach, staff could identify the appropriate coordination points and return with recommendations on the City’s limited role in supporting a CBO-led effort.

CONCLUSION AND STAFF RECOMMENDATION

The proposed 23rd Street Ciclovía Pilot leverages the existing Fiestas Patrias Parade & Festival to introduce a Ciclovía model in a cost-effective and operationally efficient manner, maximizing community participation, economic activity, and opportunities for safe, active transportation.

While the pilot presents operational challenges, including extended street closures and coordination with businesses and transit providers, these can be addressed through targeted planning and stakeholder engagement. The pilot will also provide valuable data and community feedback to inform future Ciclovía events City-wide.

City staff also notes that implementation of the Ciclovía Pilot will require a meaningful commitment of Transportation, Public Works, Police, Fire, and administrative staff time.

While the pilot can be coordinated with the existing Fiestas Patrias Parade & Festival to reduce some operational burden, the additional planning, outreach, traffic control development, stakeholder coordination, permitting, procurement, and post-event evaluation will require staff resources that are currently supporting other Council and community priorities. In particular, Transportation staff time dedicated to this effort may affect the timing of ongoing traffic safety program work, including traffic calming evaluations, safety improvements, grant-funded transportation projects, and responses to resident and City Council traffic-related requests.

Accordingly, staff recommends that the City Council receive this update and provide direction on whether the 23rd Street Ciclovía Pilot should be prioritized for further development in 2026. If Council directs staff to proceed, staff would return with a detailed implementation plan, budget, funding strategy, traffic control approach, stakeholder engagement plan, and staffing plan. Staff also recommends that any direction to proceed include acknowledgment of the potential impacts to existing Transportation and Public Works priorities, including traffic calming, street safety improvements, grant-funded transportation projects, and responses to Council and resident traffic-related requests.
1153

Page 7 of 7 ends

Another viable option is for community-based organizations (CBOs) to apply for Richmond Children and Youth Fund / Kids First funds to support the launch of a Ciclovía-style project. This approach could allow community partners to lead or help fund the effort while reducing the immediate financial and staffing burden on the City. If Council is interested in this option, staff could coordinate with interested CBOs and provide technical input as appropriate, while the CBOs pursue available funding opportunities.

ENVIRONMENTAL DOCUMENTATION:

This action does not constitute a project under the California Environmental Quality Act (CEQA). Any future event implementation will be evaluated for CEQA applicability; however, Ciclovía/Open Streets events are typically exempt as temporary street closures with minimal environmental impact.

SYNERGISTIC POLICIES:

This event would support citywide goals related to active transportation, economic vitality, quality of life and health equity.

Implementing Wildfire Taskforce Recommendation
Regarding Enforcing Weed Abatement Ordinance
FINANCIAL IMPACT: To be determined

PREVIOUS COUNCIL
ACTION:

December 3, 2013
Ordinance No. 24-13 N.S.

STATEMENT OF THE
ISSUE:

On January 21, 2025, the City Council established the
Wildfire Preparedness Ad Hoc Committee to evaluate the
City's wildfire preparedness efforts and develop
recommendations to improve wildfire mitigation,
defensible space enforcement, vegetation management,
and resident assistance programs.

Given the increasing frequency and intensity of wildfire events throughout the state and within Contra Costa
County, Richmond must have a comprehensive, legally
sound ordinance that allows for fast and effective
response during fire season.

RECOMMENDED ACTION:

ADOPT the recommendations of the Wildfire
Preparedness Ad Hoc Committee and DIRECT the City
Attorney's Office, in collaboration with the City
Administration, to implement the following actions and
return to the City Council within 90 days with any
necessary ordinances, resolutions, contracts, budget
appropriations, and additional implementation plans:

1. Defensible Space Appeal Process

Direct the City Attorney's Office to evaluate the
current appeal process for enforcement of defensible
space violations under the Richmond Municipal Code,
including whether appeal timelines can be shortened
for parcels located within the Local Responsibility
Area (LRA) and the City's designated wildfire hazard
zones, and return to the City Council with
recommendations for any necessary amendments to
the Richmond Municipal Code.

2. Vegetation Management Contract
Direct staff to establish an on-call vegetation
management services contract for parcels within
wildfire hazard zones where property owners fail to
comply with defensible space requirements following
all applicable enforcement procedures, and determine
the appropriate department to administer and oversee
the contract.

3. Resident Assistance Program
Direct staff to develop a one-year pilot Resident
Assistance Program to assist eligible homeowners
with weed abatement ordinance and defensible space
improvements within 0–30 feet of structures, with
priority given to hazards located within Zone 0, and
return to the City Council with program guidelines,
eligibility criteria, funding options, and implementation recommendations.

4. Implementation Report
Direct staff to return to the City Council within 60 days with an implementation plan, including proposed
ordinances or policy amendments, estimated costs,

7, 2026, meeting.

DISCUSSION:

On January 21, 2025, the City Council established the Wildfire Preparedness Ad Hoc Committee (Committee) to evaluate the City's wildfire preparedness efforts and develop recommendations to improve wildfire mitigation, defensible space enforcement, vegetation management, and resident assistance programs.

Following six meetings, the Committee presented four recommendations to the City Council on May 19, 2026, addressing:
1174

Page 3 of 4 ends

July 21, 2026

1. Evaluation of the Richmond Municipal Code appeal process for defensible space enforcement.

2. Establishment of an on-call vegetation management contract for properties requiring administrative abatement.

3. Creation of a Resident Assistance Program to assist eligible homeowners with home hardening and defensible space improvements.

4. Funding and maintenance of an annual managed grazing program within the City's wildfire hazard zones.

The May 19, 2026, agenda report specifically requested that the City Council provide direction regarding these recommendations. However, because the item was placed on the Consent Calendar, the City Council did not discuss the recommendations or provide formal directions to City staff regarding implementation.

This agenda item provides the City Council with the opportunity to consider the recommendations and provide the policy direction originally contemplated by the May 19, 2026, agenda report.

Timely implementation of these recommendations will improve public safety, reduce wildfire risk, strengthen enforcement of defensible space requirements, and assist residents in complying with evolving wildfire safety standards.

By adopting the recommendations of the Wildfire Preparedness Ad Hoc Committee, the City Attorney's Office, in collaboration with the City Administration, can start working towards implementation of the following actions and return to the City Council within 90 days with any necessary ordinances, resolutions, contracts, budget appropriations, and additional implementation plans:

1. Defensible Space Appeal Process
Direct the City Attorney's Office to evaluate the current appeal process for enforcement of defensible space violations under the Richmond Municipal Code, including whether appeal timelines can be shortened for parcels located within the Local Responsibility Area (LRA) and the City's designated wildfire hazard zones, and return to the City Council with recommendations for any necessary amendments to the Richmond Municipal Code.

2. Vegetation Management Contract
Direct City staff to establish an on-call vegetation management services contract for parcels within wildfire hazard zones where property owners fail to comply with defensible space requirements following all applicable enforcement procedures, and determine the appropriate department to administer and oversee the contract.

3. Resident Assistance Program
Direct City staff to develop a one-year pilot Resident Assistance Program to assist eligible homeowners with weed abatement ordinance and defensible space improvements within 0–30 feet of structures, with priority given to hazards located within 1175

STATEMENT OF THE
ISSUE:

Richmond residents deserve a government they can
trust. This measure would place a ballot initiative before Richmond voters in November 2026 to adopt an
ordinance which establishes an independent Ethics
Commission with a dedicated Investigator, subpoena
power, an absolute minimum budget floor, and
jurisdiction over elected officials, appointed officials, commissioners, lobbyists, contractors, and nonprofits
doing business with the City.

RECOMMENDED ACTION:

RECEIVE a presentation on the Richmond Government
Accountability, Transparency, and Ethics Act (Richmond
GATE Act); DIRECT the City Attorney to prepare an
ordinance and related ballot measure documents for City Council consideration; and
DIRECT staff to calendar this item to adopt the ballot
initiative resolution on July 21, 2026 and in no event later than July 28, 2026, to meet the November 2026 ballot
deadline, this item must be heard before final
adjournment — Councilmember Cesar Zepeda (510-
620-6590), Councilmember Soheila Bana (510-672-
3490), and Councilmember Jamelia Brown (510-412-
2050). This item was continued from the July 7, 2026,
meeting.

DISCUSSION:

Richmond is one of the few cities in the Bay Area, and among the largest cities in California, without an independent ethics commission. Los Angeles established the first such commission in California in 1990; it has now operated for 35 years. San Francisco and Oakland followed in 1993 and 1996, respectively. San Diego, San Jose, Long Beach, and Sacramento have all since established their own standing ethics bodies with defined investigative authority, lobbyist registration requirements, and conflict of interest enforcement. Richmond does not. By any measure of comparability, population, budget size, or civic complexity, Richmond is an outlier.

This measure would bring Richmond into alignment with best practices in California municipal governance, not by creating a new bureaucracy, but by giving Richmond residents what every comparable city already has: an independent, adequately funded body that can receive complaints, investigate alleged violations, and issue findings without being subject to political interference from the officials it oversees.

1178

Page 3 of 6 ends

July 21, 2026
Why This Is Needed
Richmond’s current structure has no independent mechanism to investigate alleged violations by elected officials; appointed commissioners, board members and task force members; lobbyists, or contractors; staff members, nor by unelected City management, including the City Manager and City Attorney. Currently, complaints must be routed through the City Attorney’s Office or Human Resources (HR). HR reports into the City Manager. The City Manager and City Attorney both report directly to the City Council, the same body whose members may be the subject of a complaint. Alternatively, complainants may file with the state FPPC or District Attorney’s office, which have limited local jurisdiction and significant case backlogs. This layered reporting structure creates an inherent conflict of interest that cannot be resolved from within the existing system. The only solution is a fully independent body structurally untethered from the City Council, City Manager, and City Attorney alike, akin to the Richmond Rent Program and Rent Board, which operates independently of City Hall to administer and enforce the City’s Rent Control Ordinances. This measure applies the same principle of structural independence to government ethics oversight.

Richmond also lacks enforceable lobbyist registration requirements, contractor contribution disclosure rules, behested payment tracking, and any formal whistleblower intake function. All of these are standard features of ethics commissions in comparable California cities and are included in this proposal.

It is also worth noting that an independent ethics commission protects elected officials and City management as much as it holds them accountable. A credible, independent body that reviews a complaint and clears an official carry far more weight than any Council vote or internal determination could. For those who serve the public, this Commission is a fair, impartial process that puts findings beyond political dispute.

What the Proposed Ordinance Would Do
The Richmond Government Accountability, Transparency, and Ethics Act (Richmond GATE Act) is intended to be an voter-adopted ordinance that would:
• Establish a seven-member independent Ethics Commission, operational by June 1, 2027, with staggered terms, term limits, and automatic removal triggers for conflicts of interest, nepotism, or absences.
• Appoint Commissioners through a distributed model:
 Mayor with Council confirmation (1),
 Personnel Board (1),
 General Employee Unions (1),
1179

Page 4 of 6 ends

July 21, 2026
 Public Safety Unions (1),
 The remaining three appointed unanimously by the first four — ensuring no single official controls the Commission.
• Create a full-time, at-will Investigator position, who is a licensed California attorney in good standing with the State Bar. Who reports solely to the Commission, is exempt from civil service and collective bargaining (as with all other commissions around the state), and has sole discretion to retain outside counsel when the City Attorney has a conflict. • Provide the Commission with subpoena power enforceable through court contempt proceedings, authority to self-initiate investigations, and exclusive administrative enforcement authority over ethics, campaign finance, and lobbying violations. • Establish a $1,000,000 absolute budget floor in Year 1; indexed in Year 2 to 0.5% of General Fund revenues; and in Year 3 and beyond to between 0.5% and 1.0% of General Fund revenues, with any reduction from the indexed amount requiring a 5-of-7 Council supermajority, a public hearing, and written findings; the $1,000,000 floor may never be reduced under any circumstances.
• Cover elected officials, appointed officials, board and commission members, candidates, lobbyists, City contractors, staff members, and nonprofits and NGOs doing business with the City.
• Enforce campaign finance disclosure, lobbyist registration, conflict of interest rules, gift limits, behested payment disclosure, post-employment restrictions, Sunshine Ordinance compliance, Brown Act violations, and whistleblower protections. • Require a dedicated Ethics Helpline and publicly accessible complaint log, with all decisions to review or decline complaints made at public Commission meetings. • Prohibit use of personal email, disappearing message applications, or any non-City- issued communications platform for City business — with a seven-year records retention requirement after leaving office.

Fiscal Impact
Year 1 funding of $1,000,000 covers two positions (Investigator and paralegal support staff, approximately $550,000) and operating services ($450,000). Beginning in Year 2, the minimum appropriation rises to the greater of $1,000,000 or 0.5% of General Fund revenues, approximately $1,620,000 based on projected FY2026-27 revenues of $324 million. Beginning in Year 3 and each fiscal year thereafter, the Investigator proposes a budget within the range of 0.5% to 1.0% of General Fund revenues (approximately $1,620,000 to $3,240,000) and submits it directly to the City Council, not through the City Manager or City Attorney. Any Council reduction below the Investigator’s request 1180

Page 5 of 6 ends

July 21, 2026
requires a 5-of-7 supermajority vote with written findings. The $1,000,000 floor is absolute and may not be reduced under any circumstances, including a declared fiscal emergency.

Los Angeles, the only California city with a voter-mandated budget floor for its ethics commission, adopted that floor specifically in response to documented political defunding following City Hall corruption scandals. Richmond can build that protection in from day one.

Beyond the direct cost of the Commission, there is a broader economic case. It appears that Cities with credible, independent ethics oversight attract more grant funding, stronger state investment, and greater business confidence. An independent ethics commission signals to outside partners and investors that Richmond is a city that takes good governance seriously, making Richmond more competitive with other Bay Area cities that have had these independent oversight and accountability measures in place for decades. The councilmembers who bring this measure to voters will have helped position Richmond for that future.

Path to the Ballot
To appear on the November 2026 ballot, the City Council must adopt a resolution submitting the ordinance to voters no later than its last meeting before summer recess, currently scheduled for July 21 or July 28, 2026. This item requests that the City Attorney be directed to prepare the ordinance and ballot measure language and resolution, and be authorized to retain outside counsel as needed, for Council consideration at that meeting. Placing this measure on the ballot requires four affirmative votes. A vote in favor of today’s Recommended Action does not constitute a vote on the merits of the proposed ordinance, it is solely a vote to direct preparation of the necessary documents.

Conclusion
Oakland and San Francisco, two cities Richmond frequently looks to as policy benchmarks, both have independent ethics commissions, as do San Jose, Los Angeles, San Diego, Long Beach, and Sacramento. This Council can be the one that brings Richmond into that same standard of governance and ultimately puts that question directly to Richmond voters. Richmond deserves nothing less.

Richmond has been known for being a leader. This is our opportunity to continue this trend.
