Solution Description
Attendees will access Wordly through one of several options, including the Wordly web app or integrations through other platforms such as Zoom. They will access directly on their own devices, using their own headsets or through a display showing Wordly results.
From their own devices, attendees will both be able to see and hear the live translation in over 60 languages, including: Arabic, Bengali, Chinese (Simplified & Traditional), Czech, Dutch, English, French, German, Hebrew, Hindi, Italian, Japanese, Korean, Polish, Portuguese, Romanian, Russian, Spanish, Swedish, Tagalog, Tamil, Thai, and Vietnamese.

Purchase Terms
1. This quotation is for services delivered in support of City of Richmond, CA.
2. Wordly and customer understand that there is no warranty or SLA for translation accuracy.
3. Wordly is requesting feedback of usage; setup, ease of use, quality of translation and attendee response.
4. Use of Wordly is restricted to this contract. For the period of time spanning this contract, there will be no restrictions to the use of Wordly within the hours and number of users contracted. Contract begins on the date of purchase, unless specified otherwise. The contract period is the time period defined in the specific line item in this quotation from the contract start date. The contract period is for 12 months unless otherwise specified. Subscriptions do not automatically renew.
5. Customer is responsible for providing access to good quality audio to Wordly either via the mobile application or streaming audio to Wordly.
6. Customer is responsible for selecting languages and switching between languages for bilingual or multilingual conversations. Wordly does not automatically switch languages.
7. Customer is responsible for testing set-up and configuration prior to meetings or events.
8. Customer is purchasing Wordly for up to a specific number of simultaneous attendees. Wordly reserves the right to limit the number of attendees using Wordly during a session to the purchased limit. Customer can upgrade hours to a larger number of simultaneous attendees by contacting Wordly sales, additional fees apply.
9. If customer purchases an option with a limited number of languages, Wordly reserves the right to limit the use of the Wordly product to the specific languages, or charge the client if they use more languages than contracted.
10. Unused Wordly credits will be rolled over if future purchase of Wordly occurs within subscription period.
11. If customer exceeds the contracted hours, the customer will be responsible for paying for overage at the hourly rate. Overage is rounded-up to the nearest hour.
12. Customer owns the data they enter when using Wordly as well as the output data generated by using Wordly services (e.g., transcriptions and translations). Wordly will not use that data to train speech recognition and translation models and will keep that data confidential, including not sharing that data with any third parties. Customers can delete their data they have entered into the Wordly system at any time. Deleted data will be promptly removed from all production systems. Copies of the data may exist in Wordly system backups for disaster recover for up to 30 days.
13. If the customer is not fully satisfied with Wordly and has used Wordly for less than 10% of the purchased hours or 2 hours, whichever is fewer hours, and has participated in an onboarding session, they can receive a refund for their purchase. To exercise this refund, the customer must have procured and participated in a Wordly onboarding session and the request for refund must be made within 30 calendar days of signing this agreement or issuing a Purchase Order for Wordly.
14. There is a 3.0% processing fee for payment by Credit Card.
15. Customers is responsible for paying full amount in USD and are responsible for all wire transfer fees, other transaction fees or any changes in exchange rates
16. Customer acknowledges that failure to renew the subscription before, or on, the mutually agreed upon end date established on the Wordly quote/contract may result in loss of access to Wordly services. The company will make commercially reasonable efforts to notify the customer of upcoming renewal dates at least 60 days in advance. After 14-days of non-renewal, Wordly has the authority to pause the account's service.
17. The customer is responsible for any applicable sales tax, use tax, or value-added tax imposed on the goods or services purchased.
Prices listed on this quote do not include taxes. Appropriate tax will be calculated and added to your order total during invoicing as required by law.
18. Customer is expressly prohibited from, and shall not permit any third party to, remove, obscure, or alter any copyright, trademark, logo, or other proprietary rights notices displayed on or contained within the Software or Documentation, the commission of which violates the proprietary rights of the Company.

21. In the event of any conflict between these Purchase Terms and the Wordly Software Terms of Service, the terms of these Purchase Terms control.
