RECOMMENDATION
It is recommended that the City Council of the City of Rio Vista consider and adopt Resolution No. 2024-065, authorizing the Side Letter Agreement between the City and Rio Vista Professional Fire Fighters Association (RVPFA) which would extend the successor Memorandum of Understanding (MOU) term through August 31, 2024.
BACKGROUND
During the October 19, 2021 regular meeting, the City Council adopted Resolution No. 2021-071 which approved a budget appropriation of $54,526.04 and a three-year (3- year) successor MOU between the City and RVPFA with a term which expired on June 30, 2024.
Since February 2024, the City and RVPFA have been in negotiations towards a multiyear successor MOU. While the meetings have been productive, the City and RVPFA need more time to complete negotiations.
The proposed Side Letter Agreement (see Attachment 2) have the following terms:
1. The term of the MOU shall now be effective from July 1, 2021 through August 31, 2024; and
2. Both parties agree that the first cost-of-living adjustment agreed to in a successor MOU shall be retroactive to July 1, 2024 should both parties agree to a successor MOU on or before August 31, 2024.
Given the productive meetings with RVPFA since February 2024, staff anticipates that negotiations and a draft MOU for City Council consideration and approval would be completed before or by August 31, 2024.

ENVIRONMENTAL REVIEW
The proposed Side Letter is not a "project" for purposes of the California Environmental Quality Act, Public Resources Code section 21000 et seq. ("CEQA") and there is no impact to the environment from adopting this document.
FINANCIAL CONSIDERATIONS
The Side Letter will extend the term of the MOU between the City and RVPFA with no financial impact to the City.
ALTERNATIVES
Do not approve the Side Letter and provide staff with further direction.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF RIO VISTA
TO APPROVE SIDE LETTER AGREEMENT BETWEEN
THE CITY OF RIO VISTA AND THE
RIO VISTA PROFESSIONAL FIRE FIGHTERS ASSOCIATION (RVPFA) 2210912.1 13398-020
WHEREAS, during the October 19, 2021 regular meeting, the Rio Vista City Council adopted Resolution No. 2021-071 which approved a budget appropriation of $54,526.04 and a three-year (3-year) successor Memorandum of Understanding (MOU) between the City of Rio Vista (“City”) and the Rio Vista Professional Fire Fighters Association (“RVPFA”); and
WHEREAS, the above-mentioned successor MOU had a term ending date of June 30, 2024; and
WHEREAS, the City and RVPFA have been engaged in MOU
negotiations since February 2024; and
WHEREAS, the City and RVPFA deem it necessary to extend the term ending date in order to continue and complete MOU negotiations; and WHEREAS, the City and RVPFA deem that the terms stipulated in the Side Letter Agreement (see Attachment 1) would mutually serve the interest of both parties.
NOW THEREFORE, THE CITY COUNCIL OF THE CITY OF RIO VISTA, DOES HEREBY RESOLVE AS FOLLOWS:
SECTION 1. That all of the above recitals are true and correct; SECTION 2. The Side Letter Agreement (see Attachment 1) would:
(1) Revise the term effective date of the successor MOU from July 1, 2021 through August 31, 2024; and
(2) The City and RVPFA agree that the first cost-of-living adjustment agreed to in a successor MOU shall be retroactive to July 1, 2024 should both parties agree to a successor MOU on or before August 31, 2024.
SECTION 3. That this Resolution shall take effect upon its adoption by this City Council.

Side Letter Agreement
To the Memorandum of Understanding Between
City of Rio Vista and Rio Vista Professional Fire Fighters Association Article I, Section 3 Term of Agreement:
A. The City of Rio Vista ("City") and the Rio Vista Fire Fighters Association ("Association") hereby agree to extend the terms of the MOU by two months. The term of the MOU shall now be effective from July 1, 2021 through August 31, 2024.
B. The City and the Association agree that the first cost of living adjustment agreed to in a successor MOU shall be retroactive to July 1, 2024 if the parties agree to a successor MOU on or before August 31, 2024.
C. Except as specifically modified herein, the MOU shall remain in full force and effect as written.
