Subject: Assignment and Assumption Agreement - Pereira
RECOMMENDED ACTION:
Consent to the Assignment and Assumption Agreement allowing JKB Living, Inc. to purchase a portion of the Pereira residential development project and land from HPG Ripon Development, LLC and Pereira Properties, a California general partnership, located at 22898 S. North Ripon Road (APN: 261-210-08) and authorize the Mayor to sign the acknowledgement and acceptance by the City.
DISCUSSION/ANALYSIS:
The Pereira residential development project was initially approved on April 14, 2020 and a Development Agreement was entered into between the City of Ripon and HPG Ripon Development LLC, Pereira Properties, a California general partnership and Gregory R. and Donna L. Miller, husband and wife as Joint Tenants. The development project is located just north of Boesch Drive between North Ripon Road and John Roos Avenue. The project is a low density single family home development project containing forty-seven (47) homes.
On December 26, 2023 the City received a request to assign the Pereira’s portion of the Development Agreement to JKB Living, Inc., who have entered into a purchase agreement with HPG Development LLC and Pereira Properties, a California general partnership for their property. The attached assignment and assumption agreement allows for this transaction.
