Re: NOTICE OF INTENT TO ASSIGN MEADOWOOD DEVELOPMENT AGREEMENT Dear Administrator Werner:
The Developer and the Owner of the Meadowood project is currently under contract to sell and is providing this notice to the City of Ripon of its intent to sell, assign, or transfer that Development Agreement dated, for reference purposes, certain Development Agreement recorded on July 3, 2018 as Instrument Number 2018-074286 in the Official Records of the San Joaquin, as amended by that certain First Amendment to Development Agreement recorded on January 30, 2023 as Instrument Number 2023-007264 in the Official Records of San Joaquin (the "Development Agreement"). The Developer and the Owner would like to arrange for the assignment of the Development Agreement to the buyer:

Please let me know if you require any additional information or if anything in this letter is problematic or incorrect, or if you have any questions. Moreover, please let us know if there is any information you need from the proposed transferee as soon as you are able.
As required by the Development Agreement, we will provide the transferee a copy of the recorded DA immediately upon receipt from you.
