GRANT OF EASEMENT AND RIGHT OF WAY FOR ACCESS PURPOSES
FOR VALUABLE CONSIDERATION, CITY OF RIPON (hereinafter referred to as "GRANTOR"), hereby grants to the SOUTH SAN JOAQUIN IRRIGATION DISTRICT, a California irrigation district governed by the Irrigation District Law of the State of California (hereinafter referred to as "DISTRICT"), a perpetual non-exclusive easement and right- of-way for the purpose of ingress and egress to access its existing pipeline and appurtenances (hereinafter, “District Facilities”)for the purpose of laying down, constructing, patrolling, maintaining, operating, repairing, removing, replacing, enlarging, reconstructing, and other work upon the District Facilities as the DISTRICT may see fit. Said easement and right-of-way shall run with, over, and across that real property located in Ripon, CA, in the County of San Joaquin, State of California, generally described as follows (“Subject Property”):
Intersection of Warren Road, Frontage Road and Lateral “V”, Ripon, California.
The area of the Subject Property to be utilized for ingress and egress (“Easement Area”) is particularly described in Exhibits “A” and “B,” attached hereto and incorporated herein by reference.
The right of ingress to and egress shall include access with vehicles, machinery, and equipment customary for laying down, constructing, patrolling, maintaining, operating, repairing, removing, replacing, enlarging, reconstructing, and using the District Facilities.
Except as herein expressly permitted by means of a valid encroachment permit issued by DISTRICT, GRANTOR shall not place or permit to be placed on, in, across, or through said easement and right-of-way, any building, structure, explosive, well, guy wire, or any other obstruction, nor do or permit to be done, anything which may interfere with the full and exclusive enjoyment by the DISTRICT of the easement and right-of-way herein granted.
IN THE EVENT that DISTRICT, as Grantee herein, shall formally abandon the use of the District Facilities as evidenced by Resolution of its Board of Directors or other official action, the easement and right-of-way herein granted shall revert to the GRANTOR, its heirs, successors or assigns.
The Grant of Easement, and each of its covenants, shall run with the land and shall be binding on and shall inure to the benefit of each of the parties hereto and each of their heirs, legal representatives, successors, and assigns.

CERTIFICATE OF ACCEPTANCE
This is to certify that the interest in real property conveyed by the Grant of Easement and Right of Way for Access Purposes dated _____________________________, 20____ from the CITY OF RIPON to the SOUTH SAN JOAQUIN IRRIGATION DISTRICT, a special district and a governmental entity, is hereby accepted by order of the Board of Directors of the SOUTH SAN JOAQUIN IRRIGATION DISTRICT on January 28, 2020 and the grantee consents to recordation thereof by its duly authorized officer.
