LSC Transportation Consultants, Inc.
AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF RIPON AND
LSC TRANSPORTATION CONSULTANTS, INC.
This Amendment to the Professional Services Agreement dated September 10, 2024 (“Amendment”) is made and entered into on, March 10, 2026 (the “Effective Date”) between the City of Ripon, a California municipal corporation (“City”) and LSC Transportation Consultants, Inc. (“Consultant”), (together sometimes referred to as the “Parties”).
Section 1. SERVICES. In accordance with the terms and conditions set forth in this Agreement, Consultant agrees to perform all services described in the Consultant’s Scope of Services attached hereto as “Exhibit A”. In the event of a conflict in or inconsistency between the terms of this Agreement and said scope of services, this Agreement shall prevail.
1.1 Term of Services. This Agreement shall begin upon signature by all Parties and shall end when Consultant completes the work described in said scope of work, or no later than two (2) years from the date this Agreement was signed by City, whichever is longer, unless the term of the Agreement is otherwise terminated or modified, as provided for herein. Notwithstanding the foregoing,
1.2 Standard of Performance. Consultant shall diligently perform all services required in connection with this Agreement in the manner and according to the standards observed by a competent practitioner of the profession in which Consultant is engaged in the geographical area in which Consultant practices its profession.
Section 2. COMPENSATION.
City hereby agrees to pay Consultant an amount NOT TO EXCEED Four Thousand Three Hundred Forty Dollars ($4,340) for all work described within the Cost Proposal set forth in “Exhibit A” and made a part of this Agreement.
REMAINING TERMS AND CONDITIONS NOT AFFECTED. Unless expressly amended herein, the remaining terms and conditions of the General Services Agreement dated March 10, 2026, shall remain in full force and effect.
The Parties have executed this Agreement as of the date signed by the City.
