FIRST AMENDMENT
TO SERVICES AGREEMENT

[Custodial Services at Various City Facilities for
Supplemental Sanitization Services Due to COVID-19 Emergency] This FIRST AMENDMENT to SERVICES AGREEMENT ("First Amendment") is made and entered into this , 2021, by and between the CITY OF ALLIED UNIVERSAL JANITORIAL SERVICES ("Contractor").
RECITALS
WHEREAS, on or about August 24, 2020, City and Contractor entered into a Services Agreement for Janitorial Services at Various City Facilities for Supplemental Sanitization Services due to COVID-19 Emergency ("Agreement"); and
WHEREAS, the Agreement was for a term of One (1) year beginning March 23, 2020 and ending March 23, 2021; and
WHEREAS, due to the continuing COVID-19 pandemic, the parties desire to extend the services under the Agreement; and
WHEREAS, City and Contractor desire to amend the Agreement term to begin March 23, 2021 and end June 30, 2022, with Compensation for the extended term to be an amount not to exceed Five Hundred Thousand dollars ($500,000).
NOW, THEREFORE, in consideration of the foregoing recitals which are incorporated herein by this reference, City and Contractor agree as follows:
1. Section 2, Term is amended to extend the term of the Agreement from March 23, 2021, through June 30, 2022.
2. Section 3, Compensation/Payment, is hereby amended to include additional compensation for the extended term in the amount not to exceed Five Hundred Thousand Dollars ($500,000) with a fifteen (15%) change order authority to be exercised at the City's sole discretion, for a total contract amount of One Million One Hundred Fifty Thousand Dollars ($1,150,000).
3. All terms and conditions of the original Agreement not inconsistent with this First Amendment shall remain in full force and effect and are incorporated herein by this reference as though set forth in full.
