This FIRST AMENDMENT TO SUPPLEMENTAL AGREEMENT FOR ASS IGNED PROJECT ("First Ame ndment") is made and entered into this __ day of ______ , 2022 ("Effective Date "), by and between the C[TY OF RIVERSIDE , a Ca lifornia charte r city and municipal corporation ("City"), and PFM FrNANCIAL ADVISORS LLC , a Delaware limited liability compa ny authorized to do business in California ("Cons ultant "), in accordance with the following facts:
RECITALS
WHEREAS , on June 5, 2018 , the City and Consu ltant entered into a Master Professiona l Consu ltant Serv ices Agreeme nt for Financial Advisory Services Panel ("Master Agreement "); and WHEREAS , on Septe mber 18, 20 19, the City and Consultant entered into a Supplementa l Agreeme nt for Ass igned Project for Financial Forecast Services (Phased Approach) (" First Supplemental Agree ment"); and
WHEREAS , on February 19, 2021 , the City and Cons ultant entered into a Supp lemental Agreement for Assig ned Project for Financial Forecast Services for RPU-Related Debt ("Second Supplem ental Agree ment"); and
WHEREAS , the City desires to have Consultant continue providing the services referenced in that Master Agreement; and
WHEREAS , the City and Cons ultant desire to amend the Master Agreeme nt and the Second Supp lementa l Agreeme nt to extend the term fo r one additiona l year , to end June 30, 2023 .
NOW , THEREFORE , in cons ideration of the foregoing recitals , which are incorporated herein to the Master Agree ment , the parties hereto mutually agree to the following ame ndment to the Agreement:
1. Sect ion 3, " Term ," is hereby amended to extend the term of the Supplementa l Agreement for one additiona l year , to end June 30, 2023 , or the required date for completion of an assigned project , provided suc h project was ass igned prior to June 30, 2023.
2. All other terms and conditions of the Master Agreement and Second Supplemental Agreement between the parties which are not inconsistent with the terms of this First Amendment shall remain in full force and effect as if fully set fo11h herein.
IN WITNESS WHEREOF, the pat1ies hereto have caused this First Amendment to Supplemental Agreement for Assigned Project to be duly executed the day and year first above written.

This SECOND AMENDMENT TO MASTER PROFE SSIONAL CONSUL TANT SERVICES AGREEMENT ("Second Amendment "), is made and entered into this ___ day of _______ , 2022 ("Effective Date"), by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City"). and PFM FINANCJAL ADVISORS LLC, a Delaware limited liability company authorized to do business in California ("Consultant "), at 601 S. Figueroa Street , Suite 4500 , Los Angeles, CA 90017, in accordance with the following facts:
RECITALS
WHEREAS, the City and Consultant entered into a Master Professional Consu ltant Services Agreement for Financia l Advisory Services Panel (RFP No. 1757), on or about June 5, 2018 ("Master Agreement"); and
WHEREAS, the City and Consultant entered into a Supplementa l Agreement for Assigned Project for Financia l Forecast Serv ices (Phased Approach) (RFP No. 1757), on or about September 18, 2019 ("First Supplemental Agreement"); and
WHEREAS , the City and Cons ultant entered into a Supplemental Agreement for Assigned Project for Financia l Forecast Services for RPU-Related Debt (RFP No. 1757), on or about February 19, 2021 ("Second Supp lemental Agreement"); and WHEREAS, the City and Cons ultant entered into a First Ame ndment to Master Professiona l Consu ltant Services Agreeme nt ("First Amendment "), on or about May 5, 202 1; and WHEREAS, the City desires to have Consultant continue providing the services referenced in that Master Agreement; and
WHEREAS , the City and Consultant desire to amend the Master Agreement to extend the term of the Agreement for one additional year , to end June 30, 2023 .
NOW , THEREFORE , in consideration of the foregoing recitals , which are incorporated herein to the Master Agreement, the parties hereto mutually agree to the following amendment to the Agreement:
I. Section 2, "Te rm," is hereby amended to extend the term of the Agree ment for one additional year , to end June 30, 2023 .
2. Ongoi ng work pursuant to the Seco nd Supplemental Agree ment dated Februar y 19, 202 1, shal l conti nue to co mplet ion, but not later than Jun e 30, 2023.
3. There wi ll be no increase in the compensation amount for the serv ices rendered durin g the extended p eriod from July 1, 2022, throu gh Jun e 30, 2023. There will be no chan ge in the hourl y rate.
4. All other terms and condition s of the Master Agree ment betwee n the Parties which are not incons istent with the terms of this Second Ame ndm ent shal l remain in full force and effec t as if fully set fort h herein.
