SECOND AMENDMENT TO SERVICES AGREEMENT
QUALIFIED MOBILE, INC.
Municipal Pressure Washing and Cleaning Services for Various Sidewalks, Fixtures, Murals and Underpasses Located Throughout the City
This SECOND AMENDMENT TO SERVICES AGREEMENT ("Second Amendment") is made and entered into this _ 2022, by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City"), and QUALIFIED MOBILE, INC., a California corporation ("Contractor"), with reference to the following facts:
RECITALS
WHEREAS, City and Contractor entered into that certain Services Agreement for Municipal Pressure Washing and Cleaning Services for Various Sidewalks, Fixtures, Murals and Underpasses Located Throughout the City (Agreement") dated June 25, 2019 ("Agreement"'):
and
WHEREAS, City and Contractor entered into that certain First Amendment to Services Agreement for Municipal Pressure Washing and Cleaning Services for Various Sidewalks, Fixtures, Murals and Underpasses Located Throughout the City ("Agreement") dated May 19, 2022 ("First Amendment") to extend the term to June 30, 2024 and increase the compensation; and
WHEREAS, City and Contractor desire to clarify the services Contractor will be providing from "vandalism, graffiti, and/or decay" to "unforeseen and/or special events." NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated herein by this reference, City and Contractor mutually agree as follows:
Paragraph 3, "Compensation," is amended and replaced in its entirety as shown below:
"Compensation." City shall pay Contractor for the performance of the Services from July 1, 2022 to June 30, 2024, in the amount of Two Hundred Seventy-Four Thousand One Hundred Eleven Dollars and Twenty Cents ($274,111.20), including a ten percent (10%) contingency for unforeseen and/or special events, for a total amount of Six Hundred Sixty-Nine Thousand One Hundred Eleven Dollars and Twenty Cents ($669,111.20), and with one optional two-year extension. City shall pay Contractor for Services performed to City's satisfaction on a monthly basis in accordance with the provisions of the Compensation Schedule attached hereto as Exhibit "B-2" and incorporated herein by this reference.
2. All terms and conditions of the Agreement not inconsistent herewith, shall remain in full force and effect and are hereby incorporated by reference into this Second Amendment as though set forth in full herein.
