FIRST AMENDMENT TO SERVICES AGREEMENT
SERVICE FIRST
Annual Swimming Pool Maintenance Services (RFP No. 2012) This FIRST AMENDMENT TO SERVICES AGREEMENT ("First Amendment") is made and entered into this day of , 2023, by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City"), and SERVICE FIRST, a California corporation ("Contractor").
RECITALS
WHEREAS, on June 1, 2020, City and Contractor entered into a Services Agreement for Services for Annual Swimming Pool Maintenance Services (RFP No. 2012) ("Agreement"); and WHEREAS, the Agreement was for a three (3) year term beginning June 1, 2020, and ending June 30, 2023; and
WHEREAS, City and Contractor desire to extend the Agreement for an additional two (2) year term to begin July 1, 2023, and to end June 30, 2025, and to increase compensation in the amount of Two Hundred Fourteen Thousand Four Hundred Thirty-Nine Dollars ($214,439.00) per year, for a total of Four Hundred Twenty-Eight Thousand Eight Hundred Seventy-Eight Dollars ($428,878.00) for two (2) years, for the extended term of the Agreement, in accordance with the terms set forth in Exhibit "B-1," attached hereto and incorporated herein by this reference.
NOW, THEREFORE, in consideration of the foregoing recitals which are incorporated herein by this reference, City and Contractor agree as follows:
The term of the Agreement is hereby extended by two (2) years, to June 30, 2025.
Paragraph 3, Compensation, is hereby amended to increase compensation in the amount of Two Hundred Fourteen Thousand Four Hundred Thirty-Nine Dollars ($214,439.00) per year, for a total of Four Hundred Twenty-Eight Thousand Eight Hundred Seventy-Eight Dollars ($428,878.00) for two (2) years, for the extended term of the Agreement, in accordance with the terms set forth in Exhibit "B-1," attached hereto and incorporated herein by this reference.
3. All terms and conditions of the original Agreement not inconsistent with this First Amendment shall remain in full force and effect and are incorporated herein by this reference as though set forth in full.
