1 FIFTH AMENDMENT TOPROFESSIONAL CONSULTANT SERVICES AGREEMENTAPPELEONE, INC., fka HOWROYD-WRIGHT EMPLOYMENT AGENCY, INC. dba APPLEONE EMPLOYMENT SERVICES Temporary Employment Services – RFP No. 1726 THIS FIFTH AMENDMENT TO PROFESSIONAL CONSULTANT SERVICES AGREEMENT (“Fifth Amendment”) is made and entered into this ______ day of ____________________, 2023, by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation (“City”), and APPLEONE, INC., a California corporation, formerly known as HOWROYD-WRIGHT EMPLOYMENT AGENCY, INC., a California corporation doing business as APPLEONE EMPLOYMENT SERVICES (“Consultant”), with respect to the following: RECITALS WHEREAS, the City and Consultant entered into that certain Professional Consultant Services Agreement dated June 12, 2018 (“Agreement”), for Temporary Employment Services – RFP No. 1726 (“Project”); and WHEREAS, the City and Consultant entered into that certain First Amendment to Professional Consultant Services Agreement dated June 25, 2019 (“First Amendment”), for Temporary Employment Services – RFP No. 1726; and WHEREAS, the City and Consultant entered into that certain Second Amendment to Professional Consultant Services Agreement dated July 29, 2020 (“Second Amendment”), for Temporary Employment Services – RFP No. 1726; and WHEREAS, the City and Consultant entered into that certain Third Amendment to Professional Consultant Services Agreement dated June 22, 2021 (“Third Amendment”), for Temporary Employment Services – RFP No. 1726; and WHEREAS, the City and Consultant entered into that certain Fourth Amendment to Professional Consultant Services Agreement dated June 22, 2022 (“Fourth Amendment”), for Temporary Employment Services – RFP No. 1726; and WHEREAS, the City has been satisfied with Consultant’s performance under the Agreement and desires to have Consultant continue providing the services referenced in that Agreement; and WHEREAS, the Agreement is currently set to expire on June 30, 2023; and WHEREAS, the City and Consultant desire to amend the Agreement to extend the term for one (1) additional year to June 30, 2024. 2 NOW, THEREFORE, incorporating the recitals, which are incorporated herein by this reference, City and Consultant agree as follows:1. The term of the Agreement is hereby extended by one (1) additional year to June 30, 2024. 2. All other terms and conditions of the Agreement, which are not inconsistent with the terms of this Fifth Amendment, shall remain in full force and effect as if fully set forth herein.
