AGREEMENT
NOW, THEREFORE, for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties hereto hereby agree as follows:

1. Defined Terms. All capitalized terms used but not defined in this Sixth Amendment shall have their respective meanings as set forth in the Lease unless expressly superseded by the terms of this Amendment.

Term. The current Lease Term expires on August 31, 2025 and is hereby extended for an additional period of eighteen (18) months (such period, the "Extended Lease Term"). The Extended Lease Term shall commence on September 1, 2025 (the "Extended Term Commencement Date") and expire on February 28, 2027 ("Extended Expiration Date"), unless sooner terminated or extended in accordance with the terms of the Lease (as amended hereby).

The parties agree that Lessee shall have the right to further extend the Extended Lease Term for an additional period of five (5) years in accordance with the terms of Section 62 of the Lease and, if exercised, such renewal term shall commence on March 1, 2027 and expire on February 29, 2032, unless sooner terminated or extended in accordance with the terms of the Lease.

Rent. Effective as of the Extended Term Commencement Date (September 1, 2025), Base Rent due and payable hereunder shall be Three Dollars and 15/100 ($3.15) per rentable square foot of the Retained Premises (as defined below) on a full service gross basis and shall escalate by three percent (3%) per annum on the first anniversary of the Extended Term Commencement Date (i.e., on September 1, 2026) and on each September 1 thereafter during the Extended Lease Term, as more fully set forth in the rental chart below. Notwithstanding the foregoing, Lessee shall have no obligation to pay Base Rent for the first full calendar month of the Extended Lease Term, and Base Rent shall be fully abated for such calendar month commencing on September 1, 2025 and continuing through September 30, 2025.

The Base Rent during the Extended Lease Term is as follows:

9/1/26 - 2/28/27 $223,093.44 $18,591.12
*Subject to September 2025 rental abatement set forth above.

Reduction of Premises: Area of Premises. Lessee desires to surrender a portion of the Existing Premises (such portion, the "Surrender Space") consisting of approximately 1,324 rentable square feet. Effective as of the date of Lessee's receipt of written notice from Lessor of Lessor's Substantial Completion of Lessor's Work as described in Sections 7 and 8 below (the "Retained Premises Effective Date"), the definition of "Premises" set forth in Section 1.2 of the Lease shall be revised to mean and refer to the Retained Premises (i.e., the Existing Premises less the Surrender Space). Each of the Retained Premises and the Surrender Space are more fully depicted on Exhibit "A" to this Sixth Amendment, which Exhibit is attached hereto and incorporated herein by this reference. As of the Retained Premises Effective Date, the rentable square feet of the Retained Premises shall be approximately 5,738 rentable square feet (the -2-
"Retained Premises" or the "Premises"). As stated in Paragraph 3 above, commencing on the Retained Premises Effective Date and continuing through August 31, 2025 (i.e., the day immediately prior to commencement of the Extended Lease Term), Lessee shall pay Base Rent for the Retained Premises at the rental rate set forth for such period in the Fourth Amendment to the Lease, calculated upon the Retained Premises' rentable square feet.

5. Lessee's Proportionate Share. Effective as of the Retained Premises Effective Date, Lessee's Share of Operating Expense Increase shall be reduced to 4.6%, which is calculated by dividing rentable square footage of the Retained Premises (5,738) by the building square footage of 124,986.

6. Base Year. Effective as of the Extended Term Commencement Date (i.e., September 1, 2025), the term "Base Year" as defined in Section 4.2(b) of the Lease is adjusted to calendar year 2026. For purposes of clarity, Lessee shall have no obligation to pay Lessee's Share of the Operating Expense Increase from the Extended Term Commencement Date through December 31, 2026. Lessee's obligation under the Lease to pay Lessee's Share of Operating Expense Increase over the Operating Expenses incurred in Base Year of 2026 shall commence on January 1, 2027, in accordance with the terms of the Lease, as amended hereby.

7. Lessor's Work. (a) Lessor, at its sole cost and expense, shall be responsible for the permitting, performance and completion of all work associated with Lessee's surrender of the Surrender Space and continued occupancy of the Retained Space (as shown in Exhibit A and further described in Section 8 hereto, including without limitation, all work necessary for the separate demising of the Surrender Space from the Retained Premises and the finishing of the Retained Premises, all of the foregoing in accordance and compliance with the plans and drawings approved by Lessee and with any and all federal, regional, and local laws, code and regulations, including without limitation, compliance with the Americans with Disabilities Act (ADA) and Title 24 of the California Building Energy Efficiency Standards ("Title 24") (collectively, "Lessor's Work"), subject to the terms and conditions set forth herein. Lessor will retain its own architect for the preparation and submittal of construction documents, design development, construction administration, application for governmental approvals and permits and issuance of certificates of occupancy for the Retained Premises. Lessee's project management team and Lessor's architect shall meet within ten (10) calendar days after the execution of this Sixth Amendment to coordinate the preparation of construction documents, design development and construction administration for Lessor's Work. Lessor's architect shall also coordinate with Lessee's project management team in the development of Lessee's finish palette for the Retained Premises, reconfiguration of the reception area in the Retained Premises and the reconfiguration of a large office into two smaller offices within the Retained Premises. (b) Lessee will review the above-referenced plans and drawings solely for purposes of determining if such plans and drawings satisfy Lessee's space and finish standards, it being understood and agreed that Lessee's review and/or approval of such plans and drawings shall in no event be deemed Lessee's determination or agreement that such plans and drawings comply with applicable laws, codes and/or regulations. Lessee shall provide feedback on such plans and drawings, together with any adjustments to meet Lessee space and finish standards, within fourteen (14) calendar days from the date Lessee receives the above-referenced plans and drawings from Lessor. -3-
"Substantial Completion" of Lessor's Work in the Premises shall occur upon Lessor's completion of Lessor's Work specified in Section 7 hereto in conformance in all respects with the Lessee- approved plans and drawings, including without limitation, the work specified in Section 8 below, with the exception of any minor punch list items. As used herein, a minor punch list item means any item of Lessor's Work, the noncompletion of which shall not interfere with or disturb Lessee's use and occupancy of the Retained Premises for the conduct of business. Lessor shall notify Lessee in writing at least three (3) business days before Lessor in good faith anticipates achieving Substantial Completion of Lessor's Work and the parties shall thereafter execute a Retained Premises Effective Date Memorandum, in substantially the same form as the form attached hereto as Exhibit C, subject to any modifications thereto as may be required for accuracy. Lessor shall complete Lessor's Work within ninety (90) days from the date of execution of this Sixth Amendment. Lessee shall have no obligation of any kind for payment of any portion of Lessor's Work (whether through Operating Expenses or otherwise), for the cure of any non-compliant conditions within the Building as a result of Lessee's surrender of the Surrender Space or within the Surrender Space or Retained Premises, for any defects in Lessor's Work or for any mechanic liens asserted or imposed against the Premises in connection with Lessor's Work and Lessor shall be solely responsible for the payment thereof. The cost thereof shall not be included in Operating Expenses. Lessee's occupancy of the Retained Premises shall in no event be deemed Lessee's approval or acceptance of the Lessor's Work, or its determination that such Lessor's Work is in compliance with laws, codes and/or regulations

8. Lessor's Work. Without limiting the generality of the foregoing description of Lessor's Work, Lessor's Work shall also include the following, at Lessor's sole cost and expense and may be accomplished through an agent:
a) Reconfigure and provide new reception area as shown on Exhibit A within the Retained Premises with finishes and standards approved by Lessee to match Lessee's finish palette;
b) Install and finish a demising wall to separate Lessee's Retained Premises from the Surrender Space:

f) Extend demising walls of the Retained Premises only to the underside of the deck above and patch ceiling within Retained Premises (with matching ceiling tiles) where required (which may require relocating mechanical, electrical, and plumbing ("MEP") systems that impede construction of the demising wall); g) Provide Level 4 finish to only the affected walls within the Retained Premises, and Lessor shall finish such noted areas of the Retained Premises with minimal imperfections and in a condition ready to apply paint or wall covering; h) Coordinate with Lessee's project management team prior to furniture removal from the Surrender Space and/or Retained Premises as needed to minimize any -4-
disruption of Lessee's conduct of business and coordinate with Lessee regarding low voltage cabling relocation and disconnect as needed:

Perform and complete all improvements, installation of fixtures, alterations and other components of Lessor's Work in compliance with all applicable laws, codes and regulations (including ADA compliance throughout the Retained Premises), obtain necessary municipality approvals for Lessor's Work, and perform all Lessor's Work in compliance with Title 24 in the Retained Premises (including without limitation, the new smaller offices being constructed; j) Perform and complete all work after hours and, as reasonable, work diligently to avoid any disruption to Lessee's conduct of business; and k) Obtain all requisite governmental or municipal permits, inspections and approvals for all Lessor's Work, along with an amended certificate of occupancy for the Retained Premises upon completion of Lessor's Work. Lessor shall deliver a copy of the certificate of occupancy for the Retained Premises to Lessee immediately upon receipt thereof. Lessor acknowledges and agrees that Lessee shall continue in occupancy of the Retained Premises for the conduct of business during performance of Lessor's Work. Lessor's receipt of such governmental approvals and certificate of occupancy shall in no event be deemed a minor punch list item.

9. Parking. As of the Retained Premises Effective Date, Section 2.2 of the Lease (as modified by Paragraph 9 of the Fourth Amendment) is hereby further amended to provide that Lessee shall be entitled to rent and use up to a total of twenty-three (23) parking spaces in the parking structure attached to the Project at the current rates then in effect for unreserved and/or reserved parking spaces as the case may be, which rates are subject to change no more than one (1) time per year, upon sixty (60) days' advance written notice to Lessee. Except as otherwise stated herein, the terms of Section 2.2 of the Lease (as modified by, among other revisions, Paragraph 9 of the Fourth Amendment) remain in full force and effect.

10. Signage. Lessee has an existing right to install building-top signage on the Building ("Building-Top Signage") in the location referenced in Section 10 of the Fourth Amendment and identified on Exhibit B to the Fourth Amendment ("Building-Top Signage Location"). As of the date hereof, Lessee has not exercised its right to such Building-Top Signage. Lessee agrees to exchange its right to the current Building Top-Signage Location, for the right to install its exterior Building signage (Lessee's "New Building Top and Eyebrow Signage") in the two alternate signage locations identified on Exhibit B, attached hereto, and identified as locations "1"and "2" the "Building's Signage Locations"). Any signage installed by Lessee in one or both of Lessee's New Building Top and Eyebrow Building Signage Locations must i) comply with all applicable governmental laws, statutes, regulations, rules, codes and ordinances, ii) comply with the Building's sign criteria attached hereto as Exhibit E, and iii) be approved in advance by Lessor as to design, location and manner of attachment to the Building, which approval may not be unreasonably withheld, delayed or conditioned. Lessor hereby approves the specifications of Lessee's Signage, attached hereto and made a part hereof as Exhibit D ("Lessee's Exterior Signage Specifications"). Lessor further agrees that Lessee's exterior signage specifications attached to the Fourth Amendment as Exhibit D thereto, continue to satisfy all requirements set forth herein and are approved by Lessor. All costs associated with the design, planning, permitting, fabrication, construction, maintenance, the cost of any electrical consumption illuminating -5-
Lessee's New Building Top and Eyebrow Signage and ultimate removal of any New Building Top and Eyebrow Signage installed by Lessee pursuant to this Amendment, including any repairs to the Building necessitated as a result of the installation or removal of Lessee's New Building Top and Eyebrow Signage, shall be at Lessee's sole cost and expense.

11. Sustainability/Green Initiatives. Lessor understands that Lessee is committed to increasing the number of green leases in its portfolio to meet Lessee's sustainability goals. Lessor hereby agrees to cooperate with Lessee in its sustainability efforts, which may include, without limitation, the following: (i) providing access to the Building's emissions annual performance data, if available, (ii) providing access to energy, water and waste performance data on a quarterly basis, if available, and (iii) permitting Lessee to submeter the Premises' electric and water consumption, in accord with the City of Riverside Electric and Water Rules and Rates, as amended from time to time and with all costs paid for by Lessee. In addition, Lessee seeks to align its "green" lease goals with Lessor's sustainability efforts and to that end, encourages Lessor to contact Lessee with opportunities to collaborate and/or potentially share costs of sustainability projects benefitting the Building and the Premises. If Lessor has a proposal for a project to upgrade the energy and water conservation equipment and systems or otherwise improve the environmental performance of the Building/and or the Premises, the Lessee requests that Lessor contact Lessee's green leasing team at [email protected] to further discuss such opportunities.

(on behalf of Lessee) (such brokers, collectively, "Broker"). Lessor covenants that it shall pay a market standard brokerage commission to Broker in accordance with a separate agreement between Broker and Lessor. Each party covenants and agrees to indemnify, protect, hold harmless and defend the other party (with counsel reasonably satisfactory to the indemnified party from and against any and all claims, demands, losses, liabilities, lawsuits, judgments and costs or expenses (including without limitation, reasonable attorneys' fees) and other liability for commissions or other compensation claimed by any broker or agent, other than the Broker (or either of them) with respect to this Sixth Amendment, claiming through the indemnifying party and/or arising as a result of a breach of the foregoing representation and warranty. Lessor shall indemnify, protect, defend and hold Lessee harmless from and against any claim made by the Broker (or either of them) claiming Lessor's breach of its covenant of payment hereunder.

Conflict or Inconsistency. In the event there is any conflict or inconsistency between the terms and conditions of this Sixth Amendment and the terms and conditions of the Lease, the terms and conditions of this Sixth Amendment shall govern and control the rights and the obligations of the parties.

14. Effect of Sixth Amendment. Except as set forth in this Sixth Amendment, all other terms and conditions of the Lease shall remain unmodified and in full force and effect.
