FIRST AMENDMENT TO AGREEMENT FOR PARKING ACCESS AND REVENUE
CONTROL EQUIPMENT
TIBA PARKING SYSTEMS, LLC
THIS FIRST AMENDMENT TO AGREEMENT FOR PARKING ACCESS AND REVENUE CONTROL EQUIPMENT ("First Amendment") is made and entered into this day , 2023, by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City") and, TIBA PARKING SYSTEMS, LLC, a Georgia limited liability company authorized to do business in California, 565 W. Lambert Rd., Brea, CA 92821, State Contractor's License No. 1043610 ("Contractor"), with respect to the following facts:
RECITALS
WHEREAS, on or about July 18, 2022, the City and Contractor entered into an Agreement for Parking Access and Revenue Control Equipment ("Agreement"); and WHEREAS, City and Contractor desire to amend the compensation to include fees for Garage 1 and Garage 2 in the amount of One Million Eight Hundred Eighty-Three Thousand Eight Hundred Forty Dollar and Four Cents ($1,883,840.04).
NOW, THEREFORE, in consideration of the foregoing recitals which are incorporated herein by this reference, City and Contractor agree as follows:
Section 3 of the Agreement, Consideration, is hereby deleted in its entirety and replaced as follows:
3. Compensation. City shall pay Contractor for the performance of the Services during the initial six (6) year term of this Agreement a Contract Price not to exceed One Million Eight Hundred Eighty-Three Thousand Eight Hundred Forty Dollars and Four Cents ($1,883,840.04). City shall pay Contractor for Services performed to City's satisfaction in accordance with the provisions of the RFP, and the Compensation Schedule attached hereto as Exhibit "B" and incorporated herein by this reference. Pricing is to remain firm for the initial contract Term.
Should the option to renew for additional years be exercised, City and Company shall adhere to the Compensation Schedule attached as Exhibit B for years 7 through 10 unless earlier terminated as provided herein. All such extensions/amendments shall be made in writing and approved by the parties.
Exhibit "B" of the Agreement, Compensation Schedule, is deleted in its entiret nd replaced with Exhibit "B-1" attached hereto and incorporated herein by this reference.
All terms and conditions of the Agreement not inconsistent with this First Amendment shall remain in full force and effect and are incorporated herein by this reference as if set forth in full.
