FIRST AMENDMENT TO AGREEMENT
FOR LANDSCAPE MAINTENANCE SERVICES FOR
Landscape Maintenance Services - Fairmount Golf Course - RFP 1818 BRIGHTVIEW GOLF MAINTENANCE, INC.
THIS FIRST AMENDMENT TO AGREEMENT FOR LANDSCAPE MAINTENANCE SERVICES (First Amendment"), is made and entered into this day of (Elective Date") between CITY OF RIVERSIDE, a California charter city and municipal corporation ("'City") and BRIGHTVIEW GOLF MAINTENANCE, INC., a California corporation ("Contractor"), on the terms and conditions set forth below.
WHEREAS, the City and Contractor entered into certain Agreement for Landscape Maintenance Services for Landscape Maintenance Services - Fairmount Golf Course - RFP 1818, dated November 30, 2018 ("Agreement"); and
WHEREAS, Paragraph 2 of the Agreement states that the Agreement term is effective January 1, 2019, and terminates December 31, 2023; and
WHEREAS, Section 3, Compensation, of the Agreement states that if the term of the Agreement is extended, Contractor's compensation for the extended term shall be mutually agreed upon in writing by the parties; and
WHEREAS, City has been satisfied with Contractor's performance under the Agreement and desires to have Contractor continue providing services referenced in that Agreement; and WHEREAS, City and Contractor wish to amend the Agreement for one (1) additional year, terminating December 31, 2024; and
WHEREAS, City and Contractor desire to amend the Agreement in the amount of Three Hundred Ninety-Seven Thousand Nine Hundred Seventy-Nine Dollars ($397,979.00) and authorize fifteen percent (15%) change order authority in the amount of Fifty-Nine Thousand Six Hundred Ninety-Six Dollars and Eighty-Five Cents ($59,696.85) for the contract term.
NOW, THEREFORE, in consideration of the foregoing recital which are incorporated herein by this reference, City and Contractor agree as follows:
1. The term of the Agreement is hereby extended for one (1) year period terminating December 31, 2024.
2. Section 3, Compensation, of the Agreement is hereby removed in its entirety and replaced with the following:
1 Compensation. City shall pay Contractor for the performance of the Services in the amount of Three Hundred Ninety-Seven Thousand Nine Hundred Seventy-Nine Dollars ($397,979.00) and a fifteen percent (15%) change order authority in the amount of Fifty-Nine Thousand Six Hundred Ninety-Six Dollars and Eighty-Five Cents ($59,696.85) for a total amount not to exceed Four Hundred Fifty-Seven Thousand Six Hundred Seventy- Five Dollars and Eighty-Five Cents ($457,675.85) for the contract term."
3. The Compensation Schedule Exhibit "B" of the Agreement is hereby removed in its entirety and replaced with Exhibit "B-I" attached hereto and incorporated herein by this reference.
4. All terms and conditions of the original Agreement, not inconsistent with this First Amendment, shall remain in full force and effect as if fully set forth herein. [SIGNATURES ON THE FOLLOWING PAGE.]
