SERVICES AGREEMENT
ARG CONSERVATION SERVICES, INC.
Removal of Inscription Panel at Harada House
On this 24 day of NNemBeR _ 20_/3, the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City"), and ARG CONSERVATION SERVICES, INC., a California corporation ("Contractor"), mutually agree as follows:
1. Scope of Services. Contractor shall furnish all labor, materials and equipment for and perform the work of Removal of Inscription Panel at Harada House ("Services"). Contractor shall perform the Services in accordance with the provisions and requirements of the Scope of Services attached hereto as Exhibit "A" and incorporated herein by reference.
Term. This Agreement shall be in effect for one (1) calendar year from the effective date of this Agreement, unless otherwise terminated pursuant to the provisions herein.
Compensation. City shall pay Contractor for the performance of the Services during the initial term of this Agreement a Contract Price not to exceed One Hundred Twenty- Nine Thousand Eight Hundred Twenty-Four Dollars and Twenty-Three Cents ($129,824.23), unless an increase is agreed to by the parties. City shall pay Contractor for Services performed to City's satisfaction on a monthly basis in accordance with the provisions of the Compensation Schedule attached hereto as Exhibit "B" and incorporated herein by this reference. If the term of the Agreement is extended, Contractor's compensation for the extended term shall be mutually agreed upon in writing by the parties.
4 General Compliance with Laws. Contractor shall keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Contractor, or in any way affect the performance of Services by Contractor pursuant to this Agreement. Contractor shall at all times observe and comply with all such laws, ordinances and regulations, and shall be solely responsible for any failure to comply with all applicable laws, ordinances and regulations.
5. Business Tax Certificate. As a condition of this Agreement, Contractor shall secure a business tax certificate to operate in the City of Riverside pursuant to Chapter 5.04 of the Riverside Municipal Code, and shall also secure any other licenses or permits which may be required.
6. Business Tax and Penalties. Contractor acknowledges and agrees that with respect to any business tax or penalties thereon, utility charges, invoiced fee or other debt which is owed, or which becomes owed, by Contractor to City, City reserves the right to withhold and offset said amounts from any payments, refunds or reimbursements owed by City to Contractor under the Agreement. Notice of such withholding and offset shall promptly be given to Contractor by City in writing. In the event of a dispute as to the amount owed or whether such amount is owed to City, 1 City will hold such disputed amount until either the appropriate appeal process has been completed or until the dispute has been resolved.
7. Personnel. Contractor shall furnish all personnel necessary to perform the Services and shall be responsible for their performance and compensation. The key personnel are listed in Exhibit "C," attached hereto and incorporated herein by reference. Contractor shall furnish qualified personnel to perform the Services.
8. Assignment and Subcontracting. Neither party shall assign any right, interest, or obligation in or under this Agreement to any other entity without prior written consent of the other party. In any event, no assignment shall be made unless the assignee expressly assumes the obligations of assignor under this Agreement, in a writing satisfactory to the parties. Contractor acknowledges that any assignment may, at the City's sole discretion, require City Manager and/or City Council approval. Contractor shall not subcontract any portion of the work required by this Agreement without prior written approval by the responsible City Contract Administrator.
Subcontracts, if any, shall contain a provision making them subject to all provisions stipulated in this Agreement, including without limitation, the insurance obligations set forth in Section 11. The Contractor acknowledges and agrees that the City is an intended beneficiary of any work performed by any subcontractor for purposes of establishing a duty of care between any subcontractor and the City.
9. Independent Contractor. In the performance of this Agreement, Contractor, and Contractor's employees, subcontractors and agents, shall act in an independent capacity as independent contractors, and not as officers or employees of the City of Riverside. Contractor acknowledges and agrees that the City has no obligation to pay or withhold state or federal taxes or to provide workers' compensation or unemployment insurance to Contractor, or to Contractor's employees, subcontractors and agents. Contractor, as an independent contractor, shall be responsible for any and all taxes that apply to Contractor as an employer.
10. Indemnification. Contractor shall indemnify and hold harmless the City, and the City's employees, officers, managers, agents and council members from any liability, claim, damage or action whatsoever, arising out of the sole negligence or willful misconduct of Contractor, its officers, employees, subcontractors, agents or including but not limited to property damage, bodily injury, or death. Contractor shall defend, at its sole cost and expense, including but not limited to attorney fees, cost of investigation, defense and settlement or awards, the City and the City's employees, officers, managers, agents and council members in any such action or claim. With respect to any action or claim subject to indemnification herein by Contractor, Contractor shall, at its sole cost, have the right to use counsel of its own choice and shall have the right to adjust, settle, or compromise any such action or claim without the prior consent of City; provided, however, that any such adjustment, settlement or compromise in no manner whatsoever limits or circumscribes Contractor's indemnification of City. Contractor's obligations hereunder shall be satisfied when Contractor has provided to City the appropriate form of dismissal (or similar document) relieving the City from any liability for the action or claim involved. The specified insurance limits required in this Agreement shall in no way limit or circumscribe Contractor's obligations to indemnify and hold harmless the City.
2 11. Insurance.
11.1 General Provisions. Prior to the City's execution of this Agreement, Contractor shall provide satisfactory evidence of, and shall thereafter maintain during the term of this Agreement, such insurance policies and coverages in the types, limits, forms and ratings required herein. The rating and required insurance policies and coverages may be modified in writing by the City's Risk Manager or City Attorney, or a designee, unless such modification is prohibited by law.
11.1.1 Limitations. These minimum amounts of coverage shall not constitute any limitation or cap on Contractor's indemnification obligations under Section 10 hereof.
11.1.2 Ratings. Any insurance policy or coverage provided by Contractor or subcontractors as required by this Agreement shall be deemed inadequate and a material breach of this Agreement, unless such policy or coverage is issued by insurance companies authorized to transact insurance business in the State of California with a policy holder's rating of A or higher and a Financial Class of VII or higher.

11.2 Workers' Compensation Insurance. By executing this Agreement, Contractor certifies that Contractor is aware of and will comply with Section 3700 of the Labor Code of the State of California requiring every employer to be insured against liability for workers' compensation, or to undertake self-insurance before commencing any of the work. Contractor shall carry the insurance or provide for self-insurance required by California law to protect said Contractor from claims under the Workers' Compensation Act. Prior to City's execution of this Agreement, Contractor shall file with City either 1) a certificate of insurance showing that such insurance is in effect, or that Contractor is self-insured for such coverage, or 2) a certified statement that Contractor has no employees, and acknowledging that if Contractor does employ any person, the necessary certificate of insurance will immediately be filed with City. Any certificate filed with City shall provide that City will be given ten (10) days' prior written notice before modification or cancellation thereof.

Prior to City's execution of this Agreement, Contractor shall obtain, and shall thereafter maintain during the term of this Agreement, commercial general liability insurance and automobile liability insurance as required to insure Contractor against damages for personal injury, including accidental death, as well as from claims for property damage, which may arise from or which may concern operations by anyone directly or indirectly employed by, connected with, or acting for or on behalf of Contractor. 3 The City, and its officers, employees and agents, shall be named as additional insureds under the Contractor's insurance policies.
11.3.1 Contractor's commercial general liability insurance policy shall cover both bodily injury (including death and property damage (including, but not limited to, premises operations liability, products-completed operations liability, independent contractor's liability, personal injury liability, and contractual liability) in an amount not less than $1,000,000 per occurrence and a general aggregate limit in the amount of not less than $2,000,000.
11.3.2 Contractor's automobile liability policy shall cover both bodily injury and property damage in an amount not less than $1,000,000 per occurrence and an aggregate limit of not less than $1,000,000. 11.3.3 Prior to City's execution of this Agreement, copies of insurance policies or original certificates along with additional insured endorsements acceptable to the City evidencing the coverage required by this Agreement, for both commercial general and automobile liability insurance, shall be filed with City and shall include the City and its officers, employees and agents, as additional insureds. Said policies shall be in the usual form of commercial genera and automobile liability insurance policies, but shall include the following provisions:

b. The policy shall specify that the insurance provided by Contractor will be considered primary and not contributory to any other insurance available to the City and Endorsement No. CG 20010413 shall be provided to the City.
12. Termination. City shall have the right to terminate any or all of Contractor's Services and work covered by this Agreement at any time upon thirty (30) calendar days' written notice to Contractor. In the event of such termination, Contractor shall submit Contractor's final written statement of the amount of services provided as of the date of such termination for payment by the City.
4 Notwithstanding the foregoing, the City may terminate Contractor's performance of this Agreement upon five (5) calendar days' written notice if:
(1) | Contractor fails to promptly begin performance of the Services; (2) Contractor fails to perform the Services;
(3) Contractor discontinues performance of the Services; (4) Contractor fails to make payment to employees in accordance with applicable law;
(5) Contractor disregards laws, ordinances, or rules, regulations, or orders of a public authority having jurisdiction;

15. Conflict of Interest. Contractor, for itself and on behalf of the individuals listed in Exhibit "C", represents and warrants that by the execution of this Agreement, they have no interest, present or contemplated, affected by the above-described Services. Contractor further 5 warrants that neither Contractor, nor the individuals listed in Exhibit "C" have any real property, business interests or income interests that will be affected by this project or, alternatively, that Contractor will file with the City an affidavit disclosing any such interest.
16. Solicitation. Re: Proposal for the Harada House Inscription Panel
Dear Ann:
ARG Conservation Services, Inc. (ARG/CS) is pleased to provide the following proposal for conservation services related to the Harada House, located at 3356 Lemon Street in Riverside, California. The Harada House is a two-story wood-framed house, constructed in 1884, and associated with an important constitutional test of the California Alien Land Law of 1913. It was recognized as a National Historic Landmark in 1990. Original interior plaster finishes are largely intact. One area of the second floor contains a handwritten notation of when the Harada family was forced into a Japanese internment camp. The plaster walls are generally deteriorated, in part due to lack of repairs or maintenance, and in part due to non- uniform movement of the house foundations and seismic activity.
In April 2018, ARG performed an assessment of the inscription panel following concerns of a new crack that developed adjacent to the notation. At that time, we provided recommendations for protection, monitoring and temporary treatments, as well as considerations for potential removal (see report dated April 30, 2018 for further information). We understand that there are plans to strengthen the house foundations, and address the non-uniform movement concerns, including possible jacking of the house to return the floors to level. The house has settled very slowly over time, so any sudden or frequent attempts to level the framing will most likely result in additional cracking and plaster damage. Therefore, there is a desire to remove the inscription panel for its protection, and reinstall it at later date.
To that end, ARG/CS has prepared the following proposal for your consideration, which includes stabilization, removal, and crating for protection. Due to the deteriorated condition, the plaster wall at the inscription panel will require pre-treatment and stabilization prior to removal. This will include general cleaning to remove surface soiling, filling of cracks at the interior surface with a reversible vinyl or acrylic fill material, and consolidation of the exterior side of the plaster wall to reinforce any cracks or broken keys.
This work must be performed a minimum of one month prior to removal so that the consolidant has sufficient time to reach full strength. In the interim, the wall will be protected in place. Following the cure period, ARG/CS will return to the site to remove and crate the panel for storage and protection. See the full scope of work outlined below.

Proposed Scope of Work
Preparation and Documentation:
Provide submittals (work plan and schedule) and coordinate access with the project team.
Mobilize materials and tools on site, and coordinate with lift company for scissor lift rental (2 days).
Remove exterior T1-11 siding panels and interior protection materials (plexiglas, plywood, and Tyvek) to expose the wall area at both sides.
• Document existing conditions through photographs and field notes, noting any plaster cracks or other conditions that may require stabilization treatment.
Cleaning and Stabilization:
• Wall surfaces will be cleaned with soft bristle brushes and a HEPA vacuum to remove loose soiling and debris.
• At the interior side, the existing hairline crack and any other cracks observed within the removal area will be filled with a vinyl or acrylic fill material. This is a temporary stabilization method to prevent cracks from spreading or lengthening. These fill materials are reversible and softer than the surrounding plaster.
At the exterior side, consolidate the lath and plaster using an acrylic resin-based adhesive or micro- grout. Treatment will include pre-wetting with water and alcohol solutions (to ensure good depth of penetration) and injecting the adhesive into cracks and voids to strengthen broken keys.
Consolidant materials will be tested in a small inconspicuous area prior to use to confirm no adverse effects, such as staining.
• The adhesive will dry within 24 hours but will take some time to reach full strength (typically about a month.
In the interim, reinstall exterior siding panels and interior protection materials. • Clean up and demobilize the work site.
Preparation for Removal:
• Submit safety documentation and coordinate scheduling and work access with the project team. • Mobilize materials and tools on site.
• Coordinate with scaffold company to provide fixed scaffolding at exterior, including material hoist.
Remove exterior T1-11 siding panels and interior protection materials (plexiglas, plywood, and Tyvek) to expose the wall area to be removed at both sides. Materials will be salvaged for reinstallation.
Document existing conditions, and confirm stabilization methods performed are sound and no additional plaster cracks have developed since that time.
Wall Panel Removal:
• Carefully sawcut the plaster wall through its entire depth, including the wood wall studs. See attached exhibit for approximate size and location.
• Sawcutting to be performed with diamond blades and attached vacuum hoses to limit dust; may also use wet cutting techniques to limit dust.
• Wood wall studs supporting the lath and plaster are to be cut near the top and bottom of the wall.
ARG/CS to coordinate with the Structural Engineer for location of cuts. • Following cutting, wall panel to be carefully removed from the exterior onto scaffolding and placed inside a custom padded crate.
• Coordinate with Cooke's Crating, Los Angeles for crate design and delivery.
Crate to be lowered from scaffolding to the ground via hoist or other appropriate method as determined by the project team.

TOLAND HALL MURAL REMOVAL
Location: San Francisco, CA
Client: University of California. San Francisco
The History of Medicine in California murals were commissioned in 1935 as part of the Works Progress Administration (WPA).
Construction of the mural began in 1936 and was finished in 1940. The murals were executed by muralist Bernard Zakheim and his assistant, Phyllis Wrightson, in the true fresco technique. In 1948, the murals were completely covered by wallpaper applied directly to the surface, which was then painted over with a white linseed oil-based paint. Paintings were also hung by nails hammered into the murals. In 1962-63, the wallpaper was removed from all the murals, causing plaster and pigment loss. In 1977, the murals underwent an extensive restoration treatment by Nathan Zakheim, which included stabilization, consolidation, cleaning, filling, retouching, and an overall varnish application.
In preparation for the demolition of Toland Hall to make way for a new research and academic facility, UCSF selected ARG Conservation Services (ARG/CS) to lead a team of general and speciality contractors to remove the twelve murals and relocate them to an off-site storage location.
ARG Conservation Services, Inc. | Contractor Lic.# 799537 | www.argcs.com / Pier 9. The Embarcadero, Suite 107 | San Francisco, CA 94111 This design-build project consisted of three phases: design (1), permitting and conservation (2), and construction/mural relocation (3). Transporting murals that are architecturally integrated into buildings has an inherently high level of risk for damage. The primary goal of the design phase was to develop a comprehensive mural treatment and design/engineer a framed support system for deinstallation and relocation. Fresco mural stabilization included the following: (1) cleaning and poultice application to remove salts, (2) plaster compensation to fill voids and pitting associated with salts, (3) paint reattachment to stabilize previous interventions, (4) grout injections to fill voids associated with delamination and cracks, and (5) installation of temporary facing. All stabilization treatments were conducted by EC2 Art Conservation. To relocate the murals, the following tasks were required: (1) selective demolition and hazardous materials abatement to gain access to Toland Hall, (2) installation of steel frame supports to each mural; and (3) rigging and relocation. A vibration specialist was added to team during the construction phase to analyze transportation risks so that the team could finalize relocation plans. The murals were relocated to the storage facility in two moves.
