SECOND AMENDMENT TO SERVICES AGREEMENT
FOR
GALLS, LLC
This SECOND AMENDMENT TO SERVICES AGREEMENT ("Second Amendment") OF RIVERSIDE, a California charter city and municipal corporation ("City"), and GALLS, LLC., a Delaware limited liability company authorized to do business in California ("Contractor").
RECITALS
WHEREAS, on August 2, 2021, City and Contractor entered into a Services Agreement to furnish all labor, materials, and equipment for and perform the work of Providing the Riverside Fire Department with Station Uniforms and Accessories (RFB No. 7827) ("Agreement"); and WHEREAS, the Agreement was for a one (1) year term beginning August 2, 2021, and ending August 2, 2022; and
WHEREAS, once the Initial Term has terminated, and upon mutual written consent of City and Contractor, the Agreement may be extended for up to four (4) additional one-year terms, not to exceed a total Agreement term of five (5) years; and WHEREAS, on July 20, 2021, the City Council awarded Galls, LLC Bid No. 7827 for the purchase of Fire Department uniforms and accessories in the amount of Eighty Thousand Dollars ($80,000) for Fiscal Year 2021/22 and authorized the City Manager, or designee, to execute the Service Agreement with Galls, LLC, including making minor and non-substantive changes, and to execute the four (4) optional one-year extensions in the amount of Eighty Thousand Dollars ($80,000) annually.
WHEREAS, the parties entered into a First Amendment to Services Agreement dated November 1, 2022, extending the term of the original Agreement to August 2, 2023 for an amount of Eighty-Eight Thousand Dollars ($88,000); and
WHEREAS, the City and Contractor desire to extend the Agreement for an additional one (1) year term to begin August 2, 2023, and end August 2, 2024 for a total amount of Ninety- Three Thousand Two Hundred Eighty Dollars ($93,280);
NOW, THEREFORE, in consideration of the foregoing recitals which are incorporated herein by this reference, City and Contractor agree as follows:
The term of this Second Amended Agreement is hereby extended by one (1) year, for the period August 2, 2023, to August 2, 2024.
2. Compensation, for the extended term of the Agreement shall be Ninety-Three Thousand Two Hundred Eighty Dollars ($93,280),
1 Digital Signatures. This Agreement may be signed by the Parties hereto in digital format in compliance with Government Code 16.5 and Code of Regulations Cal. Code Regs. Title 2 § 22000, et seq., and that any electronic signatures appearing on this Agreement, or such other documents are the same as handwritten signatures for the purposes of validity, enforceability, and admissibility.
4. All terms and conditions of the original Agreement not inconsistent with this Second Amendment shall remain in full force and effect and are incorporated herein by this reference as though set forth in full.
