SECOND AMENDMENT TO
PROFESSIONAL CONSULTANT SERVICES AGREEMENT
ALL-CITY MANAGEMENT SERVICES, INC.
[Crossing Guard Program Management Services]
THIS SECOND AMENDMENT TO PROFESSIONAL CONSULTANT SERVICES AGREEMENT ("Second Amendment") is made and entered into this _ 2024, by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City"), and ALL-CITY MANAGEMENT SERVICES, INC, a California corporation ("Consultant"), with respect to the following:
RECITALS
WHEREAS, the City and Consultant entered into that certain Professional Consultant Services Agreement dated July 29, 2019 ("Agreement"); and WHEREAS, the City and Consultant entered into that certain First Amendment dated September 26, 2019 to extend the term of the Agreement until June 30, 2024, with the option to extend for one two year term; and
WHEREAS, the City and Consultant desire to amend the Scope of Work to accommodate twelve (12) additional crossing guard locations at schools in the Alvord Unified School District (AUSD) and one (1) additional crossing guard location at the Riverside Unified School District (RUSD) for a total of thirteen (13) additional crossing guard locations, and to increase compensation, in the amount not to exceed One Hundred Sixty Thousand Dollars ($160,000.00).
NOW, THEREFORE, incorporating the recitals set out above, the parties hereto mutually agree to the following amendment to the Agreement.
Section 1, "Scope of Services", is hereby amended by adding the additional services identified in Exhibit "A-2", attached hereto and incorporated herein by this reference.
2. Section 2, "Compensation", is hereby amended to increase the compensation in the amount not to exceed One Hundred Sixty Thousand Dollars ($160,000.00) payable in accordance with the terms set forth in Exhibit "B-2".
Digital and Counterpart Signatures. Each party to this Agreement intends and agrees to the use of digital signatures that meet the requirements of the California Uniform Electronic Transactions Act (Civil Code §8 1633.1, et seq.), California Government Code § 16.5, and California Code of Regulations Title 2 Division 7 Chapter 10, to execute this Agreement.
The parties further agree that the digital signatures of the parties included in this Agreement are intended to authenticate this writing and to have the same force and effect as manual signatures for purposes of validity, enforceability, and admissibility. For purposes of this section, a "digital signature" is defined in subdivision (d) of Section 16.5 of the Government Code and is a type of "electronic signature" as defined in subdivision (h) of Section 1633.2 of the Civil Code. This greement may be executed in any number of counterparts, each of which will be an origina ut all of which together will constitute one instrument. Each certified or authenticate electronic copy of an encrypted digital signature shall be deemed a duplicate original, constituting one and the same instrument and shall be binding on the parties hereto.
4. All other terms and conditions of the Agreement between the parties, which are not inconsistent with the terms of this Second Amendment, shall remain in full force and effect as if fully set forth herein.

COMPENSATION

Pricing
All proposals submitted shall have a stated dollar bid amount for providing services outlined in the Services. All proposals shall include a breakdown of the costs. Proposals shall include a breakdown of the proposed fees including the following:
a. Daily Rate per location for services described in the Scope of Work (Attachment
A) and for addition/subtraction of school locations, at the City's request from baseline number of locations listed in the Crossing Guard Locations (Attachment C). b. Daily Rate provides for the above listed items) are assumed to include all costs associated with staffing, supervision, and program management.
c. Daily Rate are for 12 month periods as listed below (required):

* Pricing is calculated based upon the current compensation structure of 4.0 hours per day as approved by the City of Riverside. ** All pricing is based upon currently known schedule of increases in the California Minimum Wage. Any additional legislatively mandated increases in wages or benefits 10 employees within the state and/or local municipality would require a revision in the above pricing schedule.
