1 AGREEMENT FOR LANDSCAPE MAINTENANCE SERVICES FOR
BACKFLOW TESTING, REPAIR, AND REPLACEMENT SERVICES FOR
THE PARKS, RECREATION, AND COMMUNITY SERVICES DEPARTMENT ARROWHEAD GROUP, INC. DBA BASIC BACKFLOW
On this ______ day of ___________, 2024 (“Effective Date”) the CITY OF RIVERSIDE, a California charter city and municipal corporation (“City”), and ARROWHEAD GROUP, INC., a California corporation, doing business as BASIC BACKFLOW, 3424 Del Rosa Avenue, Suite B, San Bernardino, CA 92404, State Contractor’s License No . 304075 (“Contractor”), mutually agree as follows:
1. Scope of Services. Contractor shall furnish all labor, materials and equipment for and perform the work of Backflow Testi ng, Repair, and Replacement Services for the Par ks, Recreation, and Community Services Department (“the Services”). Contractor shall perform the Services in accordance with the provisions and requirements of the following Contract Documents: City of River side Public Works Dep artment Request for Proposals for Backfl ow Testing, Repair, and Replacement Services for the Public Works Department, dated February 24, 2022 (“RFP 2176”), the General Conditions and Technical Specifications contained therein, this Agreement and all other documents, maps, texts and items referred to in the foregoing documents. These Contra ct Documents ar e incorporated herein by this reference and are intended to be correlative and constitute Contractor’s performance obligations. The specific terms and conditions of this Agreement shall control and have precedence over any contradictory or inc onsistent terms and conditions included in the other Contract Documents and shall be controlling in questions of interpretation.
2. Term. The term of the Agreement shall be from July 1, 2023, through June 30, 2024, unless earlier terminated as provided herein. The term may be extended by mutual consent of the parties for three (3) additional one (1 )-year terms. All such extensions/ amendments shall be in writing and approved by the parties.
3. Compensation. City shall pay Contractor for the performan ce of the Services during the initial term of this Agreement a Contract Price not to exceed Fifty Thousand Dollars ($50,000.00). City shall pay Contractor for Services performed to City’s satisfaction on a monthly basis in accordance with the provisions of the RFP , and the Compensation Schedule attached hereto as Exhibit “A” and incorporate d he rein by thi s reference. If the term of the Agreement is extended, Contractor’s compensation for the extended term shall be m utually agreed upon in writing by the pa rties. For any extension of this Agreement the annua l compensation shall be increased by the CPI for the Los Angeles -Riverside area, but in no event shall the increase be more than 2.5 percent.
4. Extra Material. Contractor shall not be compensated for any e xtra materials us ed or time expended over and above the Contract Price, unless prior written approval for the same has been granted by City. In addition, Contractor shall only be compensated for services actua lly rendered.
