THIS FOURTH AMENDMENT TO PROFESSIONAL CONSULTANT SERVICES AGREEMENT ("Fourth Amendment") is made and entered into this , 2024, by and between the CITY OF RIVERSIDE, a California
RECITALS
WHEREAS, on August 13, 2014, City and Consultant entered into a Professional Consultant Services Agreement for Employee Benefit Consulting and Underwriting Services ("Agreement");
WHEREAS, on September 25, 2017, City and Consultant entered into a First Amendment to Professional Consultant Services Agreement ("First Amendment"), extending the term to June 30, 2019;
WHEREAS, on April 22, 2019, City and Consultant entered into a Second Amendment to Professional Consultant Services Agreement ("Second Amendment"), extending the Agreement to June 30, 2021;
WHEREAS, on June 3, 2021, City and Consultant entered into a Third Amendment to Professional Consultant Services Agreement ("Third Amendment"), extending the Agreement to June 30, 2024, and adding additional Compensation in the amount of Eighty-Five Thousand One Hundred Two Dollars ($85,102.00); and
WHEREAS, City is satisfied with the performance of Consultant and would like to extend the term of the Agreement by one (1) additional year, through and including June 30, 2025, and add additional Compensation in the amount of Ninety Thousand Two Hundred Eighty- Five Dollars ($90,285.00), for total Compensation in the amount of Four Hundred Seven Thousand Eight Hundred Twelve Dollars ($407,812.00).
NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated herein by this reference, City and Consultant agree as follows:
1. Section 2 "Term" of the Agreement is hereby amended to extend the term by one (1) additional year, until June 30, 2025.
2. Section 3 "Compensation" of the Agreement is hereby amended to add the following new paragraph:
1 "For the term July 1, 2024, to June 30, 2025, Compensation shall be Ninety Thousand Two Hundred Eighty-Five Dollars ($90,285.00), for total Compensation not to exceed Four Hundred Seven Thousand Eight Hundred Twelve Dollars ($407,812.00)." _3. All terms and conditions of the original Agreement not inconsistent with this Fourth Amendment to Professional Consultant Services Agreement shall remain in full force and effect and are incorporated herein by this reference as though set forth in full.
