IT IS HEREBY AGREED AS FOLLOWS:
This is Amendment No. 1 to the Mutual Aid Agreement (19-402) (Agreement) between the San Bernardino County Fire Protection District (SBCFPD) and the City of Riverside (City). SBCFPD and the City agree to amend the Agreement as follows:
1. Amend Section A, "Mutual Aid," as follows:
a. Section A. 10. is deleted
2. Amend Section I., "General Provisions," as follows:
a. Add the following Paragraphs 5 and 6 to Section I, which shall read as follows:
GENERAL PROVISIONS: Unless otherwise specifically prescribed in this Agreement, the following provisions shall govern its interpretation and construction.
5. This Agreement may not be assigned without the prior written approval of both parties.
6. In the event of a dispute, the parties shall use their best efforts to settle the dispute through negotiation with each other in good faith.
3. Section J., Paragraph 1, is amended to read as follows:

1. The term of this Agreement shall be for the period of July 1, 2019, through June 30, 2029, subject to the early termination provision in the Agreement.
This Amendment No. 1 to the Agreement may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute one and the same Amendment No.1 to the Agreement. The parties shall be entitled to sign and transmit an electronic signature of this Amendment No. 1 (whether by facsimile, PDF or other email transmission), which signature shall be binding on the party whose name is contained therein. Each party providing an electronic signature agrees to promptly execute and deliver to the other party an original signed Amendment No. 1 upon request.
All other terms of the Agreement, not in conflict with this Amendment, shall remain the same and in full force and effect.
IN WITNESS WHEREOF, this Amendment No. 1 has been executed and approved and is effective and operative as to each of the parties are herein provided on the date it is signed and approved by both parties.
