THIRD AMENDMENT TO
PROFESSIONAL CONSULTANT SERVICES AGREEMENT
ECONOMIC AND PLANNING SYSTEMS, INC.
(UCR Fiscal and Economic Impact Study)
THIS THIRD AMENDMENT TO PROFESSIONAL CONSULTANT SERVICES AGREEMENT ("Third Amendment") is made and entered into this , 2024, by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City"), and ECONOMIC AND PLANNING SYSTEMS, INC., a California corporation ("Consultant") with respect to the following:
RECITALS
WHEREAS, City and Consultant entered into that certain Professional Consultant Services Agreement dated July 5, 2022 ("Agreement"); and
WHEREAS, City and Consultant entered into that certain First Amendment to Professional Consultant Services Agreement dated July 11, 2023 ("First Amendment"); and WHEREAS, City and Consultant entered into that certain Second Amendment to Professional Consultant Services Agreement dated March 14, 2024 ("Second Amendment"); and WHEREAS, the parties desire to amend the Agreement to extend its term in order to complete necessary Project elements and increase compensation during the extended term of the Agreement.
NOW, THEREFORE, incorporating the recitals set out above, the parties hereto mutually agree to the following amendment to the Agreement.
Section 2, Term, of the Agreement is hereby amended as follows:
"The Agreement shall continue until 5:00 p.m. Pacific Standard Time on June 30, 2025; provided, however, that this Agreement may terminate prior to such time as provided in Section 25."
2. Section 3, Compensation/Payment, is hereby amended and replaced as follows:
"Consultant shall perform the Services under this Agreement for the total sum not to exceed Two Hundred Twenty Thousand Dollars ($220,000.00), payable in accordance with the terms set forth in Exhibit "B." Said payment shall be made in accordance with City's usual accounting procedures upon receipt and approval of an itemized invoice setting forth the services performed. The invoices shall be delivered to City at the address set forth in Section 4 hereof." 1 3. All other terms and conditions of the Agreement between the parties which are not inconsistent with the terms of this Third Amendment shall remain in full force and effect as if fully set forth herein.
IN WITNESS WHEREOF, the parties hereto have caused this Third Amendment to Professional Consultant Services Agreement to be duly executed the day and year first above written.
