ASSIGNMENT AGREEMENT
This Assignment Agreement is by and among Sourcewell, 202 12th Street Northeast, P.O. Box 219, Staples, MN 56479; Rubicon Global, LLC, 950 East Paces Ferry Road, Atlanta, GA 30326 ("Rubicon"); and Wastech Corp., 16525 SW 72nd Ave., Portland, OR 97224 ("Wastech").
Sourcewell has an agreement with Rubicon to provide Fleet Management Technologies with Related Software Solutions under Sourcewell Contract Number 020221-RUB ("Original Contract").
On May 7, 2024, Wastech purchased from Rubicon the products that are offered in the Original Contract. As a result, and with Wastech's consent, Rubicon wishes to assign its Sourcewell contract to Wastech.
The assignment provision of the Original Contract requires assignment of the contract only upon written consent of Sourcewell and Rubicon.
Assignment
1. This Assignment Agreement will become effective as of the date of the last signature below.
2. Rubicon wishes to assign to Wastech all of Rubicon's rights, responsibilities, and other provisions set forth in the Original Contracts, Sourcewell Contract Number 020221-RUB.
3. Wastech has obtained a copy of the Original Contract from Rubicon, and certifies it will comply with the terms of the Original Contract as executed by Rubicon and Sourcewell. The parties agree this assignment is unconditional and without recourse.
4. Rubicon and Wastech jointly and severally represent and warrant to Sourcewell that:
a. Rubicon is not in default of any of its obligations under the Original Contract; b. Wastech is ready, willing, and able to perform all of the obligations and responsibilities of the Original Contract;
c. Rubicon and Wastech request consent from Sourcewell to this assignment; and d. Wastech accepts assignment of the provisions of the Original Contract.
5. In consideration for the above, Sourcewell consents to the assignment.
