FOURTH AMENDMENT TO
PROFESSIONAL CONSULTANT SERVICES AGREEMENT

Crossing Guard Program Management Services
THIS FOURTH AMENDMENT TO PROFESSIONAL CONSULTANT SERVICES AGREEMENT ("Fourth Amendment") is made and entered into this day of 2025, by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation ("City"), and ALL-CITY MANAGEMENT SERVICES, INC., a California corporation ("Consultant"), with respect to the following:
RECITALS
WHEREAS, the City and Consultant entered into that certain Professional Consultant Services Agreement dated July 29, 2019 ("Agreement"); and WHEREAS, the City and Consultant entered into that certain First Amendment to Professional Consultant Services Agreement, dated September 26, 2019 ("First Amendment") to extend the term of the Agreement until June 30, 2024, with the option to extend for one two-year term; and
WHEREAS, the City and Consultant entered into that Second Amendment to Professional Consultant Services Agreement, dated March 08, 2024 ("Second Amendment") to amend the Scope of Work to accommodate twelve (12) additional crossing guard locations at schools in the Alvord Unified School District (AUSD) and one (1) additional crossing guard location at the Riverside Unified School District (RUSD) for a total of thirteen (13) additional crossing guard locations, and to increase compensation, in the amount not to exceed One Hundred Sixty Thousand Dollars ($160,000.00); and
WHEREAS, the City and Consultant entered into that Third Amendment to Professional Consultant Services Agreement, dated July 12, 2024 ("Third Amendment") to exercise the Optional one two-year term to extend the term of the Agreement until June 30, 2026, and amend the Scope of Work to accommodate additional crossing guard locations at schools in the Alvord Unified School District and Riverside Unified School District, and to increase compensation, in the amount not to exceed One Million Seven Hundred Seventy-Six Thousand Seven Hundred Sixty-Eight Dollars ($1,776,768.00) for FY2024/25, and in the amount not to exceed One Eight Hundred Fifty-Three Thousand Three Hundred Seventy-Six Dollars ($1,853,376.00) for FY 2025/26; and
WHEREAS, the City and Consultant desire to amend the Scope of Work to accommodate three (3) additional crossing guard locations in the Riverside Unified School District, and increase compensation in the amount of Sixty-Six Thousand One Hundred Ninety-Two Dollars ($66,192.00) for the remaining Term of the Agreement.
NOW, THEREFORE, incorporating the recitals set out above, the parties hereto mutually agree to the following amendment to the Agreement.
1. Section 1, "Scope of Services," is hereby amended by adding the additional services identified in Exhibit "A-4," attached hereto and incorporated herein by this reference.
2. Section 2, "Compensation," is hereby amended to increase the compensation in the amount of Sixty-Six Thousand One Hundred Ninety-Two Dollars ($66,192.00) for the remaining Term of the Agreement, payable in accordance with the terms set forth in Exhibit "B- 4, attached hereto and incorporated herein by this reference.
All other terms and conditions of the Agreement between the parties, which are not inconsistent with the terms of this Fourth Amendment, shall remain in full force and effect as if fully set forth herein.

Pricing
All proposals submitted shall have a stated dollar bid amount for providing services outlined in the Services. All proposals shall include a breakdown of the costs. Proposals shall include a breakdown of the proposed fees including the following:
a. Daily Rate per location for services described in the Scope of Work (Attachment
A) and for addition/subtraction of school locations, at the City's request from baseline number of locations listed in the Crossing Guard Locations (Attachment C). b. Daily Rate provides for the above listed items) are assumed to include all costs associated with staffing, supervision, and program management.

* Pricing is calculated based upon the current compensation structure of 4.0 hours per day as approved by the City of Riverside. ** All pricing is based upon currently known schedule of increases in the California Minimum Wage.
