Southern California Gas Company, a California corporation(" SoCalGas"), andCity ofRiverside" RegionalWaterQualityControlPianttaGovernmentEntityNonProfit 501 ( C)(" Client"),
RYCITALS
WHEREAS,SoCaIGasisapublicutilityregulatedbytheCaliforniaPublicUtilitiesCommission(" CPUC") providinggasserviceto end-usecustomerswithin SouthernCalifornia.
WHEREAS,theClientisasponsorof a blomethane interconnection located near 5950Acorn Street, Riverside, CA92504utilizing blooms derived primarily from the RegionalWater Quality Control Plant project and/orhasaninterestinSoCalGas'abilitytoreceiveandredeliveradditionalgassuppliesintoitsgas utility system.
WHEREAS,theClientdesirestoretainSoCalGasinconnectionwiththeperformanceof certainconsultingservices,uponthetermsandconditionssetforth•in this Agreement(the Services").

NOW,THEREFORE,in considerationofthemutualcovenantssetforthhereintheparties agree as follows:
SECTION 1- CONSULT NG SERVICES
1.1, Retention. ClientherebyretainsSoCalGastoprovidetheServices,uponthetermsandconditions set forth in this Agreement.
1.2. ScopeofServices. TheServicesto.beprovidedtoClientbySoCalGasshallconsistof thefollowingtaskstothisagreementincluding(checkallthatapply)asdetailedintheapplicableExhibit:

CONSULTING SERVICES AGREEMENT

AnexecutedExhibitA isrequired, exceptinthecasewhereClienthasinplaceavalidand effectiveSoCalGasInterconnectCapacityStudy,beforeClientcancontractforExhibitAl and/orA2or,incaseswhereSoCalGasalreadyknowswhatthelongleadmaterialsandtheir costsare,Al and/orA3. EachExhibitonlybecomeseffectiveuponexecutionbybothClientandSoCalGas.
Noconstructionworkshallbeincludedor donepursuantto thisAgreement.
1.3. Term, ThisAgreementshallbeeffectiveontheEffectiveDateandshallcontinueinfull forceandeffectuntil thecompletionof theServices.
SECTION2- COMPENSATIONAND EXPENSES
2. 1. Compensation. AnestimateofSoCalGas' feesandallotherapplicablecoststobe billedbySoCalGastoClientunderthisAgreementaresetforthineachapplicableExhibittothis AgreementInanyevent, ClientshallbeliablefortheactualcostsoftheServiceswhichmaybehigherthantheestimatedcosts. ActualcostsshallincludetheactualServicesrenderedandall relatedcostsincurred, andshallincludepermitorotherfeesorcharges,procurement,indirect costsandoverheads,carryingcosts,andanyrelatedincomeorothertaxliabilitythereon.
2. 2, Payment. UponexecutionofthisAgreementandExhibitA,Clientshallmakepayment to "SouthernCaliforniaGasCompany"fortheServicesintheamountspecifiedinExhibitA withinthirty(30)days. UponexecutionofanyadditionalExhibit(asfurtherdescribedin Section1.2)Clientshallmakepaymentto"SouthernCaliforniaGasCompany"forServicesin theamountspecifiedinsuchExhibit(s)withinthirty(30)days. AnyamountbilledbySoCalGas toClientsubsequenttotheinitialpaymentshallbepaidbyClientwithintwenty(20)daysafterreceiptof SoCalGas'invoicetotheaddresssetforthin Section8below.
2. 3. ChangeOrders. AnychangetotheScopeofServicesshallbeinwriting(a"ChangeOrder") andsignedbyClientandSoCalGas. If Clientissuesanyrequestforachangeinthe ScopeoftheServicesorthetimeofcompletionoftheServicesbeyondthosetasksdescribedin theScopeofServicesandnotidentifiedasaChangeOrder,butwhichSoCalGasconsiderstobe aChangeOrder,thenSoCalGasshallnotifyClientinwritingandthepartiesshallmutuallydecidewhethersuchachangeintheScopeofServicesorthetimeofcompletionoftheServices constitutesaChangeOrder,whichincreasesordecreasestheScopeoftheServicesandincreases ordecreasesthecosttoSoCalGasofprovidingtheServices. If SoCalGasissuesaChangeOrder thatresultsinanincreaseordecreaseinthecostoftheServices,thenanadjustmentshallbe madetothetotalcompensationand/orthetimeof completionoftheServices. All written ChangeOrdersshallbecomeapartofthisAgreement. SoCalGasmayrefrainfromanyadditionalwork until Clienthaspaidsuchadditionalamountassetforthabove.
2. 4. PayrollTaxes. Socialsecurity,federal, andotherapplicabletaxesshallnotbewithheldfrom paymentsmadeto SoCalGas.

SECTION3- INFORMATIONAND OWNERSHIP
3. 1.
ConfidentialInformation. DuringthetermofthisAgreement, eitherpartymayhaveaccesstoandbecomeacquaintedwithconfidentialinformationandtradeandbusinesssecretsof theother. TreatmentofthisinformationbybothpartiesissetforthintheConfidentialityAgreementwhichisattachedheretoandincorporatedhereinasExhibit13ofthisAgreement(theConfidentialityAgreement).
3. 2. Ownershipand Use. Notwithstandingtheabove,anyandallmaterialandinformation prepared,accumulatedordevelopedbySoCalGas,anysubcontractorortheirrespective employees,including,withoutlimitation,documents, drawings,designs, calculations,maps, plans,workplan,text,filings,estimates,manifests,certificates,books, specifications,sketches, notes,reports, summaries, analyses, datamodelsandsamples,(hereinafter,collectively"WorkProduct"), shallremainthepropertyofSoCalGaswhenpreparedorinprocess,whetherornot• deliveredtoClient. SoCalGasherebygrantstoClientanonexclusive.royalty-freeunrestricted licensetouse,copy,anddistributeanyWorkProductfurnishedbySoCalGastoClientunderthis Agreement,subjecttothetermsspecifiedinExhibit13, ConfidentialityAgreement. SoCalGas warrantsthattheWorkProductprovidedbySoCalGashereunderwillmeetorexceedall generallyacceptedindustrystandardsforthistypeofwork. SoCalGasmakesnorepresentations aboutthesuitability,reliability,availability,timelinessoraccuracyofWorkProduct•orServices foranypurpose. TheWorkProductwillbedoneusinginformationandassumptionsatonepoint oftimeandwhicharesubjecttochangeatanytimethatcouldchangetheresultsoranalysis reflectedinWorkProduct. Estimatesofcostsmaynotcoverallenvironmentalcostsorother unforeseencosts, orcostsresultingfromchangestolaws,rulesandregulationsgoverningthe Servicesherein. Therefore,SoCalGasdoesnotwarranttheServicesorWorkProductforanyuseandspecificallydisclaimsanyliabilityforanysubsequentuseoftheWorkProduct, oranypartthereof,byClient. NowarrantyofanykindisorwillbeincludedaspartoftheServicesand allexpressandimpliedwarranties,includinganywarrantiesofmerchantability, and/orfitnessfor aparticularpurposearespecificallydisclaimed. Withtheexceptionofclaimssolelyarisingfrom thegrossnegligenceorintentionalmisconductbyUtilitythatoccurswhileperformingtheServices,ClientwillnotholdSoCalGasliableorresponsibleinanywayfor'anylosses,damages, claims, costs,expensesorotherobligationsit incurs, ormayincur,arisingoutoforrelatedto Client'suseof,orrelianceon,anypartoftheServices,WorkProductorotherinformationprovidedby SoGalGashereunder.
SECTION 4 STATUS
SoCalGasisandatalltimesduringthetermofthisAgreementshallbeanindependent contractorprovidingconsultingservicestoClient. SECTION 5- ATTORNEYS' FEES
ShouldanydisputeariseregardinganytermorprovisionofthisAgreementorenforcement of anyrightshereunder, ortocollectanyportionoftheamountpayableunderthisAgreement, thenalllitigationandcollectionexpenses,witnessfees,courtcostsandattorneys' feesshallbe paid to theprevailing party.
SECTION6- SUPERVISIONANDCOORDINATION
DuringthetermofthisAgreement,eachpartyshallappointarepresentativewhowillbe authorized,empoweredandavailableto actfor andonbehalfof eachtoimplementthetermsandconditions of this Agreement.
SECTION 7— DISPUTES
AnydisputeorneedforinterpretationarisingoutofthisAgreementwhichcannotbe resolvedafterareasonableperiodoftimeof goodfaithnegotiationmaybesubmittedtotheCPUC for resolution.
SECTION 8— NOTICES
Anyandallnoticesandothercommunicationshereundershallbeinwritingandshallbe deemedtohavebeendulygivenorreceivedwhendeliveredpersonallyorbycourierforty-eight48)hoursafterbeingmailed,viafirstclass,postageprepaid,totheaddressessetforth immediatelybelowofthepartiesheretoortosuchotheraddressesaseitherofthepartieshereto mayfromtimetotimedesignateinwritingtotheotherparty.

ECTION 9- U S ORS AND ASSIGNS
AssignmentortransferoftheentirerightsandobligationsofanyPartyhereundershallonlybepermittedunderthefollowingcircumstances:
A. Whentheassignmentistoasuccessor,representativeorassigneewhichshall succeedbypurchase,merger,corporatereorganization/restructuringorconsolidationtoallor substantiallyalloftheassetsofProjectorSoCalGas,asthecasemaybeandwhenthe assignmentistoaparent, affiliateorsubsidiaryofaPartyhereto; or B. WhenanyPartyassignsorpledgesthisAgreementundertheprovisionsofanymortgage, deed of trust; indenture or similar instrument which it hasexecuted or may execute hereafter;however,insucheventtheotherPartiesshallbeprovidedpriorwrittennoticethereof; or C. WhenthePartyassigningshallhavefirstobtainedtheconsentinwritingoftheotherPartyhereto.
SECTION 10-.APPLICABLE LAW
TheprovisionsofthisAgreementshallbeconstruedandenforcedinaccordancewiththelaws of the State of California.
SECTION 11- WADERS
Thefailureordelayofeitherpartytoexerciseorenforceatanytimeanyofthe provisionsofthisAgreementshallnotconstituteorbedeemedawaiverofthatparty'srightthereaftertoenforceeachandeveryprovisionoftheAgreementandshallnototherwiseaffectthevalidity of this Agreement SECTION 12— SEVERABILITY
IfanyprovisionofthisAgreementisfinallydeterminedtobecontraryto,prohibitedby,orinvalidunderapplicablelawsorregulations,suchprovisionshallbecomeinapplicableand shallbedeemedomittedfromthisAgreement. Suchdeterminationshallnot,however,inanywayinvalidatetheremainingprovisionsofthisAgreement.
SECTION13-ENTIREAGREEMENTANDAMENDMENTS

SoCalGasurgestheClienttoretaintheservicesofathird-partyengineeringconstructionfirm,orenterintoadesignandengineeringcontractwithSoCalGastodevelopamoreaccurateconstruction cost estimate for this specific project.
Becauseoftheexclusionsandlimitationsofthisinitialreview,SoCalGasdoesnotrecommend thattheClientusethePESforanypurpose, includinganysubstantiveplanningorother decisionsregardingthecostorviabilityofitsproject, AnyusebytheClientissolelyatitsownrisk andshouldfactor in theaboverisksandlimitations, AreportthatsummarizestheresultsofSoCalGas' analyses,identifiesanyfacilityimprovements,andestimatesthecostofconstructionofthoseimprovements,willbeprovidedtotheClient, TheClientwillbegrantedanunrestrictedlicensetouse, copy, reportandallworkproductshallremainthepropertyof SoCalGas. rbutethereport; however,the

AreportthatsummarizestheresultsofSoCalGas' analyses,identifiesanyfacilityimprovements,andestimatesthecostofconstructionofthoseimprovements, willbeprovidedtotheClient.
TheClientwillbegrantedanunrestrictedlicensetouse,copy,anddistributethereport; however,thereportandallworkproductshallremainthepropertyofSoCalGas.
The estimated cost to perform the Services is$ 325,000. SoCalGaswillcompletetheanalysis withinonehundredseventy (170) businessdaysafterreceiptofpaymentin theamount of$ 325,000from interconnector, the completionandissuance
bySoCalGasof thePreliminaryEngineeringStudyinaccordancewith ExhibitA-1 to this Agreement, andSoCalGas' receiptof Client's design, operating, gasqualityandsite criteria necessaryto performsuch analysis, PaymentinfulloftheestimatedcostoftheServicesisrequireduponexecutionofaConsultingServicesAgreementandExhibitA2toproceedwiththeanalysis. TheClientwillberesponsible fortheactualcostsoftheServices; tothisend, aninvoiceorrefundwillbeissuedtotheClientatthecompletionoftheprojectforanydifferencebetweentheactualcostsandthisestimate.

CompanyunderstandsthatasaCaliforniapublicutilitycompanySCGisobligatedtoprovideserviceinanon-dieorkmnatory•manner.andthisAgreement innowayprevents, restrictsorlimitsSCO'sdiscussionsorrelationshipswithother companies considering ters_ _npnastierprojectsotherthannotdisclosingtheProprietaryInformationofCompany.
2. 3. destroy, 4rpontheDisclosingParty'srequest,allProprietaryInformationprovidedbytheDisclosingPartyintangibleform,andal copies, photographs, reproductions,andailotherduplicationsthereof,includinganysummaries,extractsandotherinformationderivedfromtheProprietaryinformation,regardiess of the farm of media.
4. TheReceivingPartyshalltakeallreasonablemeasurestopreventunauthorizeddisclosureoftheProprietaryInformationendshallrestrictaccesstothe ProprietaryInformationtothoseemployees,oremployeesofAffiliates,whohave aneedtoknowInthecourseoftheirduties. IftheReceivingPartyfindsitnecessaryfarthepurposesetforthinParagraphI abovetodiscloseto.a subcontractororagentanyProprietaryinformation,suchsubcontractororagent shallfirstagreeinwritingtocomplywiththeprovisionsofthisAgreement, For purposesofthisAgreement, "Affiliate'shallmeananycompanyorlegalentitywhich(a)controlseitherdirectlyorindirectlyaParty, or(b)whichiscontrolled directlyorindirectlybysuchparty,or(o)isdirectlyorindirectlycontrolledbyacompanyorentitywhichdirectlyorindirectlycontrolssuchparty. Controlmeansthe right to exercise fifty percent( 50%) or mareof thevotingrightsinthe appointmentofthedirectorsorsimilarrepresentativesofsuchcompanyorentity.
5. Notwithstandinganyoftheotherprovisionsherein, SCGwillnotdiscloseanyProprietaryInformationdisclosedpursuanttothis•AgreementtoanyofitsAffiliatesnotregulatedbytheCPUCwithoutthepriorwrittenconsentofCompany.
6. AliProprietaryinformationdisclosedhereundershallbeandremaintheexclusive propertyoftheDisclosingParty. ThisAgreementshallnotbeconstruedtogrant totheReceivingPartyanylicenseorotherrightstotheProprietaryInformationexcept as specifically noted herein.
7. TheobligationssetforthinthisAgreementshallnotapplytoInformationthattheReceivingPartycanestablishis:

IftheReceivingPartybreachesordefaultsintheperformanceofanyofItscovenantscontainedhereinorviolatesanyoftherestrictionssetforthherein,the DisclosingPartyshallbeentitledtoallremediesavailableatlaworinequity.ThepartiesacknowledgethattheProprietaryinformationisvaluableandunique, andthatdamageswouldbeaninadequateremedyforbreechofthisAgreement andtheobligationsofeachpartyanditsRepresentativesarespecifically enforceable, A000rdingly,the.partiesagreethatintheeventofa breachor threatenedbreachofthisAgreementbyeitherparty, thedisclosingpartyshallbe entitledtoseekanInjunctionpreventingsuchbreach,withoutthenecessityofprovingdamagesorpostinganybond. NeitherthisAgreement, northedisclosureofProprietaryInformationunderthis Agreement,northeongoingdiscussionsandcorrespondencebytheparties regardingthesubjectmatterofthisAgreement,shallconstituteorimplyanypromiseorintentiontomakeanypurchaseoruseof theservices,products, facilities, realpropertyorotherassetsofeitherparty, oranycommitmentbyeitherpartywithrespectto anyotherpresentorfuturearrangement. if, inthe future,thepartieselecttoenterintobindingcommitmentsrelatingtoanyofthemattersstaledherein,theymustbestatedIna separateexecutedwritten contractby the parties.

12. ThisAgreementshallbegovernedbyandconstruedunderthelawsofthe California,withoutreferencetoanyprinciplesonconflictsoflaws. Anydispute betweenthepartiesarisingunderthisAgreementshallbelitigatedsolelyInthestateorfederalcourtslocatedintheCountyofLosAngeles, StateofCalifornia.
13. ThisAgreementsetsforththeentireunderstandingofthepartieswithrespectto thesubjectmatterhereofandsupersedesallpriordiscussions, communications andagreements, bothoralandwritten, ThisAgreementshallnotbeamendedor modifiedexceptbyanagreementoramendmentinwritingsignedbyboth parties, andshallnotbemodifiedbycourseofperformance, courseofdealing,orusageoftrade.
