First Amendmentto the OverDrive Digital Library ReserveAccessAgreement ThisFirstAmendmentto theOverDriveDigitalLibraryReserveOrderFormandAccessAgreement ("First Amendment") is made and entered into on this day of 2025, by andbetweentheCity of Riverside, a California chartercity andmunicipal corporation ("City") and OverDrive, Inc., a Delaware corporation authorized to do business in California (" OverDrive").
WHEREAS, onOctober11, 2024, CityandOverDriveenteredintoa DigitalLibraryReserveOrder Form andAccessAgreementfor digital library services("Agreement"); and the Agreement is set to expire afteratermoftwelve (12) months, commencingonstartof service. TheAgreementshallautomatically renewforsuccessivetermsof twelve (12) monthsunlesseitherpartyprovideswrittennoticeof intention not to renew ninety ( 90) days prior to the expiration of the then -current term; and WHEREAS, thetotalcompensationamountundertheAgreementisnottoexceedOneHundredSeventy - Six ThousandSevenHundredSixty -SixDollars ($176, 766); and WHEREAS, thepartiesnow seekto amendtheAgreementto increasecompensationin theapproximate amount of eight thousand five hundred dollars ($ 8, 500); THEREFORE, OverDriveandCity agreeasfollows:
1. ThepartiesagreethatthenewContractPriceshallnotexceedOneHundredeighty-fivethousand two hundred sixty six dollars ($ 185, 266).
2. All terms and conditions of the Agreement not inconsistent with this First Amendment shall remainin full forceandeffectandareincorporatedhereinbythisreferenceasthoughtsetforthin full.
