THIRD AMENDMENT TO SERVICES AGREEMENT
FLO-SERVICES, INC.
On-Call Repair, Maintenance, and Services for Various Sewer Lift Station Pumps This THIRD AMENDMENT TO SERVICES AGREEMENT ("Third Amendment") is made and entered into this _ day of_ - by and between the CITY OF RIVERSIDE, a California charter city and municipal corporation (City"), and FLO-SERVICES, INC., a California corporation ("Contractor").
RECITALS
WHEREAS, on June 7, 2023, City and Contractor entered into a Services Agreement for On-Call Repair, Maintenance, and Services for Various Sewer Lift Station Pumps ("Agreement"); and
WHEREAS, on July 29, 2024, City and Contractor entered into a First Amendment to Services Agreement ("First Amendment") to extend the Term of the Agreement and add additional Compensation; and
WHEREAS, on September 23, 2025, City and Contractor entered into a Second Amendment to Services Agreement ("Second Amendment") to extend the Term of the Agreement and add additional Compensation; and
WHEREAS, the Agreement is set to expire on June 30, 2026; and WHEREAS, City and Contractor desire to extend the Term of the Agreement for two (2) additional years, through June 30, 2028; and
WHEREAS, City and Contractor desire to update Exhibit "B," Compensation Schedule; and
WHEREAS, City and Contractor desire to increase Compensation in the amount of One Hundred Fifty Thousand Dollars ($150,000.00) for fiscal year 2026/2027, and One Hundred Fifty Thousand Dollars ($150,000.00) for fiscal year 2027/2028, for the extended Term of the Agreement, for a total Contract Price of Nine Hundred Five Thousand Dollars ($905,000.00).
NOW, THEREFORE, in consideration of the foregoing recitals which are incorporated herein by this reference, City and Contractor agree as follows:
Paragraph 2, Term, is hereby amended to extend the Term of the Agreement for two (2) additional years, through June 30, 2028.
2. Paragraph 3, Compensation, is hereby amended to increase Compensation in the amount of One Hundred Fifty Thousand Dollars ($150,000.00) for fiscal year 2026/2027, and One Hundred Fifty Thousand Dollars ($150,000.00) for fiscal year 2027/2028, for the extended Term of the Agreement, for a total Contract Price of Nine Hundred Five Thousand Dollars ($905,000.00).
3. Exhibit "B" of the Agreement, Compensation Schedule, is hereby amended as set forth in Exhibit "B-3," attached hereto and incorporated herein by reference.
All terms and conditions of the original Agreement not inconsistent with this Third Amendment shall remain in full force and effect and are incorporated herein by this reference as though set forth in full.

SCHEDULE OF COMPENSATION
FLO-SERVICES, INC.
CITY OF RIVERSIDE
PUMP REPAIR, MAINTENANCE AND SERVICE CONTRACT
TO INCLUDE ONSITE ELECTRICAL AND MECHANICAL RELATED EQUIPMENT SERVICE RATES - PORTAL TO PORTAL-FY 2026/2027
One Man and Service Truck $ 181.00 per hour
Shop Labor - One Man $ 168.00 per hour
Confined Space Entry Fee per day $ 570.00 per day
Per diem - if required @actual cost +15%
Equipment and Tool Truck $ 554.00 per hour
Pick Up/Delivery Fee - Pick-up Truck with Driver $ 95.00 per hour SERVICE RATES - PORTAL TO PORTAL-FY 2027/2028-Add 3.5% to the above rates
Mark-up on parts and equipment will be based on Flo-Services standard rates.
The above rates apply to normal working hours or within an eight-hour working day, Monday through Friday, 7:00 a.m. to 3:30 p.m. Add fifty percent for the period Monday through Friday, 3:30 p.m. to 7:30 p.m. or after any eight-hour workday. Add mileage at $2.00 per mile for a service truck. Add mileage at $1.80 per mile for 3/4-ton utility truck.
John Krukowski, Principal employee's rate of $265.00 per hour, portal to portal, plus mileage to assist City personnel with review of equipment, drawings, meetings, etc. on an as needed basis, when Bonds, when required, are additional and will be added at cost + 15% of the total amount being bonded
California state sales tax will be added to all equipment and material.
Tariffs and/or government surcharges will be added accordingly (if applicable).
